RESOLUTION 2024-924 ADOPTED DOC ID: 20736 i THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2024-924 WAS ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON OCTOBER 22,2024: RESOLVED that the Town Board of the Town of Southold hereby authorizes and directs Supervisor Albert J. Krupski, Jr. to enter into a one-year extension agreement with Peconic Estuary Partnership for various water quality projects in coordination with the other of the five eastern towns,previously funded from General Fund, budget line A.1010.4.500.300, subject to j the approval of the Town Attorney. In accordance with the terms of the Agreement dated September 8, 2022 (the "Agreement")and attached.herewith, the parties agree as follows: i. I"he existing agreement provides at"Article 16" that"This Agreement constitutes the complete understanding of the parties. No modification of any provisions thereof shall be valid unless in writing and signed by both.parties. If any term, provision or portion of:this agreement shall be deemed illegal,invalid and/or non-enforceable, the remainder of this agreement shall be deemed to remain valid and shall be enforced to fullest extent of the law." 2. The parties mutually agree to amend"Article 2"of the Agreement to extend the Agreement for a period of one additional year.,to expire on December 31, 2025 for services identified as "Conducting water quality improvements projects in coordination with the five Eastern Towns of Long Island". A revised scope of work is attached to this Amendment 2 as Exhibit A revising the funding allocated to each task. 3. All other terms and conditions of the original Agreement shall apply. 4. This Amendment 2 may be executed by the parties hereto in separate counterparts, each of which when so executed and delivered shall be an original, but all such counterparts shall together constitute one and the same agreement, and all signatures need not appear on any one counterpart. Executed copies of the signature pages of this Agreement sent by facsimile or transmitted electronically in Portable Document Format or any similar format,shall be treated as originals, fully binding and with full legal force and effect, and the parties waive any rights they may have to object to such treatment. 5, This Agreement, including Amendment 1 and this Amendment 2 1 constitutes the complete understanding of the parties.No modification of any provisions thereof shall be valid►nless in writing and signed by both parties. 1 , IN WITNESS WHEREOF,the Town of Southold has caused its corporate seal to be affixed hereto and these presents to be signed by Albert J. East Hampton,Southampton,and Shelter Island use their CPF Funds to contribute to PEP,Riverhead is in debt service and providing in-(rind contribution,and the Town of Southold had agreed to contribute with a Town budget modification. In 2020,the proportional share of each Town for contribution to the PEP based on revenue collected is as follows: a. ' Southampton 59.1% b. East Hampton- 28.3% c. Southold- 7.0% d. Riverhead- 3.9% e.
