Main Road,Peconic,New York and identified as SCTM No. 1000-75-5-12;and
WHEREAS,the Town previously authorized an appraisal be conducted of the parcel in question to determine the current market value of
the subject parcel,which was performed by Brunswick Appraisal Corp. and dated July 6,2023; and
WHEREAS,in order to acquire said parcel it will be necessary to expend sums for a title search, survey and other related expenses;now
therefore be it
RESOLVED,that the Town Board of the Town of Southold hereby authorizes and directs the Town Attorney to proceed to acquire said
parcel of real property identified herein,by negotiated purchase for an amount up to the market value of the parcel as determined by the
independent appraisal dated July 6,2023;and be it further
RESOLVED,that the Town Attorney is hereby authorized to retain the services of a title examiner and suiveyor in furtherance of the
acquisition of the real property identified herein; and be it further
RESOLVED,that the Town Board of the Town of Southold hereby authorizes and directs Supervisor Scott A.Russell to execute the

WHEREAS,on December 3,2021,Mattituck Farm Holdings,LLC and the Town of Southold executed six(6)separate Grant of
Development Rights Easements for the sale and purchase of development rights for all or part of the properties known as: Farm 1
SCTM# 1000-95.-3-8.1,Farm 2 SCTM# 1000-95.-4.3.1,Farm 3 SCTM# 1000-95.4-5.2,Farm 4 SCTM# 1000-95.-4-1,Farm 5 1000-
95.4-12& 13 and Farm 9 SCTM# 1000-95.-3-3.4;and
WHEREAS,on October 4,2022,Mattimck Farm Holdings,LLC and the Town of Southold executed six(6)separate Correction Grant of
Development Rights Easements,in order to assure Seller's compliance with relevant TRS tax code provisions relating to conservation
easements;
WHEREAS,after the six(6)separate Correction Grant of Development Rights Easements were recorded at the Suffolk County Clerk
Office,the Seller requested the filing of six(6)separate Amendment of Grant of Development Rights Easements,in order to assure
Seller's continued compliance with relevant IRS tax code provisions relating to conservation easements;
WHEREAS,the requested changes only relate to compliance with the IRS code provisions and do not materially alter the Easements; and
WHEREAS, Section 7.02(Amendment)of each recorded Easement permits amendments to the Easement to entitle the Grantor to meet
the requirements of Internal Revenue Code Section 170(h);and
WHEREAS,the Town has agreed to the requested changes as they relate to compliance with the IRS Section 170(h);now,therefore,be
it
RESOLVED,that the Town Board of the Town of Southold hereby authorizes Supervisor Scott A.Russell to sign any and all
documents necessary for the filing of the Amendment of Grant of Development Rights Easements which shall be recorded at no cost

PURPOSE OF ESTABLISHING A PUBLIC PARK, VILLAGE GREEN OR OTHER COMMUNITY
GATHERING PLACE, STATING THE ESTIMATED MAXIMUM COST THEREOF IS $I,100,000 AND
APPROPRIATING SAID AMOUNT FOR SUCH PURPOSE
THE TOWN BOARD OF THE TOWN OF SOUTHOLD, IN THE COUNTY OF SUFFOLK, NEW YORK, HEREBY
RESOLVES (by the favorable vote of not less than two-thirds of all the members of said Town Board)AS FOLLOWS:
Section 1. The Town of Southold,in the County of Suffolk,New York(herein called the"Town"),is hereby authorized to
issue bonds in a principal amount not to exceed $1,100,000 pursuant to the Local Finance Law, constituting Chapter 33-a of the
Consolidated Laws of the State of New York(herein called the"Law"),to finance the acquisition of a parcel of real property,pursuant to
Eminent Domain proceedings,located at 12500 Main Road,Mattituck, (SCTM No. 1000 Section 114 block 11,lot 17)for the purpose of
establishing a public park,village green or other community gathering place,in the Town.
Section 2. The estimated maximum cost of the project described herein, including preliminary costs and costs incidental
thereto and the financing thereof,is $1,100,000 and said amount is hereby appropriated for such purpose. The plan of financing includes
the issuance of bonds in a principal amount not to exceed$1,100,000 to finance said appropriation,the levy and collection of taxes on all
the taxable real property in the Town to pay the principal of said bonds and the interest thereon as the same shall become due and
payable.
Section 3. The following additional matters are hereby determined and declared:
(a) The period of probable usefulness applicable to the object or purpose for which said bonds are authorized to be issued,
within the limitations of Section 11.00 a.21 of the Law,is thirty(30)years.
(b) The proceeds of the bonds herein authorized and any bond anticipation notes issued in anticipation of said bonds may
be applied to reimburse the Town for expenditures made after the effective date of this resolution for the purpose for which said bonds are
authorized. The foregoing statement of intent with respect to reimbursement is made in conformity with Treasury Regulation Section
1.150-2 of the United States Treasury Department.
(c) The proposed maturity of the bonds authorized by this resolution will exceed five(5)years.
Section 4. Each of the bonds authorized by this resolution and any bond anticipation notes issued in anticipation of the
sale of said bonds shall contain the recital of validity as prescribed by Section 52.00 of the Law and said bonds and any notes issued in
anticipation of said bonds shall be general obligations of the Town, payable as to both principal and interest by general tax upon all the
taxable real property within the Town. The faith and credit of the Town are hereby irrevocably pledged to the punctual payment of the
principal of and interest on said bonds and any notes issued in anticipation of the sale of said bonds and provision shall be made annually
in the budget of the Town by appropriation for(a)the amortization and redemption of the bonds and any notes in anticipation thereof to
mature in such year and(b)the payment of interest to be due and payable in such year.
Section 5. Subject to the provisions of this resolution and of the Law and pursuant to the provisions of Section 21.00 of
the Law relative to the authorization of bonds with substantially level or declining annual debt service, Section 30.00 relative to the
authorization of the issuance of bond anticipation notes and Section 50.00 and Sections 56.00 to 60.00 and Section 168.00 of the Law,the
powers and duties of the Town Board relative to authorizing bond anticipation notes and prescribing the terms, form and contents and as
to the sale and issuance of the bonds herein authorized, and of any bond anticipation notes issued in anticipation of said bonds, and the
renewals of said bond anticipation notes, and as to the execution of agreements for credit enhancements, are hereby delegated to the
Supervisor,the chief fiscal officer of the Town.
Section 6. The validity of the bonds authorized by this resolution, and of any notes issued in anticipation of the sale of
said bonds,may be contested only if:
(a) such obligations are authorized for an object or purpose for which the Town is not authorized to expend money,
or
(b) the provisions of law which should be complied with at the date of publication of such resolution, or a
summary thereof,are not substantially complied with,
and an action,suit or proceeding contesting such validity is commenced within twenty days after the date of such publication,or
(c) such obligations are authorized in violation of the provisions of the constitution.
Section 7. This bond resolution is subject to a permissive referendum and the Town Clerk is hereby authorized and
directed,within ten(10)days after the adoption of this resolution,to publish or cause to be published,in full, in the official newspaper of
the Town, having a general circulation within said Town,and posted on the sign board of the Town maintained pursuant to the Town Law,
a Notice in substantially the following form appearing in Exhibit A hereto.
Section 8. The Town Clerk is hereby authorized and directed, after said bond resolution shall take effect, to cause said
bond resolution to be published, in summary, in the official newspaper of the Town, having a general circulation within said Town,
together with a Notice in substantially the form as provided by Section 81.00 of the Law.

Parking permits for parking vehicles in the parking areas designated in§ 189-2 of this article shall be issued as follows:
A. Resident parking permit.
(3) Resident parking permits for motor vehicles shall be permanently affixed

and place to be determined by Town Board resolution.
11. Chapter 233 of the Code of the Town of Southold is hereby amended to add the following underlined as follows:

III. SEVERABILITY

IV. EFFECTIVE DATE
This Local Law shall take effect immediately upon filing with the Secretary of State as provided by law.

("Protected Area"), the legal description of which is attached hereto as Schedule A and identified on the Suffolk County Tax Map as
1000-035.00-02.00-001.000 and 1000-035.00-02.00-011.000; and
WHEREAS, PRIOR to the recording of the Easement and pursuant to the provisions of the Last Will and Testament of ROBERT
TURNER,his interest in the Protected Area passed to his surviving spouse,MARY PACINDA TURNER;and
WHEREAS, said MARY PACINDA TURNER and said WILLIAM KING are accordingly hereinafter collectively referred to as
Grantor;and
WHEREAS, Grantor is the present owner of the underlying fee interest in the Protected Area and Grantee is the present holder of the
Easement;and
WHEREAS, on or about April 24, 2023, the U.S. Treasury Department and Internal Revenue Service issued Notice 2023-30 (the
"Notice"), which sets forth the safe harbor deed language for extinguishment and boundary line adjustment clauses required by § 605(d)
(1)of the SECURE 2.0 Act of 2022(the"SECURE 2.0 Act"), enacted as Division T of the Consolidated Appropriations Act,2023,Public
Law l 17-328, 136 Stat.4459(December 29,2022); and
WHEREAS, Grantor and Grantee desire to amend the Easement to include certain aspects of the safe harbor language for the
corresponding language in the Easement,as provided by§ 605(d)(2)of the SECURE 2.0 Act.
Based on these Recitals and the mutual and valuable consideration provided to each by this Amendment, Grantor and Grantee AGREE as
follows:
TERMS
1.BOUNDARY LINE ADJUSTMENTS.
Section 7.02 of the Easement is amended by adding the following additional sentences at the conclusion thereof:
"Notwithstanding any other provision of the Easement and pursuant to Notice 2023-30, and in addition to any requirement of a public
hearing under Section 9.03(B) (Limitations on Amendment) of the Easement, Grantor and Grantee agree that boundary line adjustments
to the Protected Area subject to the restrictions may be made only pursuant to a judicial proceeding to resolve a bona fide dispute
regarding a boundary line's location.A boundary line adjustment shall not be interpreted as synonymous with or otherwise preclude a lot
line modification or subdivision as described in this Section and defined by the Town Code of the Town of Southold."
2.NO LIENS.
Grantor represents that as of the effective date of this Amendment there are no liens or mortgages outstanding against the Protected Area.
3.LIMITED EFFECT.
Except as amended hereby, all terms and conditions of the Easement, including but not limited to all Exhibits and Schedules thereto,
remain in full force and effect. In the event of a conflict between the terms of the Easement and this Amendment, the terms of this
Amendment shall prevail.
4.GOVERNING LAW. This Amendment shall be governed by the law of the State of New York.
5. EFFECTIVE DATE OF AMENDMENT. This Amendment shall be effective when Grantor and Grantee have executed it and it has
been recorded in the Office of the Clerk of Suffolk County, New York. For purposes of the Notice and the SECURE 2.0 ACT, this
Amendment shall be effective as of December 19,2022.
6. COUNTERPARTS;AUTHORITY. This Amendment may be executed in multiple counterparts, each of which when assembled to
include an original signature for each part to this Amendment shall constitute a complete and fully executed original. Each signatory to
this Amendment represents and warrants that he or she is duly authorized to enter into and execute this Amendment and to legally bind
the party that he or she represents.
7.NO GOODS OR SERVICES. No goods or services or other consideration were provided by the Grantee to the Grantor in exchange
for the grant of this Amendment.

BE IT ENACTED by the Town Board of the Town of Southold as follows:
I. Purpose.To amend Chapter 237 in regard to curb cutting and sidewalks.
II.Amendment.The Southold Town Code is hereby amended by removing the struck through words and adding the underlined words as
follows:
CHAPTER 237 Streets and Sidewalks
Article II-Highway meet Excavations
§ 237-4 Short title.
This article shall be known and may be cited as the"Highway Excavation Law of the Town of Southold."
§ 237-6 Permit required.
A. No person,firm or corporation,public service, water,light or power authority shall make
any curb cuts,road openings or excavate in any street,highway or sidewalk in the Town
for any_puipose,nor remove from or deposit any material on any highway or
intentionally injure any highway or cause to be dug or made any hole or excavation in or
under a highway or cause to be erected thereon or therein any object,without first
obtaining a permit from the Superintendent of Highways as hereinafter provided.

B. Upon application in writing filed with the Superintendent of Highways,stating the
purpose,extent,location and nature of proposed curb cuts,road openings or excavations
or other disturbance of a street or highway in the Town,the Town Superintendent of Highways-may grant or refuse a permit
therefor.
C. If the application for a permit is denied,the Highway SS perintendent shall send the
applicant written notification of the denial and shall state the reason for denial.
D. No pennit shall be issued for an opening on any roadway which has been resurfaced,
reconstructed or newly constructed by the Town of Southold during a period of five
calendar years previous to the application date,except for permits for emergency
openings.The prohibitions stated in this Subsection shall not apply to applications to
install new gas connections to residential properties. In such an instance,remedial
measures that include full width mill and fill work and resurfacing of the area of the
disturbance and the adjacent twenty feet surrounding said disturbance.
E. Except in cases of a demonstrated emergency.,no road openings shall be made, and no
applications for road opening hermits may be filed with the Superintendent of High aayl
between the period December 1 through March 31 of each calendar year.
§ 237-7 Applications requirements
Any person desiring a permit shall make application to the Superintendent,upon forms to be provided by him,which application shall set
forth the following:
A. The name and address of the applicant,_precise location of the proposed work,including
street address and Suffolk County Tax Map Number of the affected parcel(s)_
B. A reasonably adequate description of the proposed work and the reason therefor.
§ 237-12 Protective measures.
A. Any person making an excavation pursuant to this article shall erect a suitable barrier,of
guard and/or traffic bearing-plates a/k/a"road plates"for the protection of persons using
the streets or sidewalks and,in addition thereto,shall set up and maintain during the
hours of darkness sufficient lights or flares or retroreflective barricades to properly
illuminate or delineate the work area and shall also take all necessary precautions for the
protection of the Town and of public service companies or municipal districts and
adjoining property owners and others which might be endangered by such excavations or
the work incident thereto and shall comply with all directions given by the
Superintendent with respect to such barriers,lights,flares and protective measures. The
barriers and lighting devices shall conform to the specifications set forth in the United
States Department of Transportation Manual on Uniform Traffic Control Devices, and
any amendments thereto.The road opening or excavation shall be lit continuously from
hyilight to dawn. A minimum of four flashers must be used at the construction site or along the right-of-way as required by the
Highway Superintendent.
B. The permittee shall notify the Southold Police Department of the condition of the
unfinished road opening or excavation and furnish the Police Department with contact
information.Any road opening or excavation work shall be performed and conducted so
as not to interfere with access to fire stations and fire hydrants.Materials or obstructions
shall not be placed within 50 feet of the fire hydrants and connections.Passageways
leading to fire escapes or fire-fighting equipment shall be kept free of piles of material or
other obstructions.
§ 237-13 Permit requirements.
F. Final pavement replacing.
(3) If temporary patching is not accomplished,final pavement must be completed
within 20 days of opening.If temporary patching is accomplished as specified,
then final pavement repitteing must be completed within 30 days of temporary
patching or within such additional time as may be authorized by the
Superintendent,at his discretion,upon application.
I. Notification.
Upon the issuance of a road opening_permit,the applicant
shall provide a forty-eight-hour written notice to the Highnay Superintendent,or his duly
authorized representative,_prior to making any road openings,except in cases of
emergency as provided for herein.No openings shall be commenced on a Saturday.,
Sunday or a holiday unless in cases of emergency,
K. Driveway and curb cut specifications for residential(noncommercial)use.Each curb cut
and driveway for noncommercial use constructed under a pennit issued pursuant to this
chapter shall be constructed in accordance with the following specifications:
1. Curb cuts for dwellings shall be no greater than 10 feet for one-car access at the
curbline.
2. Curb cuts for dwellings shall be no greater than 18 feet for two-car access at the
curbline.
3. For corner properties,the minimum distance permitted between any curb cut and
the property line forming the adjoining street extended to the curbline shall be 30
feet.
4. A minimum distance of 10 feet from side property lines shall be maintained when
measured from the expansion joint.
5. Curb cuts shall be at least 10 feet from the nearest utility_pole,storm drain and
fire hydrant/Fire Department connection.
6. Curb cuts shall have a reveal of no less than 3/4 of an inch.
7. Driveway aprons adjacent to concrete sidewalks shall be made of concrete.
Residential driveway aprons and adjacent concrete sidewalk shall be reinforced
and be six inches thick.An empty one-inch schedule PVC electrical conduit may
b.req it y the Highway Department to be provided below the apron.
Driveway aprons utilizing decorative materials installed adjacent to an asphalt
roadway shall not be installed closer than three feet to the edge of the asphalt road
surface.
8. Curb cuts and driveway aprons may be made of asphalt or other alternative
material and shall delineate between the driveway apron and the street. Curb cuts
made of anything other than concrete or asphalt require a declaration of waiver
and release of claims against,and indemnification of,the Town of Southold.
L. Driveway and curb cut specifications for commercial use.Each curb cut and driveway
for commercial use constructed under a permit issued pursuant to this chapter shall be
constructed in accordance with the following specifications:
l. Curb cuts for commercial use shall be not greater than 25 feet at the curbline.
However,should the applicant prove a requirement of greater width in order to
accommodate larger vehicles,consideration for such greater width may be given.
2. For corner property.,the minimum distance permitted between any commercial-
use curb cut and the property line forming the adjoining street extended to the
curbline shall be 40 feet.
3. A minimum distance of 15 feet from side pmp�rty lines shall be maintained at the
curbline for all commercial-use curb cuts when measured from the expansion
joint.
4. Commercial driveway aprons and adjacent concrete sidewalk shall be reinforced
and be eight inches thick.An empty one-inch schedule PVC electrical conduit
may be required by the Highway Department to be provided below the apron.
5. Commercial-use curb cuts may be supplemented by additional commercial-use
curb cuts,provided that all such curb cuts are not less than 25 feet,one from the
other,at the curbline,and the application otherwise meets all requirements herein.
6. Curb cuts shall be at least 10 feet from the nearest utility_pole,storm drain and
fire hydrant/Fire Department connection.
7. Curb cuts shall have a reveal of no less than 3/4 of an inch.
M. Circular driveway_guidelines. To comply with the Southold Highway Department's
guidelines,the following are the requirements necessary in order to obtain permission
to obtain road opening_permits to install a circular driveway_
1. A minimum property frontage measurement of 100 feet is required.
2. Upon application for a permit,the Highway Department may allow for a circular
ri ay.,the width of the curbcut and driveway radius to be determined by the
Highway Superintendent.
3. Curb cut openings must remain at least 10 feet from each side property line.
4. Curb cut openings must remain at least 10 feet from any existing trees,light posts
or fire by rant ,utility_poles, storm drains and fire hydrant/Fire Department
connections.
§ 237-14 Completion of work.reimbursement and assessment.
The applicant shall notify the superintendent when work has been completed,after which an inspection will be made by the
Superintendent or his duly authorized agent,and upon approval of the work,a release will be granted to the applicant. Until the granting
of such a release,the applicant shall remain liable for proper guarding and protection as provided herein. Each application shall authorize
the Highway Superintendent to complete the repair, construction or reconstruction whenever the Superintendent fords reasonable cause to
conclude that the applicant failed,refused or neglected to complete such repair,construction or reconstruction. The Town shall be
reimbursed for the cost of such repair,construction or reconstruction from the applicant or through the assessment against and collection
from the lots or parcels of land where such work was performed or services rendered for so much of the actual and complete costs as
incurred upon and from each lot or lots.
§ 237-15 Revocation.
The Superintendent,upon a fording that the issuance of a permit was illegal or unauthorized or that the applicant has failed to comply
with any of the terms and conditions of the permit or of this article, may revoke the permit,and the applicant shall thereupon,with all
reasonable speed,forthwith restore the highway to its former condition.
§ 237-16 Responsibility for damages; repair.
The person to whom such permit is issued shall be responsible for all damages caused to public utilities

Said permittee shall hold the Town of Southold and its officers harmless against any and all claims,judgments or other costs arising out
of the work conducted or for which the Town of Southold or any Town officer may be made liable by reason of any damage or injury to
person or property through the fault of the permittee. Permittee shall restore and place in good and safe condition,as nearly as it can be
to its original condition and to the satisfaction of the Superintendent of Highways,all openings and excavations made in the streets and to
maintain any street where an excavation is made in a condition as good as before said work shall have been done,for the period of 12
months after said work shall have been done, usual wear and tear excepted.Any settling of the surface within said one-year period shall
be deemed conclusive evidence of defective backfilling by the permittee.
III. SEVERABILITY
If any clause,sentence,paragraph,section,or part of this Local Law shall be adjudged by any court of competent jurisdiction to be
invalid,the judgment shall not affect the validity of this law as a whole or any part thereof other than the part so decided to be
unconstitutional or invalid.
IV EFFECTIVE DATE
This Local Law shall take effect immediately upon filing with the Secretary of State as provided by law.

§ 34-1 Purpose.
The Town of Southold Housing Fund will provide the Town with a mechanism to obtain funding and create programs that will increase
housing opportunities for families and individuals who cannot procure affordable housing within the Town.
IL Amendment
§ 34-2 Findings.
A. The lack of affordable housing creates many adverse effects for the Town.Regional employers grapple with the task of hiring
and retaining employees due to the limited availability of affordable housing.Recruiting and retaining essential personnel(police
officers,firefighters,teachers,nurses,etc.)has become increasingly a challenge due to the lack of affordable housing.Volunteer
emergency services are also impacted by the lack of affordable housing,prompting the possible necessity of replacing volunteer
services with paid employees. While the Town has benefited from increased tourism and second homeownership,it must also sustain
a population who can afford to live and work in Town.Therefore,_preference will be given to candidates of affordable housing
engaged in volunteer services as firefighters and/or other first responders,-provided that such housing is located within the
boundaries of the area served by the firefighter/first responder.As used in this paragraph"firefighter" shall mean a person who is
duly certified and trained to engage in firematic services and has performed such services in the County of Suffolk in good standing
for the three-years period immediately prior to qualification;"first responder"shall mean a person who is licensed and trained to
provide emergency medical services and who has actively_provided such services in the County of Suffolk in good standing for the
three-year period immediately or to qualification.Any such firefighter/first responder must maintain good standing at all times to
maintain minimal qualifications for such housing status.
Ill. SEVERABILITY

111. SEVERABILITY
If any clause,sentence,paragraph,section,or part of this Local Law shall be adjudged by any court of competent jurisdiction to be
invalid,the judgment shall not affect the validity of this law as a whole or any part thereof other than the part so decided to be
unconstitutional or invalid.
IV. EFFECTIVE DATE
This Local Law shall take effect immediately upon filing with the Secretary of State as provided by law.
