LASEMENT AGREEMENT
THIS AGREEMENT made this 3 d day of June, 2024 (this "Agreement") between
BRIAN P. O'REILLY, residing at 72 Oak Street, Floral Park, NY 11001 (hereinafter "party of
the first part" or "Grantor"), and DANIEL T. SWEENEY AND JUSTINE T. SWEENEY,
residing at 647 Pine Neck Road, Southold, NY 11971, (hereinafter, party of the second part" or
"Grantee");
WHEREAS, the party of the first part is the owner in fee simple of the parcel of land
located at and designated as 659 Pine Neck Road, Southold, NY 11971, Town of Southold,
County of Suffolk, State of New York, and designated on the Suffolk County Tax Map as 1000-
070.00-05.00-031.001, which property is more fully described in Schedule A. attached hereto,
(hereinafter "Parcel I");
WHEREAS, the party of the second part, is the owner in fee simple of the parcel of land
located at and designated as 647 Pine Neck Road, Southold, NY 11971, Town of Southold,
County of Suffolk, State of New York, and designated on the Suffolk County Tax Map as 1000-
070.00-05.00-031.002, which property is more fully described in Schedule B, attached hereto, v
(hereinafter "Parcel 2");
WHEREAS, the party of the first part intends to grant an easement to the party of the
second part for a portion of the parcel of land of the party of the first part described in Schedule
A said easement and said portion of the parcel of land being affected by such easement (such
portion, the "Easement Area") being more fully described in Schedule C attached hereto.
WITNESSETH
NOW THEREFORE IN CONSIDERATION of Ten Dollars each to the other paid and
the receipt of which is hereby acknowledged and other good and valuable consideration, the
party of the first part hereby grants and conveys unto the party of the second part, its heirs,
successors and/or assigns which shall come into title to said Parcel 2 (collectively, "Party 2"),
a permanent and perpetual access easement over the Easement Area, as set forth more fully in
Schedule C. to allow access for the placement, installation, maintenance, repair, inspection and
replacement of a public underground water utility line serving Parcel 2, and Party 2, at their
sole cost and expense, shall restore the area to its original condition after installation,
maintenance, repair, inspection and replacement of such water line. In addition, to the fullest
extent permitted by law, Party 2 agrees to indemnify and hold harmless the party of the first
part,its heirs,successors and/or assigns which shall come into title to said Parcel 1 (collectively,
"Party I") from and against all damages, claims, losses, liabilities, costs and expenses
(including reasonable legal fees)arising out of this easement and any access pursuant hereto by
Party 2 and/or any of their respective agents, contractors, employees, representatives. The cost
of installation, maintenance, repair, inspection and replacement of said underground water
utility line, and the cost to restore the area to its original condition as aforesaid, shall, in all
cases, be born solely by Party 2.
The installation of said water lines within the Easement Area must be with the consent
of the Suffolk County Department of Health Services(the "Department").
Party I retains unto itself all rights to fully enjoy its foredescribed premises except
for the easement herein granted to Party 2.
The aforementioned easement contained herein shall be enforceable by the Suffolk County
Water Authority (the "SCWA"), County of Suffolk, State of New York, by injunctive relief or by
any other remedy in the County of Suffolk, the Suffolk County Water Authority, or the County of
Suffolk, to enforce the same shall not be deemed to affect the validity of this easement nor to
impose any liability whatsoever upon the County of Suffolk or any officer or employee thereof.
The failure of any agencies or departments of the County of Suffolk,the Department or the County
of Suffolk, to enforce the same shall not be deemed to affect the validity of this easement nor
impose any liability whatsoever upon the County of Suffolk or any officer or employee thereof.
This Agreement (including the grant of easement herein) shall at all times be deemed a
continuing covenant that runs with the land and shall be binding upon, and inure to the benefit of
the parties hereto and their respective heirs, successors and assigns. The rights and obligations of
the parties hereunder shall apply and be enforceable by and against the parties as the owners of
the respective tracts of land described in and covered by this Agreement. When a party no longer
owns a particular tract of land described in this Agreement, such party no longer shall have the
rights or the obligations accruing hereunder with respect to such property(but shall not be released
from obligations, liabilities, indemnities, or responsibilities that accrued during the period of time
that such person was the fee owner of such tract of land) and the successor owner of such property
shall automatically succeed to said rights and assume said obligations.
This grant of easement shall not be terminated or extinguished without the prior written
approval of the SCWA and the Department.
