Any other activity within 100' of the wetland boundary requires a permit from this office. This is not a determination from any other agency. Herrmann En-Consultants 1319 North Sea Road Southampton, NY 11968 RE: ROCKY BLUFF, LLC, c/o RICHARD REISMAN, MEMBER 645 ROSENBURG ROAD, EAST MARION SCTM# 1000-21-1-26.1 Dear Mr. Herrmann: The Board of Town Trustees took the following action during its regular meeting held on Wednesday, August 14, 2024 regarding the above matter: WHEREAS, En-Consultants on behalf of ROCKY BLUFF, LLC, c/o RICHARD REISMAN, MEMBER applied to the Southold Town Trustees for a permit under the provisions of Chapter 275 of the Southold Town Code, the Wetland Ordinance of the Town of Southold, application dated June 27, 2024, and, WHEREAS, said application was referred to the Southold Town Conservation Advisory Council . and to the Local Waterfront Revitalization Program Coordinator for their findings and recommendations, and, WHEREAS, the LWRP Coordinator issued a recommendation that the application be found Consistent with the Local Waterfront Revitalization Program policy standards, and, WHEREAS, a Public Hearing was held by the Town Trustees with respect to said application on August 14, 2024, at which time all interested persons were given an opportunity to be heard, and, WHEREAS, the Board members have personally viewed and are familiar with the premises in question and the surrounding area, and, WHEREAS, the Board has considered all the testimony and documentation submitted concerning this application, and, 2 WHEREAS, the proposal complies with the standards set forth in Chapter 275 of the Southold Town Code, WHEREAS, the Board has determined that the project as proposed will not affect the health, safety and general welfare of the people of the town, NOW THEREFORE BE IT, , RESOLVED, that the Board of Trustees have found the application to be Consistent with the Local Waterfront Revitalization Program, and, RESOLVED, that the Board of Trustees APPROVE the application of ROCKY BLUFF, LLC, c/o RICHARD REISMAN, MEMBER to construct onto existing two-story, single family dwelling an 18'x25.7' second-floor dormer addition with a 4.2'x23.7' roofed-over second-floor deck (in place of 562sq.ft. portion of existing second floor, with same roof line); and a 408sq.ft. one story addition (in place of 313sq.ft. screened porch and 95sq.ft. portion of 165sq.ft. covered entry to be removed from between dwelling and existing accessory garage); remove existing outdoor shower and install a 4'x7' outdoor shower; remove brick walkway and install 4.5' wide masonry walkway; relocate existing 8'x12' shed more than 100' from bluff; remove conventional septic system and install an I/A sanitary system with.associated 2' high by 48' long concrete retaining wall more than 100' from bluff; install stormwater drainage system; replace existing pervious gravel driveway; and establish and perpetually maintain a 10' wide vegetated non-turf buffer along the top crest of the bluff to be planted with native vegetation; all as depicted on the site plan prepared by Maresca &Associates, received on June 27, 2024, and stamped approved on August 14, 2024. That the said Board of Trustees and the Town of Southold are released from any and all damages, or claims for damages, of suits arising directly or indirectly as a result of any operation performed pursuant to this permit, and the said Permittee will, at his or her own expense, defend any and all such suits initiated by third parties, and the said Permittee assumes full liability with respect thereto,to the complete exclusion of the Board of Trustees of the Town of Southold. 2. That this Permit is valid for a period of 36 months,which is considered to be the estimated time required to complete the work involved,but should circumstances warrant, request for an extension may be made to the Board at a later date. 3. That if future operations of the Town of Southold require the removal and/or alterations in the location of the work herein authorized, or if, in the opinion of the Board of Trustees,the work shall cause unreasonable obstruction to Tree navigation,the said Permittee will be required, upon due notice,to remove or alter this work project herein stated without expenses to the Town of Southold. 8. The Permittee is required to provide evidence that a copy of this Trustee permit has been recorded with the Suffolk County Clerk's Office as a notice covenant and deed restriction to the deed of the subject parcel. Such evidence shall be provided within ninety(90)calendar days of issuance of this permit. 9. That the said Board will be notified by the Permittee of the completion of the work authorized. 10. The Member is organizing a limited liability company pursuant to the New York Limited Liability Company Law, as amended from time to time (the "Law"), and pursuant to the provisions of this Agreement and, for that purpose, is causing the Articles of Organization(the"Articles") to be prepared, executed, and filed with the New York Department of State. 1.1.2. Richard Reisman is hereby designated as an authorized person, within the meaning of the Law, to execute, deliver and file the Articles (and any amendments and/or restatements thereof) and any other certificates (and any amendments and/or restatements thereof) necessary for the Company(as definedd-below)to qualify to,do business in a jurisdiction in which the Company may wish to do business. 1.2. Name of the Company. The name of the limited liability company shall be ROCKY BLUFF LLC (the "Company"). The Company may do business under that name and under any other'name or names upon which the Member decides. If the Company does business under a name other than that set forth in its Articles of Organization,then the Company shall file a certificate as!required by section 130 of the General Business Law. i 1.3. 'Purpose. The Company is organized for the ownership, purchase, sale or leasing of real properties or otherwise any related business organized under the New York Limited Liability Company Law and to do any and all things necessary, convenient, or incidental to that purpose. 1.4. 1 Term. The Company shall have a perpetual existence unless its existence is sooner terminated pursuant to Article VII of this Agreement. 1.5. I Member. Initial Capital Contribution. The Sole Member shall make an initial capital contribution to the Company, consisting of cash or real or personal property, in the amount of five thousand($5,000.00)dollars. 2.2. No Additional Capital Contributions Required The Member shall not be required to contribute any additional capital to the Company. The Member shall not have any personal liability for any debt, obligation or liability of the Company. 2.3. No Interest on Capital Contributions. The Member shall not be paid interest on the Capital Contribution. 2.4. Return of Capital Contributions. Except as otherwise provided in this Agreement, the, Member shall not have the right to receive any return of the Capital Contribution. 2.5. Form of Return of Capital. If the Member is entitled to receive a return of the Capital Contribution,the Company may distribute cash,notes,property, or a combination thereof to the Member in return of the Capital Contribution. 2.6. Loans. The Member may, at any time, make or cause a loan to be made to the Company in any amount and on those terms as determined by the Member. Article III Profit,Loss,and Distributions 3.1. Profits and Losses. The Company's taxable income or loss, determined in accordance with Ithe Internal Revenue Code of 1986, as amended, for each taxable year shall be allocated to the Member. 3.1. Distributions of Cash Flow. The cash flow derived from the operations of the Company may be distributed to the Member at such times and in such amounts as determined by the Member. 3.2. Distributions of Capital Proceeds. The receipt of cash or other consideration from transactions not in the ordinary course of business, other than any capital contribution, including,without limitation,proceeds of sales or exchanges or other dispositions of property not in the ordinary course of business, financings, re-financings, condemnations, recoveries of damage awards, and insurance proceeds, may be distributed to the Member at such times and in such amounts as determined by the Member. Article TV Management: Rights,Powers,and Duties 4.1. Management. 4.1.1. The Company shall be managed by the Member. The Member shall have the full and exclusive right and power to act for and bind the Company. 4.1.2. The Member may cause the Company to employ and retain such other persons as maybe necessary or appropriate for the conduct of the Company's business, on such terms as the Member shall determine, including persons who may be designated as officers. The officers of the,Company shall have the titles, powers and duties delegated to them by the Member. Any number of titles may be held by the same officer. 4.1.3. The Member shall have the power and authority to delegate his right and power to manage and control the business and affairs of the Company to one or more other persons (including one or more committees, managers and agents, employees and/or affiliates of a manager),including delegation by management agreement or other arrangement. 4.2. Liability and Indemnification. 4.2.1. Except as otherwise provided by law, no Member shall be liable, responsible or accountable in any way for damages or otherwise to the Company or to any of the Members for any act or failure to act pursuant to this Agreement or otherwise unless there is a judicial determination that (i) such person acted in bad faith, (ii) the conduct of such person constituted intentional misconduct or a knowing violation of law, (iii) such person gained a financial benefit to which he or she was not legally entitled or (iv) such person failed to perform his or her duties, specifically with respect to distributions under section 508(a) of the Law, in good faith and with that degree of care that an ordinarily prudent person in a like position would use under similar circumstances. 4.2.2. The Company shall indemnify, defend and hold harmless the Member from and against any claims, losses, liabilities; damages, fines, penalties, costs and expenses (including, without limitation, reasonable fees and disbursements of counsel and other professionals) arising out of or in connection with any act or failure to act by the Member pursuant to this, Agreement, or the business and affairs of the Company, to the fullest extent permitted by law; provided, however, that the Member shall not be entitled to indemnification hereunder if there is a judicial determination that (a) the Members actions or omissions to act were made in bad faith or were the result of active and deliberate dishonesty and were material to the cause of action so adjudicated, or (b) the Member personally gained a financial benefit to which the Member was not legally entitled. Article V Transfers of Interest 5.1. Transfers. The Member may transfer in whole or in part his interest in the Company. Upon the death of the Member, the personal representative of the Member's estate shall be entitled, at his or her election in writing within ninety (90) days after the death of the Member,to be admitted as the Member. Article VI Admission of Additional Members i 6.1. Admission of Additional Members. . The Member- may admit one or more additional members to the Company. Article VII Dissolution,Liquidation,and Termination of the Company 7.1. Events of Dissolution. The Company shall be dissolved upon the happening of any of the following events: i 7.1.1. Upon the consent of the Member; 7.1.2. Upon the death or bankruptcy of the Member or the occurrence of any other event which under the Law terminates the continued membership of the Member in the Company ("Involuntary Withdrawal"), unless the personal representative of the Member, within ninety (90) days of the Involuntary Withdrawal, elects to continue the business of the Company pursuant to the terms of this Agreement. 7.1.3. Therefore, the project will not only avoid causing significant adverse environmental impacts,it will result in the overall improvement to the physical and environmental condition of the property and surrounding ecosystem. 1) The dwelling's legally permitted and now nonconforming setback from the bluff, which is well vegetated and appears to be stable, would be maintained with no new encroachments; and all construction would occur well outside the Coastal Erosion Hazard Area. 2) All of the proposed construction would occur within the existing structural footprint. 3) The existing conventional septic system located less than 100 feet from the bluff will be removed and replaced with a low-nitrogen,I/A sanitary system consisting of an I/A OWTS located more than 100 feet from the top of bluff and more than 200 feet from the surface waters of Long Island Sound. Unlike conventional systems that are not designed or equipped to treat nutrients such as nitrogen, I/A systems are designed to significantly reduce nitrogen loading into the groundwater and ultimately surface waters. 4) To reduce the area and increase the setbacks of maintained lawn and potentially associated chemicals from the adjacent naturally vegetated bluff;and to mitigate the potential impacts of runoff and potentially associated bluff erosion, a 10-foot wide vegetated non-turf buffer will be established with native plantings along the top of bluff. 5) To further minimize potential impacts from stormwater runoff, a proposed stormwater drainage system is designed to capture and recharge roof runoff from the renovated dwelling and greywater from the proposed outdoor shower. 6) A project limiting fence will be installed to contain site disturbance and potential surface runoff during construction. Unlike conventional systems that are not designed or equipped to treat nutrients such as nitrogen, I/A systems are designed to significantly reduce nitrogen loading into the groundwater and ultimately surface waters. 4) To reduce the area and increase the setbacks of maintained lawn and potentially associated chemicals from the adjacent naturally vegetated bluff,and to mitigate the potential impacts of runoff and potentially associated bluff erosion,a 10-foot wide vegetated non-turf buffer will be established with native plantings along the top of bluff. 5) To further minimize potential impacts from stormwater runoff, a proposed stormwater drainage system is designed to capture and recharge roof runoff from the renovated dwelling and greywater from the proposed outdoor shower. 6) A project limiting fence will be installed to contain site disturbance and potential surface runoff during construction. -SEE ATTACHED ADDENDUM- Attach additional sheets if necessary Policy 7.
