EASEMENT AGREEMENT
THIS EASEMENT AGREEMENT, made this 2151 day of March, 2024, by Creek
Capital, LLC,a New York limited liability company having an address at 180 Water Street,Apt.
810, New York, New York 10038 ("Grantor") and Fishers Island Telephone Company, Inc., a
New York-corporation having an address of 161 Oriental Avenue, P.O. Drawer E. Fishers Island,
New York 06390("Grantee").
WITNESSETH :
WHEREAS, Grantor is the owner of certain real property located on Fishers Island,
Town of Southold, County of Suffolk and State of New York being more particularly bounded
and described as set forth on Schedule "A"attached hereto (the "Premises"); and
WHEREAS, Grantee has previously installed and maintained over a portion of the
Premises lines, boxes, cables, pipes, conduits, poles and other utility equipment and devices (the
"Distribution Facilities") for the provision of telephone, internet and other telecommunications
services(the "Services") to the Premises and other properties located on Fisher's Island; and
WHEREAS,Grantee desires that Grantor grant to Grantee an easement over a portion of
the Premises which portion includes, but is not limited to, the land on which the Distribution
Facilities are currently installed and maintained, which portion is described on Schedule "B"
attached hereto (the "Easement Area"); and
WHEREAS, Grantor is willing to grant such easement over the Easement Area to
Grantee upon the terms and conditions hereinafter set forth herein;
NOW, THEREFORE, in consideration of the sum of ten dollars($10.00) and other
good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged,
the parties hereto agree, as follows:

l. Grantor hereby grants to Grantee, and its contractors, subcontractors, agents,
servants and employees a permanent easement upon, across, over and/or under the Easement
Area for the use, construction, operation, maintenance, repair, replacement and improvement of
the Distribution Facilities and any other utility equipment of any nature which may now or may
hereafter be employed by Grantee to provide the Services to the Premises and other properties
located on Fisher's Island. This Easement shall include the right of Grantee and its respective
contractors, subcontractors,agents, servants and employees to enter upon the Easement Area to
undertake any actions consistent with the purposes for which this Easement is granted, including,
but not limited to, the trimming,cutting and removal of trees and other vegetation that in their
judgment might interfere with the continuity of the Services, but nothing herein shall be
construed as imposing any obligation upon Grantee to undertake any such actions.
2. This Easement shall be perpetual and shall run with the land and shall be binding
upon the parties hereto and their respective successors and assigns and any subsequent owners of
the Premises.
3. This Agreement contains the entire understanding and agreement of the parties
with respect to its subject matter and all prior negotiations, discussions, commitments,
representations, agreements and understandings heretofore had between the parties hereto with
respect to the matters set forth herein are merged herein. This Agreement shall be governed and
construed in accordance with the laws of the State of New York. This Agreement may not be
modified, amended or terminated except in writing signed by the parties.
4. This Agreement may be executed in any number of counterparts,each of•whtch''..,

feet either side of the center line, and whose center line being more particularly described as
follows:
BEGINNING at a point at the intersection of the Southwesterly line of Oriental Avenue with the
Southeasterly line of Fones Street, said point being located 2482.91 feet North of a point which
is 2117.20 feet West of a monument marking the United States Coast and Geodetic Survey
Triangulation Station "Pros"; and thence running South 37°43' 20" East 17.43 feet along said
