This Easement shall be perpetual and shall run with the land and shall be binding upon the parties hereto and their respective successors and assigns and any subsequent owners of the Premises. 3. This Agreement contains the entire understanding and agreement of the parties with respect to its subject matter and all prior negotiations, discussions, commitments, representations, agreements and understandings heretofore had between the parties hereto with respect to the matters set forth herein are merged herein. This Agreement shall be governed and construed in accordance with the laws of the State of New York.
