The metes and bounds description of the Easement Area are more fully described in Exhibit "D" annexed hereto ("Easement Area"); and y WHEREAS, Grantor, for good and valuable consideration, is desirous of conveying an Exclusive Easement to Grantee over the Easement Area so that Grantee can have exclusive, undisturbed access to and use of the existing improvements on Grantee's property that lie within the Easement Area, and for ingress, egress and parking. Grantor does hereby grant, transfer, bargain, sell and convey unto Grantee, in perpetuity, an Exclusive Easement, on, over and under the Easement Area on Grantor's property depicted on Exhibit "C" annexed hereto and more fully described in Exhibit "D"annexed hereto. 2. The nature, character and extent of the Easement hereby granted is as follows: A. Grantee shall have the exclusive right to use, traverse, access, improve, maintain, and park vehicles upon said Easement Area comprised of 1,462 square-feet along the northwestern end of Grantor's property and Grantor, its heirs, successors and assigns hereby waive any right to use, traverse, access or improve the Easement Area without the express permission of Grantee. B. The location of the Easement Area described in Exhibit "D" shall not be changed without the consent of both parties and their respective representatives. C. Grantee also agrees to indemnify, save and hold Grantor harmless against any and all claims for property damage and/or personal injury arising out of the use and enjoyment of said Easement by the Grantees; their heirs, successors and assigns, invitees and trespassers to the extent not covered by.insurance. 3. This Agreement shall inure to the benefit of. and bind, the parties, their heirs, successors, legal representatives and/or assigns, and shall run with the land in perpetuity.
