Nal:Yotk, llgoq :T"=20'onrEIAPRlL 5. 2012 _ ram(eal)-6n lase ras(Got)Rae-s u:*a!u+nt e�lg4lnlry 12...sa.q,al bw,L BY-LAWS OF TERRY WATERS PROPERTY OWNERS ASSOCIATION,INC ARTICLE I(PURPOSE): The purpose of the Association is to promote co-operation and fellowship among the lot owners in the development known as Terry Waters,located south of Bay View Road in Southold,Suffolk County,New York(hereinafter referred to as Terry Waters) and to maintain such real property and other property this association might own or possess for the convenience and enjoyment of its members,as far as financially possible. The office of the Association shall be in the Town of Southold,Suffolk County,New York. ARTICLE H(MEMBERSHIP): The membership shall be limited to lot owners of Terry Waters.Lot owners shall become members by completing a Membership Form prepared by the Association and by paying the required dues for the current year.There shall be only one Membership form approved for any lot owner or owners regardless of the number of lots owned. There shall be only one Membership form approved for one or more lots whether owned by an individual,several persons jointly or in undivided fractions,by two spouses,by a corporation, partnership,joint venture or syndicate. The membership terminates when a lot owner ceases to own property in Terry Waters. If a lot owner dies,the membership shall be transferred to one of his heirs,beneficiaries or surviving tenants who acquires the lot and applies for such transfer after presenting proof of ownership and a completed Membership Form.A majority of the Board of Directors can expel a member who has been in default of his financial obligations to the Association,dues excepted for sixty days or longer and after a request for payment has been mailed to him at his recorded address a minimum of one month before such expulsion becomes effective. A two-thirds majority of the Board of Directors may expel a member who violates the By-Laws or any rules and regulations of the Association after having failed to cease such violation in spite of registered letter from the Secretary requesting termination of the violation. Each completed Membership Form and dues payment entitles the holder to only one vote at any membership meeting. Any member can exercise his vote by a written proxy,subject to further provisions of these By-Laws. Such proxy authority must be signed by that member,can be given only for a specified dated meeting and/or the adjournment date of such meeting and must be presented to the Secretary at or prior to such meeting.Such proxy authority entities the holder to vote only on items which are specifically stated in the notice for such meeting. A meeting to adopt these By- Laws shall be held as soon as possible and all lot owners whose address can be established shall be invited to attend with at least 15 days advance written notice stating the date,time and location of such meeting. At such meeting,a President;a first Vice-President;a second Vice-President;a Treasurer and a Secretary shall be elected to remain in office until the first Annual Meeting provide herein and these officers shall constitute the entire Board of Directors. The Annual Meeting of the Association is to be held on the last Sunday or Saturday of each June at or about 1 o'clock P.M. The meeting date and time may be changed for good reasons with the consent of the majority of the Board of Directors.Additional meetings of the members are to be convened for a stated purpose on any Saturday or Sunday either at the written request of a majority of the Board of Directors or at the written request to the Board of Directors of 25%of the membership or a minimum of seven members. Such written request by the membership must state the purpose for such request. Subject to the provisions set forth by these By-Laws and otherwise required by law a quorum must be present in order to hold a meeting of the membership.50%of the membership,present in person or by proxy,shall comprise a quorum. Such proxy vote can vote only on matters set forth in the notice of meeting.Of two joint property owners,either owner may vote for both.A written notice mailed at least ten days before each meeting shall be sent by the Secretary or his assistant from a Post Office receptacle to each member at his address as stated by the member on the Membership Form,mentioning the date, time,place,and purpose of the meeting. At all meetings of the membership the order of business shall be as follows: 1) Recording the voting rights present in person or by proxy; 2) Reading of the minutes of the previous meeting for information and approval; 3) Report of the Officers; 4) Report of Committees; the article of the Certificate of Incorporation and the By-Laws of this Association.The Secretary shall have the following responsibilities: 1. To keep a record of the names of all members,their addresses and signatures on an individual record for each member as reported by such members. This record is to be available at all meetings. 2. To attend all meetings of the members and of the Board of Directors and record all minutes and votes taken in such form as required by law,the Certificate of Incorporation or the By-Laws. 3. To cause to mail or had out any notices in proper form as required by law,the Certificate of Incorporation or the By-Laws. 4. To safekeep all documents,records,books and the Seal of this Association. 5. To execute all requests made to him in his capacity as Secretary by the President or,in his absence,by a vice President and to allow any member to inspect all records,documents and books at a reasonable place and time. The Treasurer shall keep accurate accounts and records of all monies received,withdrawals checks,other vouchers and bank accounts.He shall promptly deposit all monies in one or several banks as instructed and as selected by the Board of Directors.He shall render a full financial accounting at each Annual Meeting and at other times as requested by the membership and keep his accounts and all records open for inspection by any member at a reasonable place and time. The records of by the Secretary and Treasurer are to be stored for safekeeping until authorization is given by the Board of Directors for their disposal. The Board of Directors is herewith requested to cause—as soon as possible-a change in the present Certificate of Incorporation to bring about: 1 The deletion of subparagraph`d of Article"SECOND"on the first page of this Certificate of Incorporation;and 2) Have added to this Certificate of Incorporation the following words:"All officers shall be elected by the members instead of by the Board of Directors." ARTICLE V(DUES): Every member shall be obligated for annual dues,the amount of which shall be determined at the Annual Meeting on the recommendation of the Board of Directors. Such dues shall be used only to defray normal operating expenses such as postage,stationary, printing,insurance costs and other necessary administrative expenses.It is anticipated that such dues will not exceed$100 per annum,unless otherwise authorized by the general membership at a proper membership meeting.Dues shall be due and payable immediately upon being established at the Annual Meeting.Membership shall terminate automatically if dues are not fully paid by October 1 immediately following that Annual Meeting. ARTICLE VI(ASSESSMENTS):In the event the Association should find it necessary to incur expenses not covered by the annual dues a special assessment may have to be imposed. Such assessment may be authorized only by a majority vote at a general membership meeting. ARTICLE VII(CHANGES OR AMENDMENTS): changes or amendments of the By-Laws and the Certificate of Incorporation may be made only at a membership meeting called for that purpose,upon the approval of two-thirds of the members present in person or by proxy. 2 TERRY WATERS PROPERTY OWNERS ASSOCIATION, INC. Continued violation of these rules and regulations jeopardizes your Membership in the Association.Please share them with those visiting or renting your property. PETS: In furtherance of the Southold Town Code,and for the safety of our residents,kindly make certain that your dog does not run at large and is maintained on a leash on public roadways. (Southoldtownny.gov.)No pets are permitted on the beach of your Association's property. WATERCRAFT: 1) Boats may be moored to properly anchored buoys offshore,not less than 100 yards from the mean low water mark and 20 feet east of the jetty. The Association assumes no responsibility for said moorings or the boats moored thereto. 2) When launching or landing a rubber or plastic raft,rowboat,or sailboat,use the western 20 feet of the beach. 3) Launching power driving craft or jet skis is not permitted. THE FOLLOWING ACTIONS ARE NOT PERNHTTED: 1) Erection of tents,temporary shelters etc. 2) Littering(please bring all your disposable items back to your home when you leave the beach) 3) Loitering within the Park/Beach area and adjacent roads 4) Bringing motor vehicles of any kind(including motorized carts)within the Beach/Park area 5) Open fires 6) Fishing 7) Parking at the Association's Beach/Park area between 10 pm and 6 am. Please park at a 45-degree angle and as close to the fence as possible. This will allow more cars to be accommodated and to keep both Rambler Road and Watersedge Way more accessible to moving vehicles and away from nearby homes. Please do not park so close to the gate opening that your car will impede people entering or leaving the beach area. 8) Air rifles are not permitted on Association property.
