Within 3 weeks of approval Within 5 weeks of approval LIMITED WARRANTY In the event that any part of the alarm system becomes defective, or in the event that any repairs are required. Suffolk Secudty Systems agrees to make all repairs and replacement of paKs without costs to the Buyer for a period of one year from the date of installation, Suffolk Secudty Systems reserves the option to either replace or repair the alarm equipment, and reserves the dght to substitute materials of equal quality at time of replacement, or [o use reconditioned carts in fulfillment of this warranty. This warranty does not include batteries, reprogramming, damage by lightning, electrical surges, wire or foil breaks. ExcePt as set forth in this agreement Suffolk Security Systems makes no express warranties as to any matter whatsoever, in- cluding, without limitation. [he condition of the equipment, its merchantebJlity, or its fitness for any particular purpose. Suffolk Security Systems expressly disclaims any implied warranties, including implied warranties of merchantability or fitness for a par- ticular purpose. The warranty does not cover damage to material or equipment caused by accident, misuse, attempted or unauthorized repair service, modification, or ~mproper installation by anyone other than Suffolk Security Systems. Suffolk Security Systems shall not be liable for consequential damages. Buyer acknowledges that any affirmation of fact or premise made by Suffolk Security Sys- tems shall not be deemed to create an express warranty unless included in this contract in wdting and that Suffolk Secudty Sys- tems has offered additional and more sophisticated equipment for an additional charge which Buyer has declined. Buyer's exclusive remedy for Suffolk Security Systems breach of this contract or negligence to any degree under this contract is to require Suffolk Security Systems to repair or ret)lace, at Suffolk Secudty Systems' option, any equipment that is non- operational. This warranty gives you specific legal rights and you may also have other dghts that vary from state to state. ACCESS CODES: Dealer access codes to control panel software remain the property of Suffolk Security Systems inc. DELAY IN INSTALLATION: Suffolk Security Systems shall not be liable for any damage or loss sustained by Buyer as a result of delay Jr] installation of equipment, equipment failure or for interruption of service due to-electric failure, stdkes. walkouts, war. acts of God or other causes including Suffolk Security System's negligence in the performance of this con- tract. The estimated date work is to be substantially completed is not a definite completion date and time is not of the es- sence. TESTING OF SECURITY SYSTEM: The parties hereto agree that the alarm system, once installed, is in the exclusive pos- session and control of the Buyer, and it is Buyer's sole responsibility to test the operation of the alarm system and to notify Suffolk Security Systems if any equfpment is in need of repair. Suffolk Secudty Systems shall not be required to service the a~arm system unless it has received notice from Buyer. and upon sucn notice. Suffolk Security Systems shall service the alarm system to the best of its ability within 36 hours, exclusive of Saturday, Sunday and legal holidays, during the business hours of 8am and 4pm. Buyer agrees to test and insoect the alarm system and to advise Suffolk Security Systems of any defect, error or omission in the alarm system. In the event Buyer complies with the terms of this agreement and Suffolk Se- curity Systems fails to respond within 36 hours after notice is given (excluding Saturdays. Sundays and legal holidays), Buyer agrees to send notice that the system is in need of repair to Suffolk Security Systems. in writing, by certified or regis- tered mail and Buyer shall not be reseonsible for payments due while the alarm remains inoperable. In any lawsuit between the padies in which the condition or operation of the alarm equipment is ir~ issue, the Buyer shall be precluded from raising the issue that the alarm equipment was not operating unless the Buyer can prodUCe a post office certified or registered re- ceipt signed Dy Suffolk Security Systems, evidencing that service was reauested by Buyer. ALTERATION OF PREMISES FOR INSTALLATION: Suffolk Security Systems is authorized to make preparations such as drilling holes, driving nails, making attachments or doing any other thing necessary in seller's sole discretion for the installa- tion and service of the alarm system and Buyer represents that the owner of the premises, if other than Buyer, authorizes the installation of the alarm system under the terms of this agreement. BUYER'S DUTY TO SUPPLY ELECTRIC AND TELEPHONE SERVICE: Buyer agrees to furnish, at Buyer's expense, all 110 Volt AC power (rewiring at fire alarm panel to be done by Suffolk Security Systems), two dedicated telephone hook-ups, RJ31X Block or equivalent, as deemed necessary by Suffolk Security Systems. BUYER'S RESPONSIBILITIES: Buyer is solely responsible for any false alarm fines, permit fees and any other municipal assessments related to the alarm equipment and shall prompuy, on demand, reimburse and indemnify Suffolk Security Sys- tems for any such expenses. Should Suffolk Security Systems be required by existing or hereinafter enacted law to perform any service or furnish any material not specifically covered by the terms of this agreement Buyer agrees to ~ay Suffolk Se- curity Systems for such service or material. LIEN LAW: Suffolk Security Sys[ems or any subcontractor engaged by Suffolk Security Systems to perfom the work or fur- nish matedal who is not paid may have a claim against purchaser or the owner of the oremises if other than the purchaser which may be enforced against the property in accordance with the applicable lien laws. APPLICATION OF PAYMENTS: Suffolk Security Systems is legally required to deoosit all Payments received prior to com~ pletJon in accordance with New York Lien Law subdivision four of section 71A and. in lieu of such deposit. Suffolk Security Systems may post a bond or contract of indemnity with purchaser guaranteeing the return or proper application of such payments to the purposes of this contract. 9.. INDEMNIFY/WA VER OF SUBROGAT ON RIGHTS: Buyer agrees to and shall indemnify and hold harmless Suffolk Secu- rity Systems. its employees, agents and subcontractors, from and against all claims, lawsuits, including reasonable attor- neys' fees and losses asserted against and alleged to be caused by Suffolk Security Systems' performance, negligant per- formance or failure to perform any obligation. Parties agree that there are no third party beneficiaries of this contract. Buyer on its behalf and any insurance carrier waives any right of subrogation Buyer's insurance carrier may otherwise have against Suffolk Security Systems or Suffolk Security Systems' subcontractors arising out of this agreement or the relation of the parties hereto. t0. EXCULPATORY CLAUSE: Suffolk Security Systems and Buyer agree that the alarm equipment, once installed, becomes the personal property of the Buyer;, that the equipment is not permanently attached to the realty and shall not be deemed fix- tures. Buyer agrees that Suffolk Security Systems is not an insurer and no insurance coverage is offered herein. The alarm system is designated to reduce certain dsks of loss, though Suffolk Secudty Systems does not guarantee that no loss will occur. Suffolk Security Systems is not assuming liability, and therefore shall not be liable to Buyer for any loss, personal Jn- JcUry~or property damage sustained by Buyer as a result of burglary, theft hold-up fire equipment failure, smoke, or any other a.use=~V?~soeVer, regardless of whether or not such loss or damage was caused by or contributed to by Suffolk Security System~ negligent performance or failure to perform any obligation. Buyer reieases Suffolk Security Systems from any oJaTms for c~tr~n, indethnify or s~rogation 1t. INSURANCE: The Buyer shall maintain a policy of public liability, property damage, burglary and theft insurance under which Suffdlk-Secudty Systems and:the B~er are named as insured, and under which the insurer agrees to indempify and hoid Suffolk Security SyStems~harmless frem and against all costs, expenses (including attorney's fees and liability adsing out of or based upon any and ali claims, i0judes and aamages arising under this agreement, including but not limited to. those claims, in, ties and damages contributed to by Suffolk Security Systems' negligent performance to any degree or its failure to per~rm any obligation. The minimum lira ts of lab ty of such nsurance aha be one mil an do ars for any njury or death, and property damage, bprglary, and theft coverage in an amount necessary to indem~lify Buyer for property on its premises. LIMITATION OF LIABILITY: Buyer agrees, that should there arise any liability on the part of Suffolk Secudty Systems as a result of Suffolk Security Systems' negligent performance to any degree of failure or perform any ef Suffolk Security Sye- terns' obligations or equipment failure, that Suffolk Security Systems' liability shall be limited to the sum of $250 or 5% of the sale price, whichever is greater. If Buyer wishes to increase Suffolk Security Systems' maximum amount of Suffolk Secudty Systems' limltatien of liability, Buyer may, as a matter of right, at any t me, by entering nrc a supp ementa contract, abra n a highe[ limit by paying an annual 3ayment consonant with Suffolk Security Systems' increased liability. This shall not be con- strued as insurance coverage. · 13. LEGAL ACTION: In the event Suffolk Security Systems institutes legal action to recover any amounts owed by Buyer to Suffolk. Security Systems hereunder, the parties agree that the amount to be recovered, and any judgement to be entered. shall include interest at the rate of 1¼ % per month from the date payment is due. In any litigation between the parties Buyer shall pay Suffolk Security Systems' legal fees. The parties waive trial by jury in any action between them. In any action commenced by Suffolk Security Systems against Buyer, Buyer shall not be permitted to interpose any counterclaim. Any action by Buyer against Suffolk Security Systems must be commenced within thirteen months of the accrual of the cause of action or shall be barred. All actions or proceedings against Suffolk Security Systems must be based on the provi- sions of this agreement. Any other action that Buyer may have or bring against Suffolk Security Systems in respect to other services rendered in connection with this agreement shall be deemed to have merged in and be resthcted to the terms and conditions of this agreement Any action or dispute between the parties, including issues of arbitration, shall, at the option of either party, be determined by arbitration administered by the National Arbitration Association (7600 Jedcho Turnpike Suite LL3. Woodbury, NY 11746) under its Commercial Arbitration Rules 14. SUFFOLK SECURITY SYSTEMS' RIGHT TO SUBCONTRACT SPECIAL SERVICES: Buyer agrees that Suffolk Security Systems is authorized and permitted to subcontract any services to be provided by Suffolk Security Systems to thirs parties who may be indeoendent of Suffolk Security Systems. and that Suffolk Security SysTems shall not be liable for any loss or damage sustained by Buyer by reason of fire, theft, burglary or any other cause whatsoever causeo Dy the negligence of third parties. Buyer acknowledges that this agreement inure to the benefit of and are applicable to any assignee, subcontractors, and communication centers of Suffolk Security Sys[ems. FULL AGREEMENT/SEVERABILITY: This agreement constitutes the full understanding of the par~ies and may not be amended or modified or cancelled except in writing by both parties, except that in the event Suffolk Secudty Systems issues a UL certificate to Buyer, Suffolk Security Systems shall comply with Underwriters Laboratory or any local law requirements regarding items of protection provided for in this agreement.
