Neville Southold Town Clerk TOWN COPY AGREEMENT THIS AGREEMENT made this day of 2003 between the Town of Southold, a municipal corporation of the State of New York, having its office and principal place of business at 53095 Main Road, Southold~ New York 11971 hereinafter called the "Town" and Cornell Cooperative Extension, 423 Griffing Avenue, Riverhead, NY 11901, herein after called the "Contractor". WHEREAS, the Town of Southold did heretofore request and receive a proposal from the Contractor for tasks outlined in the ~*Stewardship Projects & Community Freservation Program" dated January 31, 2003 and attached hereto, in the amount of twenty one thousand five hundred dollars ($21,500) and WHEREAS, the Town of Southold accepted the proposal of the Contractor on the day of 2003. NOW, THEREFORE, IT IS AGREED AS FOLLOWS: 1. The Contractor does hereby agree to perform all the tasks outlined in the Stewardship Projects and Community Preservation Program, dated January 31, 2003 and annexed hereto and made part of this contract. The Town does hereby agree to pay the Contractor for the work, the total sum of Twenty one thousand five hundred dollars ($21,500). The total sum is to be paid to the Contractor within forty-five (45),days of the completion of the said work and the acceptance thereof by the Tmvn. 3. The Contractor shall secure and maintain such insurance that will protect him/her from claims under the Worker's Compensation Acts and from claims for bodily injury, death or property damage that may arise from the performance of his/her services under this Agreement~ in limits of $1,000~000. and $2,000,000. aggregate liability for bodily injury and property damage. The Contractor shall indemnify and hold harmless the Town from and against all suits, claims, demands or actions for any injury sustained or alleged to be sustained by any party or parties in connection with the alleged negligent performance or negligent performance by the Contractor, his employees or agents or any subcontractor and in case of any such action brought against the Town, the Contractor shall immediately take charge of and defend the same at his own cost and expense. In addition, th~ Contractor will name the Town as an additional insured on any applicable policies. Box 1179 Southold, New York 11971 TO: FROM: SUBJECT: Date: TOWN OF ~OUTHOLD COMMUNITY DEVELOPMENT OFFICE The members of the Southold Town Board Jim McMahon Stewardship Projects & the Community Preservation Program January 31, 2003 In an effort to endorse the land stewardship goal of carefully managing land usage to ensure our natural systems are maintained or enhanced for future generations, I am submitting the attached list of "proposed" Stewardship Projects for 2003, with the estimated costs of completing the various tasks. In the proposed budgets, the Southold Town Highway Department, Department of Public Works (DPW) will be charging the Community Land Preservation fund for DPW staff time expended in completing a task. Highway Superintendent Peter Harris has committed 2 men, 1 day a week, for 48 weeks for these projects. This calculates to $15,360, however, Pete indicated that he might be able to give me more hours, weather and workload permitting, so for budget purposes I calculated $21,350 for DPW staff time. The cost estimate for the Peconic Land Trust staff performing tasks for the stewardship projects calculated out to $39,235. For budget purposed I reduced this to $35,000. The PLT also has volunteers, AmeriCore personnel and snmmer interns that are provided at no cost to the project. Work that cannot be completed by the Southold Highway Department or PLT would be contracted out, as an example the demolition and removal of buildings on the NOFO Property on Laurel Lake. The estimated cost for work to be contracted out for the Dam Pond and NOFO stewardship projects is $31,750. Several projects may involve the use of consultants to conduct a flora & fauna inventories and environmental planning and for budget purposes I have assigned these tasks to Cornell Cooperative Extension and a budget amount of $21,500, Cornell will also be providing volunteers for serial projects, at no cost- The estimated budget to. complete all of the stewardship tasks;that I have outlined is. $!09,600 ($120,000, with a 10% contingency) however~ this is a fairly significant undertaking and depending on the availability of staff, all of the tasks may not be completed in 2003. After speaking with John Cushman, Melissa Spiro and the Land Preservation Committee, I am proposing the following: 1. The Town Board creates a budget for Stewardship Projects, using CLP funds. The timetable for this stewardship budget does not have to reflect a calendar year and would be adjusted periodically based on the number of tasks that are approved and completed. If the Town Board does not want to commit to the whole amount ($120,000) then a preliminary budget of $60~000 could be: established and increased, in 6 months~ as needed or after review. 2. The Land Preservation Committee should approve alt project tasks (see attached example for Dam Pond Maritime Reserve - Parking Lot Improvemeuts). 3. The Land Preservatmn Coordinator (Mehssa Sp~ro) wall issue a Purchase Order that is approved by the Supervisor. 4.
