DOWNTOWN REVITALIZATION PROGRAM AGREEMENT
THIS AGREEMENT is between the COUNTY OF SUFFOLK (the "COUNTY"), a municipal
corporation of the State of New York, having its principal office at the County Center, Riverhead, New
York lA901, acting thr0ugh its duly constituted DEPARTMENT OF ECONOMIC DEVELOPMENT (the

1. PURPOSE
The MLrNICIPA~ITY, for the consideration herein provided, agrees ro complete the Downtown
vitalization Progr~am Project(s) (the "DRP Project(s)") described in EXhibit(s) B, which are attached toand
made a part of this Agre~e~ menr,.in a workmanlike manner. The MIJtWICIPALITY's agreement ro complete
the DRP Project(s) Es SuBject to the provisions of paragraphs 13 mad 14 of this Exhibit A. Alt references
contained inthis Agr~ment to'MIJN~iCIPALITY shall be deemed to include the sub-recipient(s) shown on
Exhibit(s) B.
2. PROGRANI ADM~ISTRATION
ia) Autl~o riz:~tion
Notwithstm~ding any other provision of this Agreement, the MUNICIPALITY must submit evi-
dence, and the DE?ARTMENT must certify, prior ro any commin-nent of ftmds under this A~eement, that
the Project(s) are in accordance With applicable regnlalions. Upon such certification, the DEPARTMENT
will give notice author/zing the MIfNICIPALITY to beg/n the DRP Project(s).
(b) Supervision ..
It is agreed that the nature and e~ent of the DRP Project(s) undertaken pursuant ro this A~eement
shall be subject to general oversight by the COUNTY. The M-U-NtCtPALITY agrees ro comply fully with
rules, regulations, criteria, guidelines and expenditure controls heretofore adopted or to be adopted by the
COUNTY.
(e) Environmental Review Process
The .MI~qWICIPALIT¥ shall ac~ as the lead agency with regard ro any Project(s) to which the State
Environmental Quality Review Act ("SEQRA") is applicable, shall maintain alt applicabie documentation
and, upon requesz, shall submit copies of any Environmental Assessment Forms, determinations, em. ro *_he

id) Compliance with Law
_ In rendering Services under this Ageemenr, the MIJNICIPALITY shall comply, and shall req-oire irs
officers and directors, panners, trustees or other members of its..governing body and personnel employed to
render services under this Agreemenz ro compty, with all applicable local. State and Federal laws, regula-
tions, rulings and requirements of law, including without limitation Suffolk County local preference and
other applicable Suffolk County local laws and resolutions of the Suffolk County Legislature.
3. PERFORM_&NCE
ia) The .MUNICIPALITY agrees to begin work on its DRP Project(s) within a reasonable rime
after the commencement of the term of this Ageemenr and will attempt ro complete ali DRP Project(s)
within eighteen (18) months of the effective date of this Agreement.
,, (b) If the M-UNICIPALITY's performmxce lags subsxantiatly behind the M'UNtCIPALIT-'f's
proposed schedule of completion, the COUNTY may take the following actions either singularly or in eom-
bination:

(iii) Require,the MlJfNICIPALITY to submit to the COUNTY progress schedules
for completing DRP Project(s).
(iv) Require the _~Foq'4ICtPALITY to suspend, discontinue or not incur costs for
DR) Project~s).
TEiOdVI OF AGREENIENT
(a) This Agreement shall cover the period provided on the first page thereof, unless sooner ter-
minated as provided below.
Co) Unless th/s Agreement shall kave been terminated as provided below, the COUNTY shall
have an option at its sole discretion to e~end the term of this Agreement ~br one year on the same terms and
conditions provided in this Agreement. Such renewal shall be at the sole discretion of the Commissioner of
the Deparnnent of Economic Development by written notice to the MLrNICIPALIT¥ of the COUNTY's
election ro exercise such renewal option.
5. FI~-DING
(a) Budget
The MIJN-iCIPALIT¥ represents and a~ees that the Budget(s) included in Exhibit(s) B, include(s)
ail costs of materials, appliances, tools, labor, em. needed by the ~fU~NICIPALITY to undertake the DRP
Project(s).
(b) Limitations
Said payment to the ~ICIPALIT¥ shall be for approved Project expenditures, not to exceed the
Budget(s) in Exhibit(s) B. Payment under ~J-Js Agreement shall not duplicate payment from any other
source(s} for MUNICIPALITY costs and services provided pursuant to this Agreement, The maxamum
mount to' be paid by the COUq'qTY as set forth on the cover page of this A~eemem shall constitute the full
obligation of the COUNT¥ in c ormection with this Agreement-asd any manet arising therefrom.
(c) Payments of Expenditures
The COUNTY agrees ro pay the MLrNICtPALIT¥ for actual costs incurred pursuant to this A~ee-
menr on receipt of claims submitted on a standard Suffolk County Payment Voucher in ~ddition to any other
form(s) required by the DEPART£M[ENT or the Department of Audit and Consol, together with sufficient
supporting data (e.g., copies of cancelled checks, paid receipts, contracts for sate of teat property,, ce~ified
payrolls), in accordance with the "Regulations for Accounting Procedures for Contract Agencies" promul-
gated by the Department of Audit and Control of Suffolk County and any amendments thereto during the
ren~ of this Agreement. Ail clain-m for payment are to be submitted within thirty (30) days a. fcer the close of
the month in which the expendimi'e was made. Claims are subject to adjusrmems or andk by authorized
personnel of the COLrNT¥.

(d) Advance Payments
Upon written request of the MUNICIPALITY, the COUNTY may authorize advances of funds in
anticipadun~ of actual expenditures not in excess of 30% of the undisbursed balance of the amount for
Project in the Budget in order to meet subcontractor expenses in a timely mariner: Such requests shall be
submitted by the MUNIC~ALITY, on a form specified by the DEPARTExNT. In the event that adwances of
f~mds are made, no 5o.rther payments will be made until documentation satisfactory re the COUNTY is sub-
mitred verifying that the advs_uced funds were ex2oended in accordance with this Agreemenz.
(e) Payment Schedule
Fayment ofall vouchers shali be according to a payment schedule approved b7 the DEP.42~TMEiqT.
Any funds advanced bu~ not expended at the end of the term of this Agreemenr shall immediately be due
and owing to the COUNTY.
(t') Final Report and Claim
No later than ~vo (2) months after the completion of each Project, unless otherwise directed by the
DEPARTMENT, or upon the expiration or termination of this Agreeme~ the ~I'NICIPALITY shall sub-
mir a firml report summarizing the completed Project(s), together with a fmai request for payment of all ap-
proved expenditures then remaining .u:g_ paid or documentation satisfactory to the COUNTY verifying that
any advanced funds nor previously decremented under subparagraph (d) above or repaid pursuant to sub-
paragraph ~e) above were expended in accordance with this Agreement.
(g) Agreement Subject re Appropriation of Funds
This Agreement is subject to the amount of funds appropriated and any subsequent modificafious
thereof by the Suffolk County Legislature, and no liability shall be incurred by the COUNTY under this
Agreement beyond the amount of funds appropriated by the Legislature for the program covered by this
Agreement.
(h) Post-Audit
Ail payments made under this Ag~reemen~ are subject to audit by the Suffolk County Comptroller
pursuant re Article V of the SuffoLk County Charter. The MLrNICIPALITY further agrees that the County
Comptroller and the DEPARTMENT shall have access to and the r/~t re examine, audit, excerpt, copy or
transcribe a~y ~erfinenr transactions or other records relating re services under this, Agreement. If the ~vfU-
NICI~ALITY falls to cooperate with an audit by the Comptroller, the COL2'ITY snail have the right to sus-
pend or partial}y withhold payments under this A~reemenr or under any other agreement between the parries
until such cooperation is forthcoming. If such an audit discloses overpayments by the COLEN'TY to the
~MU24ICIPALITY, within thirty (30) days after the issuance of an official audit report by the Comprroller or
his duly desig~nated representatives, the MIo~-ICIPALITY shall repay the amount of such overpayment by
cheek to the order of the Su~olk County Treas~er or shall submit a proposed plan of repayment re the
Com~troller. If there is no response or if satisfactory repayments are not made. the COUNTY may recoup
overpayments from any amounts due or becoming tue to the MLrNICLPALIT¥ from the COUNTY under
this Agreement or otherwise. The prowsions of this subparagraph shall survive the expiration or term/nation
of thee Agreement.
6. ACCOrYbITI~G AND AUDIT PROCEDURES
(a) The M-LFNICIPAL!TY agrees to maintain accounts, records, documents, and other evidence
and accounting procedures and practices which sufficiently and properly reflect ali direct and indirect costs

(b) All records shall be subject at all reasonable times to inspecfiom revie.w, or audit by person-
nel duly authorized by the DEPARTMENT or by the County Comptroller or his duly designated represen-
tatives only to verify, that paym,enrs were properly made and to verify the nature and extent of costs of appli-
cable services provided by MUNICIPALITY. Such access is granted norwithstandhag any exemption from
disclosure that may be claimed for those records which are subject ro nondisciosure a~eements, ~rade
crers and commercial information or ~nanciaI information that is privileged or confidential.
(~c! The M~J-NICIPALITY agrees to retain all accotmm, records and other documents relevant ro
this Agreement f~r Jeven (7) years after final payment. Federal, State and/or COPt'Nv'fY auditors and any
persons duly author/zed by ~he COUnNT¥ shall have full access and the fight to examine any of said materi-
als during said period~
(d) A copy of,any audit report concemthg the DRP Project(s) shall be forwarded to the Suffolk
County Comptroller for his review. Any such report shall be accompanied by adetaited written response m
audit findings and recommendations by the MUNICIPALITY outlining the plan of corrective action and
timetable it intends to £ollow m corregt audit deficiencies and to implement audit recommendations.
,. REAL PROPERTY
(a) Rea/property acquired or improved in whole or in parr using DRP funds that is within the
control of the ~vFU~ICIPALITY shall require the following actions:

modLfication or change in the use of the real property, fi:om tha~ ptamued at the
ume of acquisition or improvement including disposition4
(ii) Reimbursement of the COUnNTY in an amounz equal to the current fair marker
value (less any portion thereof attributable to expenditures of non-DRP funds)
of property acquired or improved with DRP fends that is sold or transfen-ed
for a use which does nor qu~fy under the DRP regulations; and,
(iii) Reuzrn ofpro~ income ro the COUNTY generated fi:om the disposition or
transf~ of property prior ro or subsequentto the cioseo~, ctmnge of status or
termination of this Agreement between the COUNTY and the kFJNICIPAL-
ITY.
b) The provisions of this para.apb shall survive the expiration or termination of this Agree-

9. G~~S
The M-U~NICIPAZITY represents and warrants that it has not offered or given any ~amiry ro any of-
ficial, employee or agent of Suffolk County or New York State or of any political parry, with the purpose of

intent of securing favorable treatment with respect to ~ie awarding dr mending of an agr~ment or the
making of any determinations with respect to t]~e performance of an agreement, and that the signer of this
Ageement has read and is familiar with the provisions of Local Law No. 32-I980 of Suffotk County
(Chapter386 of the Suffolk CbunZy' Code).
10. NOND~CRi3qINATIO2N

are provided in a different manner, from those provided to others under the
program:

program;
D. Restrict an individual in any way in the enjoyment of any advantage or priw-
lege enjoyed by others receiving any services or other benefits provided under

individual satisfies any eligibility or other reauirements or conditions which
individuals must meet in order ro receive any aid, care. services, or other
benefits provided under the program.
(ii) The CONTRACTOR shall not utilize criter/a or methods of administration
which have the effect of subjecting individuals to discrimination because of
their race, creed, national origin,, sex. age, disab/lity 9r marital status or have
the effect of defeating or substantially impairing accomplishment of the

14. ASSIG~ ~ SU~CO~CT~G

without the prior consen~ in writing of the COUNTY, and g(ny attempt to do any of the foregoing, w~thout
such consent shall be of no effect.
(b) The MD~'ICIPALITY shall nor enter toro subcontracts for any of the work contemplated
der th/s Agreement without obtaining prior written approval of the DE-'?ARTMENT. Such subcontracts ~hal!
be subject to and incorporate by reference ali of the provisions of this Agreement ancLsuch other conditions
and provisions as the DEPARTMENT may deem necessary; provided, however, that notwithstanding the
foregoing such prior written approval shall not be required for the subcontracts shown on Ext~bit(s) B
tached hereto. The MUNICIPALITY shall be responsible to the COUNTY for the performance of all obli-
gmions under this Agreement. No appro~)al by the DEPARTMENT of any subcontract shall provide for the
incurrence of any obligation by the COUNTY in addition to the agreed upon amount in the Badger.
15. TERMIi'qATION
(a) If the MIYNICIPALITY fails to fnlfilI in a timely and proper manner its obligations under
rids Agreemenr~ or if the MUN!~CIPALITY becomes bankrupt or insoivenr or falsiSes its records or repons,
or m/suses its 5Jmds from whatever source, the C?~ UNTY may terminate this Agreement in whole or wath
respect to any identhfiable part of the program, effective immediately, or, at.its option, effective at a later
date specified in-the nmice of such ~erm/nafion to the ~fU-NICIPALITY.
Co) The COUNTY shall be--released from any and ali responsibilities and obligations arising
from the Program covered by this Agreement, effective as of the date of terminanon, but the COUNTY shall
be responsible for payment of ail claims for services provided and costs incurred by the MLrNICIPALITY
prior m rennina~on of this Agreemem, that are pursuant m, and after the MIJ~ICIPALITY's compliance
with_ the terms and condkions of this AgreemenT.
(c) Notice of termln~tion must be in wriung, si~maed by an authorized official, and sent to the
other parry, by certified mall, or by messenger, and receipt shall be requested. Notice of termination shall be
deemed delivered as of the date of its posting by certified mall or at the t/me it is delivered to the other parry.

16. MERGER CLAUSE
It is understood that this Agreement represents the entire ageement of the parties hereto; that all
previous understanding are merged herein; and that no modifications hereof shall be valid unless writter_
evidence thereofshal! be executed by the parr/ro be ch~ged..__
17. NO ORAL CHANGES
No modification of this Agreement shall be valid unless written in the form of an Addendum or
Amendment signed'by both parries.
18. SEVERABILITY
