THIS IS' RESOLUTION NO. 303 OF 2001
MEETINGOF THE SOUTHOLD TOWN BOARD
ON
RESOLVED that the Town'Board of the Town of Southold hereby authorizes and directs
Supervisor Cochran to execute an a~reement with the Town of Shelter Island for the
purpose of providing police-dispatch services to Shelter Island for the period January 1, 2001
through December 31, 2006, all in accordance with the approval of the Town Attorney.

THIS AGREEMENT made on the ~___~ day of May, 2001, between the
TOWN OF SHELTER ISLAND, a municipal corporation of the State of New York,
having its principal office at State Road (Route 114), Shelter Island, Suffolk County,
New York, party Of the first part, and the TOWN OF SOUTHOLD, a municipal
d0rporation of the State of New York, having its principal office at 53095 Main Road,
,'Southold, Suffolk County, New York, party of the second part.
WHEREAS; the party of the ~st part owns and operates police vehicles
containing radio equipment, but does not own and maintain a radio transmission base
~station; and
WHEREAS, the party of the second part maintains a police department the a
radio transmission base station, together with radio operators on duty twenty-four hours
a day and can receive and transmit radio communications to and from said base station
the police vehicles in the Town of Shelter Island without undue burden to the party of
the second part; and
WHEREAS, the party of the first part also maintains a telephone at the
police headquarters of the part of the second part whereby all telephone
communications directed to the police of the Town of Shelter Island may be answered
'~through such a telephone at the police headquarters of the Town of Southold; and
WHEREAS, in view of the foregoing, it is believed that it would be in the
public interest that the parties hereto mutually agree that radio transmissions be
received and dispatcher on behalf of the Town of Shelter Island by the Town of
Southold at its radio base station, and that in addition thereto the Town of Shelter Island
at its expense maintain a telephone at the Southold Town Police Station which will
receive telephone calls directed to the Shelter Island Town Police;
NOW, THEREFORE, IT IS AGREED AS FOLLOWS:
1. That the Town of Shelter Island at its own cost and .expense will cause
a telephone and necessary equipment to be maintained at the Southold
Town Police Station at Peconic New York, whereby all telephone
communications directed to the Shelter Island Town Police will be
transmitted over said telephone and be received at the Southold Town
Police Headquarters.
That the Town of Southold hereby agrees that its personnel of the
Southold Town Police station, will answer all telephone communications
received on said telephone equipment on behalf, of the Town of Shelter
Island and will make the proper record of such telephone communications
and will, where required, either by telephone or radio transmission,
dispatch the necessary information the Shelter Island Town Police relative
to such telephone transrrdssions4
That the Town of Southold hereby agrees that it will receive and dispatch
radio transmissions town from the Shelter Island Town Police vehicles
and that the Town of Southold will keep a proper record of all such radio
transmissions.
That for the performance of such services by the Town of Southold for ~he
Town of Shelter Island, the Town of Shelter Island hereby agrees to pay
the Town of Southold the sum Of $35,000.00, plus an annual adjustment
based on the Federal Consumer Price Index. of the pdor year, said
adjustmenl to begin in 2001 and .thereafter, the rent to be paid on or
before the 15th day of June of each year during the term of this
Agreement.
This Agreement shall take effect on the 1st day of January, 2001, and
shall terminate on the 31st day of December, 2006. Notwithstanding the
foregoing provisions of this paragraph, either party hereto shall have the
option to terminate this Agreement at the end of any calendar year by
giving written notice of termination to the other party at least 90 days prior
to the end of such year.
The Town of Southold shall not, in any event, be liable for any dam-
age or loss of property or for injury to persons, arising from or caused by
any breakdown or interruption of service.of such communication
equipment, nor for any such damages or injury caused by the acts of
negligence of the Town of Southold, its officers or employees. The Town
of Shelter Island shall indemnify and hold harmless the Town of Southold
of and from any and all damages, judgments, cost and expenses of every
kind, which may raise or result from the acts or omissions of the Town of
Southold, its officers and employees performed under and pursuant to the
provisions of this Agreement.
IN WITNESS WHEREOF, the parties hereto have hereunto set their hands
and seals this t~ day of May, 2001.
