HomeMy WebLinkAboutLove Lane Acquisition CorpLICENSE THIS AGREEMENT, made this BETWEEN dayof ,2000 LOVE LANE ACQUISITION CORP., a corporation of the State of New York having its office and principal place of business at 320 Love Lane, Matfituck, New York, licet~sor, and THE '['OWN OF SOUTHOLD, a municipal corporation of the State of New Yorl(,havi.ng its office and principal place of business at 53095 Main Road, Southold, New York, licensee WHEREAS,.~the~,license~ is~ the-owner-inJee s[mple=~)f the pr.emises.~designated: _ ~__ _= on,the LandMap of Suffolk Oounty as District 1000 Section 117.00 Block 08,00 Lot 0,18.000 and described below: ALL that certain plot, piece or parcel of land, situate, lying ant being at Southold in the Town of Southold, County of Suffolk, and State of New York, bounded and described as follows: BEGINNING at a point on the Easterly line of First Street 32' Southedy along said Easterly line from its intersection with the Southerly line of King Street being the Southwesterly corner of land of Loria running thence along said land of Loria and into Cutchogue Harbor, South 85 degrees 21 minutes 10 seconds, for a distance of 200 '. THENCE through lands of Love Lane Acquisition Corp. two courses as follows: 1 South 5 degrees 8 minutes East for a distance of 25'; 2. Thence NoAh 85 degrees 21 minutes 10 seconds West for a distance of 200' to said easterly line of First Street; THENCE along said Easterly line, NoAh 5 degrees 8 minutes East for a distance of 25' to the point and place of beginning. (hereinafter referred to as "Lot")' and WHEREAS, the licensor's grants the licensee an easement 25 feet in width to lay pipes for highway drainage purposes and to maintain and operate, relay and remove said pipes on, over and through said Lot for the use of the licensee; and WHEREAS, the parties hereto want to permit the licensee to have ingress and egress over said Lot to effect the purposes of said drainage easement and the license granted herein; NOW THEREFORE, in consideration of Ten ($10,00) Dollars and other good and valuable consideration, the receipt of which is acknowledged, the licensor hereby grants and releases [o th~ licensee a license to have ingress and egress, over said' Lot to lay pipes for highway drainage purposes and to maintain, and operate, relay and remove said pipes on, over and through said Lot pursuant to said drainage easement, which does not interfere with licensor's use and enjoyment of said Lot; -Such right shall be exeroised--over routes~that-,oc~asion the-~leaseqaracticabJe damage and inconvenience to the licensor. Such dght is conditioned on its reasonable exercise for the benefit of the licensee, and in the event of excessive use, or use for nondominant purposes, or use by means otherwise injurious to the licensor or said Lot, the licensor shall have the right to extinguish such right. The licensee shall repair any damage caused by it to the Lot of the licensor, and shall indemnify the licensor against any loss and damage caused by the exercise of the licensee's ingress and egress, or by any wrongful or negligent act of omission of the licensee or of its agents or employees in the course of their employment. The parties acknowledge and agree that the licensor shall have the absolute right to terminate this license for any reason or for no reason with or without cause upon notice (written or otherwise) to the licensee. The parties further acknowledge and agree that this license shall terminate and be revoked automatically and without further action by the party of the first part upon the conveyance, lease or other transfer of said Lot. The parties hereby acknowledge and agree that this grant of license shall not be construed to be a grant of an easement, shall not run with the land and shall be binding on and shall inure to only the benefit of the parties hereto and their guests, invitees and agents. Cochran to sign a License Agreement between the Town of Southold and the Love Lane Acquisition Corp. as part of a drainage project on First Street, New Suffolk, .New York, subject to the approval of the Town Attorney.
