Box 1179, Southold,-NY 11971 WITNE$$ETH: WHEREA~, H & Mis engaged in business ofcollecling and selling used clothing for a profit; and ~ WHEREAS, Contract Partner desires to engage H&M to assist it in raising funds for Contract Partner's activities. 2~OW, THEREFORE, in consideration of the foregoing and the terms and conditions set forth below, the parties hereby agree as follows: H&M shall supply textile re-cycling collection services to Contact Partner by placing clothing receptacles in geographic locations within the area relevant to Contract Paxtner's activities. Contract Partner shall decide the exact location where receptacles shall be placed and shall make arrangements on behalf of and in conjunction with H&M_ H&M shall deliver the receptacles to the prearranged site. When in place, H&M shall ensure that the receptacles and surrounding area wilt be kept free of any graffiti and debris. Each receptacle shall bear permanent readable inscriptions setting forth a contact telephone number as provided by the Contract Partner, the Contract Partner's name, and the descriptive caption "clothing drop." In addition the receptacle shall bear a legend prohibiting the drop off of non-clothing items. H&M shall maintain adequate insurance coverage for each site and shall provide Contract Partner a copy of same upon request. Within I week of receipt of a written demand by Contract Partner, H&M shall remove any receptacle as requested. Route sheets of all locations established under this Agreement as well as the number of receptacles in place at any time, shall be provided to Contract Partner upon written request. Specified dates and time of pick up for each site location shall be provided to Contract Partner upon its written request. At any time, upon written request, H&M shall conduct a spot check of routes, drivers and locations, in order to secure the condition of the receptacles and their surroundings. In consideration for Contract Parmer's efforts in locating secure sites for receptacles, H&M shall pay to Contra'ct Partner monthly, a sum equal to five cents ($.0 05) for each pound of marketable clothing collected by H&M. For assurance of correct weight, trucks shall be unloaded and merchandise shall be weighed on a regularly serviced calibrated digital scale. The sum due Contract Partner shall be paid off of scale ticket for marketable items only, and Contract Partner acknowledges th~ not all items collected will be suitable for sale~ gJl payments due Contract Partner shall be~ paid, together with an accounting, within 30 days of the end of each calendar month during the term of this Agreement. 11. This Agreement shall have a term of one ( 1 ) year ("Initial Term"), with an option for an additional five (5) year term ("Option Term"), which such option must be exercised in writing by Contract Partner within 60 days of the end of the Initial Term 12. This Agreement is the only agreement between the parties regarding the subject matter hereof, there be'mg no others written or oral. This agreement may only be amended in a wrifmg. It may not be assigned by either party. This Agreement shall be governed by and construed in accordance with the laws of the State of New York 13. See annexed Rider A.
