RESOLVED that the Town Board of the Town of Southold h~reby authorizes and
directs Supervisor Sean W. Cochran to execute an a~reement with Brid~ehampton
National Bank for the Bank's PC Link product; said agre~nent subject to the approval of the
Town Attorney.

Bridge Business Connect Agreement
This Agreement governs your use of the Bridgehampton National Bank's Bridge Business Connect (the
"Service"), wt~ch allows you to transfer funds, review account activity, and exchange electronic messages
~ith The Bridgehampton National Bank. By using the Service, you agree to these Terms & Conditions.
Please read this Agreement carefully- and retain it for ~our records.
As used in this Agreement. "Bridge Business Connect Account" means the checking account you
designated when you applied for the Sery~ce from which we make transfers on your behall5 "Accounts"
means the Bridge Business Connect deposit acconnt(s) to which you have access through the Service.
'"You" and "your" refer to the person(s/or entiW subscribing to or authorized to use the Service; '!we, us,"
and "our" refer to The Bridgehamptgn National Bank ("BN]3").
1. The Service, You,may- use any personal computer ("PC") to interface w~t¢ 2h~ Bridge Business C~nnect
to direct, us to make transfers from your Account(s) to third parties (',Transferees") wlmm you have selected
re receive monetary Iransfers through the Service. You may use your PC to obtain bnlnnce and other
infurmation about y~ Acconmts, to *r~rans~br ~fimds between your Accounts and to fl/ye stop paymen~
iustmctiouS to us.
There are limits imposed by- law on the number of transfers you can make from money market acconn~s.
By law, you ea2 make no more than slx (6) preauthorized withdrawals or automatic transfers fthcluding
telephone, savings, overdraft protection, ar data transmission~ from your regrdar savings or money market
savings accontit during each statement period.
If yon would like m use a different Account with us as _vonr Bridge Business Connect Account. add an
additional Account to the Se[vice or remove an Account from the Serv/cc, you must provide us at least ten

3. Third Party Ttransfers. You must provide sufficient information about each Transferee ("Transferee
Information% - as we may request from lime to time. including requests ~'tr more information about a
Transferee - to properly direct a transfer to that Transferee and permit the Transferec~(o identify the correct
account ("Transferee Account") to credit with your transfer. This informaffon may include, among other
things, the name and address of the Transferee, your Transferee Account number, the receiving bav~k's
ABA Number and the minimum, maximum and default amount of the tran~er. This information may be
faxed or mailed to BNB on your company letterhead_ You must allow ten (10) business days after your
additions~ deletions and changes are communicated to us before they bedome effective. From time to time,
we may ~et or change the number of Transferees you may designate to receive lxansfers through the
Service. We may change the name or address of Transferees from t~me to time because Transferees may
give us updated in~ormatian about processing transfers for you.
4. Yohr Logog ID and Password., You will receive an initial Logon ID~ ahd a Password'to obtain access to
the Servxce.,Yot~ wall be promgted to,change your password upon your i/fit/al sign tn ani~t -llfereafter, should
change your PasSword on a permdic bas~s, a thirty.(~0) day period ~s recpmmended ~.

degree of care and secrecy that you use m protect other sensitive personal financial data. You agree not to
give your Logan ID and Password. or make them available, m any other person.
If you designate an Anthorize~ User by requesting BNB to assign such person a Logon ID and Password,
that person isconsfdered ymar agent, As such, you are liable for all activities ofthat person, including
transfers and any withdrawals from your Account The agency mlalionship can J~e terminated nnty through
written confirmation fromus of your termination af the agency relatio~skip.
5_Authorizing .Transfers. To order a transfer using the Service, you must: (a) select your Transferee from
the list of Transferees; and Co) enter the mount of your transfer. Individual transfers may be made in any
amount, not more tim $500,000,00 and not exceeding the available balance in your Account from which
transfer~te made, exxcludfng funds available by overdraft unless so anthor/zed by a Cred~t 3~dvance
Addendum.
To authorize a transfer of funds between your Accounts uskng the Service, you must first provide the
i~ orrnalion r~ea~ues~d~on Th~ Euro!hnent &Authorization Fqrm cun~cemi~g the.~ you v~sh to
make, i~.~lu~: (a) the eligible Xccount from which the transfer is to be made, (b) the ¢ligible.Acceunt
numbei to ~ rich the funds are to be transferred, (c) the minimum, maximum and default amenfit of the
trans~r~ .(d) the tr~sferee's reference number/name, (e) the receiving bank's ABA nun~ber, (f) the
receiviagbanl~'s nam6, and (g) the eligible Account name to which the funds are to be transferred.
6,De~ve~ ~ Effeqtaation oAf,Your Transfers. Although you can (excepr~ as provided In Section 15 below)
egter ~e ~r irr~tion through the Service at any time, transfers can be "initiate.d", only on business

A~ter the mount of any transfer is deducted (or debited) from your Bridge Business Cormect. Account,
your transfers may be reanitted by an electromc funds mmsfer. Because of the rime it takes to transmit your
trm?s~ev to your Transferees, they will not receive a transfer on the Transfer Date. Therefore. in order to
p~]-o~ide su~cient t~.mef, o.r transfers to be received by YoUr Transferees, the Transfer Date f6r each transfer
mus~be at least tt~ree~ (3) business days prior to the date your transfer is due regardless of t~e_ transfer
method~t~ excluding agy~ apphcable~ '. grace periods (the Due Date..) We w~lI not be resp0nsible for any loss.
penalt3~s, or~la~e fees~ycm may recur as a consequence of late wansfer if your actual Transfer Date is not at
leaSt three (>) business d~vs prior to the actual Due Date for your transfer.
~ou should allow additional time for the first transfer you send to a Transferee through the Service to allow
the Transferee to adjust to the new form of payment. Accordingly, your first transfe~ to a Transferee
through the Service should be scheduled with a Transfer Date at least five (5) business days prior to the
Due Dhte.
7. Reviewing Transfers. Your processed transfers ,zdll be available for your remew tlirough the Service
and on your monthly deposit account statement(s).
8. Balancelnquiries. You may use the Service to check the balances and recent activity of your deposit
Accomrrs and other selected Accounts. In order to initiate an mqdity, you must first use your Logon ID and
Password to connect to the Service. Any balances will mchide a date as of which the balance is current_
Balances shown may include deposits sl/ll subject to verification by us. The balances shown may also
dffi'er from your records because deposits in progress, outstanding checks, or other withdrawals, payments,
or 6harges may not yet be included_
9_ Transfers Posting Schedule. Balances and posted transfem are reflected m the Service at different times
and on di:ffercmt schedules, as shown in the following chart. (Note: business days are Monday through
Friday, cxcept, fede~albank holidays) All transfers which occor after 3:00 p.m. Eastern Time, wilt be
posted to the appropriate accennt on the next business day.

lO. Statements. A~ of your transfers, including transfers made through the Service will appear on your
monthly Accoum statement(si The transfer amount and Transfer Date wiI1 be refiected for ,ach transfer
made through the Service. ~,
11. Electronic Mail, The Se~ice provides you v:Sth the ability to send and receive secure electronic mail
between you and BNB. Please remember that we may not immediately receive electromc mail you send.
If you need to contact us immediately, please see Section 17. No action will be taken?n any electronic
mail you send to us until we actually receive your message.
12. Fees. Fees for using the Service will be a $5_00 monthly charge if average monthly balance of the
primary checking account is below $12.500. This fee is m addition to any current applicable charges to
your account.
t3. Equipment We are not responsible for any loss, damage or nijury resnifing from (i) an interruption in
your electrical power or telephone service: (ii) the disconnecting of your telephone service by your local
telephone company or from deficiencies in your line quality; or ('fii) any- defect or malfunction of your PC.

[4. Software. We are not responsible for any banking, bill payment or other products or services other than
those specified in this Agreement. We also are not responsible for any damage m your PC~ software,
modems, telephone, or other property resulting from ynnr~ use of th6 Service, incinding without limitation
any damage resulting from a computer virus.
15. Business Dabs/Hours o_fOperution. Business days are Monday through Friday from 8:30 mm. - 5:00
p.m. except for Fedemt holidays. Although lmnsfers will only be processed on a business day, the Service
is available 24 hours, 7 days a week except during raaintenance periods or periods during wlaich the Service
otherwise is not operable.

16. Notice: o_[ Your R~ghts and_ Liabilities. Tell us AT ONCE if you believe that your Logon ID and/or
Passwurd'~s'been lost~ stolen ar used without your permission_ Unauthorized activity may be possible
witttou~yo~ knowledge or approval.
If yon believe your Logon ID and/or Password.has been lost. stolen_ or used without your perrdission m
lransfer funds or schedule a transfer from any of your Accounts:

Monday through Friday or fax BNB on your business letterhead at: 631/537-2390
17. Errors and Oaestions. In case of errors or questions about your electreulc transfers, you should:

recetve the FIRST statement in wkich the problem or error appeared. Be sure to: 1) Tell us your'name and accouur number.
2) Describe the error or the transfer you are unsure about, and explain as clearly as
you ca~ ~vhy you believe tt is an error or why you need mom information.
Tell us the dollar amount of the suspected error.
18_Disclosure of Account Information to Third Parties. BNB ~xdll not disclose information about your
Account or the transfers you make except:
As necessary to complete transfers.
2) To verify th~ existence and condition of your Account with us upon request of a
third party, such as a Credit Bureau or merchant.
3) To comply with governmental agency, o~ court orders. ~
4) In accordance with your written penmsston
5) In connection with any authorization messages mmsmitted in point-of-sale
uansfers.

transfers at all our affiliates.
7) To our affiimtes in the normal come of business.
19. Authorization to Obtain Information. You agree that we may obtain and review your credit report
from an anthorized credit bureau ynn also agree flint we may obtain information regarding yom
Transferee Accounts in order to facilitate proper handling and crediting of your wansfers.
20, Termination. You may terminate your use of the Service at any time by writing to BNB at *he address
printed on your statement. You must notify us at least ten (10) calendar days prior to the date on which you
wish to have your Service terminated. Your request must be in writing.
We may terminate your use of the Service, in whole or in ~a~r, at any time, for any,reason, or for inactix4ty
without prior written notice. Yov~r access to tlie Service will be terminated automatically if your Bridge
Business Com~,ect ~kc~oxmt is closed, or access to your'Bridge Business Connect Account is, restricted for
any rehsom T4rminatlun will not affect your llabii~, or obligations under lifts Agreement for transfers We
have processed on your behalf.
21. L~mitwa'on o_[LiabilitV. Except as otherwise provided in this Agreement or by law, we are not response-
'pie f~ a~y lo{s, injmy,,or damage, whether direct, indirect, special, or consequenlial, caused by *he Service
or the rise llie~eo£ '
22_EntireAgr~ement. This Agreement. along with the Enrollment & Anthorizatiou Form(s), constitutes
the complete and exclusive agreement between you and us related to the Semice and suppleme~ts any othe~
age'ement Or disclosure related to your Accounts. In the event of a coraqicmbetween what a BNB employee
tells you and this~Agreement, tiffs Agreement shall take precedence. In the evem of a conflict between this
Agreement and arty other agreement or disclosuro related to any of your Accounts as to matters relatecl to
the Service, this Agreement shall take precedence Without limiting the generality of the preceding two
sentences, in t~e event of a conflict between the Agreement. Enrollment & AJrthorizafion Form(s) and any
agreement between you and us relating to *he Service, the Agreement & Enrollment & Authorization
Form(s) shall Fake precedence.
23. Waivers. No delay or omission by us m exercxsang any rights or remedies hereunder stta[l impair such
nghi or remedy or be construed as a waiver of any such right or remedy. Any single or partial exercise of a
righior reraedy strall not preclude further exercise therefore or the exercise of any other right or remedy.
No waiver shallbe valid unless in writing signed by us
24. Assignmeng You may not assign your rights and/or your responsibilities under the Agreement.
Enrollment & Authorization Form(s) to any other parry. We ma)' assign our rights and responsibilities
under the Agreement, Enrollment & Authorization Form(s) or delegate any or a/1 of such rigins and
responsibihriesto any th/rd parties.
25. Governing Law. The A~eement. Enrollment & Authorization Form(s) shall be governed by and
constructed m accordance with the laws of the State of New York.
26. Amendments. We ma)' amend or change the Agree~nent including the fees specified in Section 12 at
any time upon at least 30 (thir~') days written notice to you prior to the effective dat~ bf any change or
amendment. If you do not agree to the change or amendment, you must notify- us prior to the effective date
of the clmrtge or amendment and cancel your access to the Serwice. Your use of the Service following the
effective date of any future changes or emendntents constitutes your acceptance of one agreement to such
changes or amendments.
27. Notification. Ifyott have reason to believe that your Logun ID and/or Password for the Bridge Business
Connect has been lost or stolen or thai un unauthorized person has used or may attempt to use *he Sermce
without perrmssion, you must notify us immediately. If you do not antify us i~maediately and we can prove
that you could have avoided unatuhorized access, you will be liable for the full amount of unauthorized
transfers.

As per our conversation of January 22, 2001, enclosed please find a contract for our Bridge PC
L'mk product. Please note, the three signature pages to the ~lFact, pages 9, 11 & 16 are
attached to the front of the contract for execution purposes. Ms. Jean Cochran will have to sign in
two places and Ms. la_nice Foglia and yourself will each have to sign in one place for Inquiry and
Transfer authorization.
Fu_~er, please take note of the information included om Page 12 of the contract. These are the
ac, counts that have been entered into the database for you to view vi~ PC Link.
Accordingly, during our meeting of January 30, 2001, I will collect the signature pages of the
contract and go over any changes that need to be entered into the PC Link database.

use the Serviiee as well' as informal.ion as to the system requirements necessary to properly nm the
Service. You must [bi'low the procedures described in the instructions in using the Service.
The end use~se:atg:eemeat ("License Agreement") for the Serviceis as follows:
(a) License Grant. We grant to you a nontransferable, nonexelusive, and
nonsubli~.lice~ to. use the. soRware related to the Service for its intended purpose,
including ~ ~ using our financial services for your business use or internal business pur-
poses. You n~' not modi fy. tra nslate, or reverse engineer the software related; to the Service,
copy any per:ion bi'the sottwa,'e related to the Service, send a copy of any portion of the
software rela,:ed to the Service to any third party, or use the software related to the Service in
violation ogth~ws ~'~ew York or any other jurisdiction. You may not delete or remove

(b) Terrn; Tiffs license will remain in effect until terminated. It will automatically

without warranty~o£any kin& You assume the entire risk as to results and performance of the

and not ~ om- supplier assume the entire cost of sergic'mg, repair, or correction. Further, we

2. Malting Transfers. You may make transfers through the Service to BNB and
to any business, merchant, o~ prOfessional that generates a bill or invoice for products or services
provided to you or on yqur behalf and that has a bank account at a financial institution that we
can yeti_fy ( Business Wransferee ), You also may make transfers through the 8ennce to
individuals, family, o~ friends for nonbusiness purposes (~Individual Tr.ans?rees"). Transfers
may be made o~ily to ~mn,qferees~With a U.S. bank account or, if transfer ~s to.be made by use of
wire transfer to a.foreig~ bank or ~rranch, an account at such an entity that has access to the
Federal Reseree Bantt~edwire or SWIFT System. YOu must follow the instructions in providing

as ~be name and address of the Transferee's bank and the Transferee's account nmne (title) and
account number, and permit the Transferee or the Trausferee's bank upon receipt of a transfer to
identify you as the source of the transfer.

(~) LimHs ~ Transfers; There are limits imposed by law on the number of transfers you
can make, fxom money market accounts. By law, you can make no more than six (6)
pteauthorized,withdrawals or. automatic transfers (including telephone, savings, overdraft
proteeti0rg or :datatransmi~sion) from your regular savings or money market saving,~ account
during each statement perle&
~you would like to use a different Account with us as your PC Link Account, add an
additional Account to the Service or remove an Account from the Service, you must provide us at
least ten~(l~0)~bus'mess dugs advance notice. You. should contact BNB through your Account
Representative o~',Branch Manager via Fax or in writing on your business letterhead.
(b) ~Sin~le Payment: You may schedule a transfer to be made one time to a Transferee.
The transfer may be scheduled to be made at a future date or on the. next business day (a "Next
Day Traasfer"~tha~ you enter the transfer information on the Service. A Next Day Transfer must
be scheduled by 3:00 p.n~ Eastern Time on a business day in order for the transfer to be initiated
(deducted from your Account.) on the next business day.
3. Tra~eree Information. You must provide sufficient information about each Transferee
("Transferee Information") - as we may request from time to time, including requests for more
information abouh a Transferee - to properly direct a transfer to that Transferee and permit the
Transferee to identify the correct account ("Transferee Account',') to credit with your transfer.
This information may include, among other things, the name and address of the Transferee, your
Transferee Accotmt number, the receiving bank?s ABA Nmnber and the minimum, maximum and
default amount ofthe transfer. This information may be faxed or mailed to BNB on your
company letterhead. You, mint allow ten (10) business days after your additions, deletions and
changes~ are communicated to us before they become effective. From time to time, we may set or
change the number ot~Transf~ees you may designate to receive transfers through the Service.
We, may cha~ge the name or,address of Tramferees from time to time; hecause Transferees may
give us t~pdated ir~ormati0n about processing transfers for you.
4. Your Logon 170 and Password You will receive an initial Logon ID and a Password to
obtain access to the Service. You should change your Password on a periodic basis; a thirty (30)

day period is recommended.
Because your Logon ID and Password can be used to access money in any of your
Accounts and to. access information about any of your Accounts, you should treat your Logou ID
and Password with the same degree of care and secrecy that you use to protect other sensitive
personal financial data. You agree not to give your Logon ID and Password, or make them
available, to any other person.
If you designate an Authorized User by requesting BNB to assign such person a Logou ID
and Password, that person is considered your agent. As such, you are liable for all activities of
that perso~,incincYmg transfers and any withdrawals from your Account. The agency relationship
ma be,terrainated 0n!y thro~ ,gh written confirmation from us of your termination of the agency
relationships.
5. A~z~hotizin~ Transfers. To order a transfer using the Service, you must: (a) select your
Transfegee fr~ the list of Transferees; and (b) enter the amount ofyour*transfer. Individual
transfers .may be made, in Lmy amount, not more than $500,000.00 and not exceeding the ax~lable
balance in your Account from which transfers are made, excluding funds available by overdraft
unless so authorized by a Credit Advance Addendum.
To authorize a lxansfer of ftmds between your Accounts using the Service, you must first
provide, the irfformatiou requested on The Enrollment & Authorization Form (Arden&am A)
concerning the transfers:you wish to make, including: (a) the eligible Account from which the
transfer is to bemade, ~) the eligible Account number to which the funds are to be transferred;
(e) the ~ to be transfen'ed, (d) the transf~rre's reference number/name, (e) the receiving
bank's AB/~ number, (0'the receiving bank's name, and (g) the eligible Account name to which
the funds are to, he transferred:
6. Dd~verF'or Effectuation of_o[ Yottr Tran~er$. You may schedule transfers to be initiated
on the day that you eater-the transfer information (see Section 7 below). Although you can
(except as provided in 8,ectt'on 16 below) enter the transfer information through the Service from
8 a.m to 6p.m., Eastern Time, Monday through Friday, transfers can be "initiated" only on
business da~s hefore 3:(K~ p.m., Eastern Time (see Section 16 below). The date entered for the
transfer, ti}he initiated is Ce date on which funds ave to be deducted from your Account. This
date is refereed to in thi~; ~ement as the "Transfer Date."
Afrer the amount of any transfer is deducted (or debited) from your PC Link Account,
your transfers maybe remitted by an electronic funds transfer. Because of the time it takes to
transmit your transfer to your,Transferees, they will not receive a transfer on the Transfer Date.
Therefore, in order lo provide stffficieat time for transfers to be received by your Transferees, the
Transfer Date for each transfer must be at least three (3) business days prior to the date your
transfer is due regardless.of the transfer method, excluding any applicable grace periods (the "Due
Date'). Wewill not be reslxms~te for any loss, penalties, or late fees you may incur as a
consequence of late transfer if your actual Transfer Date is not at least three (3) business days
prior to the actu~ Due Date for your transfer.
You should.allow additional time for the first transfer you send to a Transferee through
lhe Service. to allow the~Tran.qfpree to ar~ust to the new form of payment. Accordingly, your first

to the Service. 3my b~!x~ include a date as of which the balance is current. Balances
shown may include depo_si~st~l subject to verification by us. The balances shown may also differ
from your records ~e~posits in progress, outstanding checks, or other withdrawals,
payments, or charges may riot yet be included.
10. Transfers Posting Schedule. Balances and posted transfers are reflected in the Service at
different times amion ~, ,,~t_ SChedules, as shown in the accompanying chart on page 10.
(Note: business days ate M~ay through Friday, except federal bank holidays as listed in
dde dura C. )All, trar~ers, which occur after 3 00 p.m. Eastern Trine, will be posted to the

11. Statements, Att ofyour transfers, including transfers made through the Service will
appear on your monthly AcCount statement(s); The transfer mount and Transfer Date will be
reflected for each transfer made through the Service.
12. Electronic Mail. ~ Service provides you with the ability to send and receive secure
electronic ~ between you and BNB. Please remember that we may not immediately receive
electronic mail you send. If you need to contact us mediately, please see Section 18. No action
will be taken on any electronic mail you send to us until we actually receive your message.

13. Fees. Fees for us'mg the Service are outlined in Addendum '*B,~ the Bridge PC Link
~Online Banking Pricing Schedule ("Pricing Schedule"). The fees outlined in Addendum"B" are in
addition to those fees for services listed in the current Service Charge Schedule.
t4. Equipment We are not responsible for any toss, damage or injmy resulting from (i) an
interruption in your electrical power or telephone service; ~) the discoimecfiag of your telephone
service by your local telephone company or from deficiencies in your Frae qu~ or ('fi) any

4) In accordance with your written permission.

23. Entire Agreement. T~ Age. cement, along with the Enrollment & Authorization Form
and Pricing Schedule, constitutes the complete and exclusive agreement between you and us
related to the Service and supplements any other agreement or disclosure related to your
Accounts. ~the event of a conflict between what a BNB employee tells you and this Agreement,
this Agreement shall take precedence. In the event ora conflict between this Agreement and any
other agreement or disclosure related to any of your Accounts as to matter~ related to the
Service, this Agreement ~ta~e precedence. W'ahout limiting the generality of the preceding
two sentences, in the event of · conflict between the Agreement, Enrollment & Authorization
Form, or Pricing Schedule and any agreement between you and us relating to the Service, the
Agreement, Enrollment & Authorization Form, and Pricing Schedule shall take precedence.
24. Waivers. No delay or omission by us in exerds'mg any fights or reanedies hereunder shall
impair such right or remedy or be construed as a waiver of any such right or remedy. Any single
or partial exercise 0fa right or remedy shall not preclude furfiaer exercise therefore or the exercise
of any other right or remedy. No waiver shall be valid unless in writing signed byus.
25. Assignment You may not assign your rights and responsibilities under the Agreement,
Enrollment & Authorization Form, and Pricing Schedule to any other party. We may assign our
