THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 31 OF 2004 WAS
ADOPTED AT TI-IF, REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
JANUARY 6, 2004:
RESOLVED that the Town Board of the Town of Southold hereby authorizes and directs
Supervisor Joshua Itorton to si~n a contract with Cornell Cooperative Extension of Suffolk
County for work on the Wetlands Code remsions all in accordance with the Town Attorney.

CONTRACT FOR SERVICES
THIS AGREEMENT made this ~ ~ day of -3~ ~ cctV{ ,~, between the Town
of Southold, a murricipal corporation of the State of New York, having its office
and principal place of business at 53095 Main Road, Southold, New York 11971
and the Cornell Cooperafive Extension of Suffolk County, having its principal
place of business at 423 Griffing Ave, Riverhead, New York 11901.
WHEREAS, the Town of Southold has an interest in conducting waterfront
revitalization programs, and, whereas, the Cornell Cooperative Extension of
Suffolk County Marine Program has the expertise to implement these programs.
NOW THEREFORE, the Town of Southold and the Cornell Cooperative
Extension of Suffolk County mutually agree as follows:
I. The following exhibit is attached to this agreement and made part thereof:
EXHIBIT A - Program Description and Budget
II. In consideration of the payment by the Town of Southold of the sum of
fifty thousand dollars ($50,000), the Cornell Cooperative Extension of
Suffolk County agrees to conduct the programs and provide services as
found in Exhibit A, for the period of March 1, 2003 to March 1, 2005, and
will provide a semi-annual progress reports to the Town Board.
III. The Cornell Cooperative Extension of Suffolk County shall secure and
maintain such insurance that will protect it from claims under the
Worker's Compensation Acts and from claims for bodily injury, death
or property damage which may arise from the performance of its
services under this Agreement, in limits of $1,000,000 and $2,000,000
aggregate liability for bodily injury and property damage. The
Contractor shall indemnify and hold harmless the Town from and
against all suits, claims, demands or actions for any bodily injury or
property damage sustained or alleged to be sustained by any party or
parties in connection with the alleged negligent performance or
negligent performance by the Contractor, its employees or agents or
any subcontractor and in case of any such action brought against the
Town, the Contractor shall immediately take charge of and defend the
same at its own cost and expense. In addition, the Contractor will
name the Town as an additional insured on any applicable policies.

Proposed Work Proiects, Fundin~ and Due Dates:

Prepare a generic set of erosion management measures for use by ~he
Building Depar~ent, and the Trustee, Zoning and Planning boards, as
well as the Engineering and FI~ghway departments. Th~s task will be
accomplished by reviewing and mod'flying as appropriate the Sediment
and Erosion Control Measures contained in the Soil Conservation Service
Manual January 2005.

Prepare educational material to explain the value of a specific
implementation measure to the public (e.g. wetland based stormwater
remediation) and its relationship to the LWRP. January 2005.

Prepare a strategy for a Bay and Creek Mooring management plm~.

Reformulate Wetlands legis:!ation (Chapter 97 et.al.) to address needs of
Board of Trustees. The following tasks are anticipated as taking place in
conjunction with this project:
1. Establish a committee to work with Comell.
2. Review existing wetland regulations and determine what changes
are needed by the Trustees to assist them in thekr attempt to protect
wetland resources in a consistent manner.
3. Conduct a systematic review of regulations used in other
municipalities within Suffolk County (and elsewhere where
applicable).
4. Interview officials from other municipalities to determine the
pros/cons of their legislation.
5. Establish Town-wide wetland reference sites.
6. Develop wetland delineation methodology based on #5 through
field work.
7. Create new buffer zone and other definitions and provide scientific
justification for same.
8. Design new restoration/replanting protocols.
9. Due date September 2004
