THIS DEED, made on this 24th day of October, 2023, by and between Robert L. Pryor,
Esq., Chapter 7 Trustee (the"Trustee") of the Bankruptcy Estate (the "Estate") of Daniel
Gallagher a/k/a Daniel G Gallagher a/k/a Daniel Gerard Gallagher("Debtor"), 675 Old Country
Road, Westbury,New York 11590-4513, as grantor ("Grantor"), and Daniel Dwyer, having an
address of 550 West 261St Street, Bronx, New York 10471, as grantee ("Grantee").
WITNESSETH, that Grantor is the Chapter 7 bankruptcy trustee duly appointed in the
case entitled "In re: Daniel Gallagher a/k/a Daniel G Gallagher a/k/a Daniel Gerard Gallagher,
Debtor", pending before the United States Bankruptcy Court for the Eastern District of New York
("Bankruptcy Court"),Case No. 8-23-70994-las,for the purpose of liquidating assets of the Estate,
pursuant to the applicable provisions of the United States Bankruptcy Code, 11 U.S.C. § 101, et
seq. (the "Bankruptcy Code"), as amended, and pursuant to (a) (i) the Stipulation and Order
between the Trustee and Jennifer Gallagher, dated July 7, 2023, (ii) the Stipulation and Order
between the Trustee and Jennifer Gallagher, dated August 29, 2023, and(iii)the Order Approving
Stipulation dated September 8,2023, whereby Jennifer Gallagher consented to the Trustee's sale,
pursuant to l 1 U.S.C. §§ 363(b), (f), and (h), of Jennifer Gallagher's and the Estate's respective
rights, title, and interests in and to the property located at 1640 Sterling Road, Cutchogue, NY
11935, District 1000, Section 104.00, Block 04.00, Lot 015.000 (the "Property"), and more
particularly described in Schedule "A" hereto, free and clear of liens including tax liens, claims
and encumbrances with such liens, claims and encumbrances attaching to the net proceeds of the
sale after the payment of Auctioneer's expenses and commissions, closing costs and capital gains
taxes, if any, and (b) pursuant to an Order Approving Sale of Real Property by Public Auction,
entered September 13, 2023,authorizing the Trustee to sel I at public auction the Property, Grantor
hereby transfers to Grantee, all of Debtor's, Jennifer Gallagher's and the Estate's right, title and

interest in and to the Property "AS 1S" "WHERE IS", "WITH ALL FAULTS", without any
representations, covenants, guarantees or warranties of any kind or nature, and free and clear of
any liens, claims, or encumbrances of whatever kind or nature, with such liens, if any, to attach to
the proceeds of sale in such order and priority as they existed immediately prior to the Closing,
and sale of the Property is subject to, among other things (a) any state of facts that an accurate
survey may show; (b) any covenants, restrictions and easements of record; (c)any state of facts a
physical inspection may show;(d)any building or zoning ordinances or other applicable municipal
regulations and violations thereof; (e) environmental conditions and (f) existing tenancies at time
of closing, and (g) all other defects to which the purchaser fails to timely object or accepts.
