THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2023-1064 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
DECEMBER 19,2023:
RESOLVED,that the Town Board of the Town of Southold hereby authorizes and directs
Supervisor Scott A Russell to execute the Engagement Letter with Lori M Hulse,Esq., dated
December 15, 2023, for legal services as described therein,to be provided to the Town Trustees
for the period January 1, 2024 through December 31, 2024, at the retainer rate of$2,000.00 per
month, subject to the approval of the Town Attorney.

ENGAGEMENT LETTER 2024
Supervisor Russell:
This writing will memorialize the understanding between the TOWN OF
SOUTHOLD and LORI M. HULSE, ESQ., hereinafter referred to as "the law firm"
confirming that you have retained this firm as Attorney to represent the SOUTHOLD
BOARD OF TOWN TRUSTEES at public hearings,work-sessions and for counsel on
legal issues regarding open applications before the BOARD OF TOWN TRUSTEES.
You have agreed to pay the firm a monthly fee of$2000.00 per month as
scheduled by the Town. The term of this agreement is January 1, 2024,through
December 31, 2024, and may be renewed by mutual agreement in writing between the
parties.
It is understood that our retention does not include any services rendered in any
courts, or any services for other boards or departments of the Town, or representation in
any litigation unless otherwise covered by a separate written agreement.
It is understood that the legal service to be provided includes the following:
• Provide counsel and legal advice to the Board of Town Trustees and its members.
• Review any/all open files before the Board of Town Trustees to be heard at the
duly noticed public hearings and provide legal guidance before and during the
public hearing. Resolve legal issues related to any pending application.
• Consult with the Board of Town Trustees if the Board proposes amendments to
the Town Code regarding Chapters 96, 111, 219 and 275. This is not intended to
include drafting of proposed legislation, or attendance at any meeting regarding
amendment to the Town Code.

• Consult with and function as liaison between the Board of Town Trustees and
representatives of pending applications before the Board including attorneys,
expeditors and pro-se applicants as needed.
• Consult with and function as a liaison between the Board of Town Trustees and
the Southold Town Bay Constables. This includes providing legal counsel to the
Bay Constables as needed regarding investigations of violation(s) in connection
with matters pending before the Board of Town Trustees.
Attendance by the firm at special meetings,namely meetings other than one
monthly Board of Town Trustee work session and one monthly public hearing will be
billed at an hourly rate of$250/hour. Travel time will not be charged if the meeting
location is within the Town of Southold or the Town of Riverhead.
You have been advised that in order for me to properly protect your interests, it
may be necessary to retain outside experts such as wetlands and environmental
consultants, coastal and marine engineers, and shoreline management experts. You
will be responsible for costs incurred for any such services,which in some cases,may
have to be paid in advance, depending upon the requirement of the particular expert.
No such expert will be employed without prior written agreement between the expert
and the Board of Town Trustees and/or the Town of Southold.
Kindly indicate your understanding and acceptance of the above by signing this
document below where indicated.
You acknowledge receiving a duly executed duplicate original of this letter. I look
forward to being of service to you.
