THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2023-609 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
JULY 5,2023:
WHEREAS,the Town Board of the Town of Southold hereby accepts the donation from the
County of Suffolk of a certain parcel of land located in Mattituck New York and known as the
underwater lands of James Creek; and
WHEREAS,the parcel is zoned R-40 consisting of approximately 12.66 underwater acres and is
identified as SCTM#1000-122.00-04.00-044.008; and

WHEREAS,the underwater nature of the parcel is within the jurisdiction of the Trustees of the
Town of Southold and title shall be held accordingly; and
WHEREAS,the Town Board deems it in the best public interest that the Town of Southold
accept the donation of the subject property for the purpose of open space and wetlands
protection, all to be in accordance with.the environmentally sensitive nature of the property; now,
therefore, be it
RESOLVED that the Town Board of the Town of Southold hereby accepts the donation of
property from the County of Suffolk Department of Parks and Recreation consisting of 12.66
underwater acres, identified as SCTM# 1000-122.00-04.00-044.008 and further, authorizes and
directs Supervisor Scott Russell to execute all documents to effectuate said transfer, all with no
cost to the Town.

BETWEEN THE COUNTY OF SUFFOLK, a municipal corporation of
the State of New York, having its principal office at the
Suffolk County Center, Center Drive, Riverhead, New York 11901,
party of the first part, and
TOWN OF SOUTHOLD, a municipal corporation of the State of
New York, having its principal offices at 53095 Route 25,
Southold, New York 11971, party of the second part,
WITNESSETH, that the party of the first part, pursuant to
New York State Act 9334—B, dated February 23, _2022,__ Resolution
Number 335-2022 adopted by the Suffolk County Legislature on May
--------- 2, 2023 and, thereafter, approved by the County Executive on May
DISTRICT 9, 2023, and Town of Southold Resolution Number 2023-609 adopted
1000 on July 5, 2023, in consideration of ONE DOLLAR and 00/100

--------- Property Tax Service Agency as District 1000, Section 122 . 00,
Block 04 . 00, Lot 044 . 008 and acquired by Tax .Deed on May 19,
1993, from General L. Rains, the County Treasurer of Suffolk
County, New York and recorded on May 24, 1993, in Liber 11630,
CP 161 and, otherwise known as the underwater lands of James
Creek more particularly bound and described in Exhibit A annexed
hereto, being and intended to be the same real property
referenced in New York State Act 9334—B, dated February 23,
2022 .
FURTHER, notwithstanding the above description, it is the
intention of this conveyance to give title only to such property
as was acquired by the County of Suffolk by Tax Deed on May 19,
1993, from General L. Rains, the County Treasurer of Suffolk
County, New York and recorded on May 24, 1993, in Liber 11630,
CP 161 .
PROVIDED, however, that the party of the second part will
be restricted in its use of the subject premises and will use
said premises solely and exclusively for municipal purposes
including but not limited to parkland and/or recreational
purposes, provided, however, that the Town of Southold shall
continue to provide access to such parkland and/or recreational
facilities to all residents of Suffolk County and the Town of
Southold shall not enact any fees or charges which are higher
for County residents who are not Town residents; with all right
title and interest reverting to the party of the first part:
1) If the property is not used for the above-described public
governmental purposes within three (3) years after delivery of
the deed to the party of the second part; or
2) If the party of the second part attempts to sell, transfer,
or otherwise dispose of the property or does sell said property
being used thereafter for the above described public
governmental purposes, at any time, uses or attempts to use said
subject premises for other than municipal purposes or attempts
to sell, transfer or otherwise dispose of said subject premises
without said premises being used thereafter for municipal
purposes . This covenant and restriction shall run with the land
and shall bind the heirs or successors and assigns of the party
of the second part,
TOGETHER with all right, title and interest, if any, of the \
party of the first part of, in and to any streets and roads
abutting the above-described premises to the center lines
thereof;
TOGETHER with the appurtenances and all the estate and
rights of the party of the first part in and to said premises;
TO HAVE AND TO HOLD the premises herein granted unto the
party of the second part, the heirs or successors and assigns of
the party of the second part forever.
SUBJECT to the condition that neither Grantee nor any
Municipality shall bill or charge back to Grantor any cost
incurred or projected to be incurred for the cleaning up of any
debris on said property. In the event that such charge back or
bill is rendered to the Grantor this Deed shall be void ab
initio and the realty shall revert to the Grantor.
SUBJECT to any state of facts which an accurate survey
might show.
AND the party of the first part, in compliance with
Section 13 of the Lien Law, hereby covenants that the party of
the first part will receive the consideration for this
conveyance and will hold the right to receive such consideration
as a trust fund to be applied first for the purpose of paying
the cost of the improvement and will apply the same first to the
payment of the cost of the improvement before using any part of
the total of the same for any other purpose.
THE WORD "PARTY" shall be construed as if it read "parties"
whenever the sense of this indenture so requires .
IN'..WITNESS WHEREOF, the party of the first part has duly
executed this deed the day and year first above written.
