S Silvermere Rd., Greenport, N. Y. herein called the "OWNER". WHEREAS, the VILLAGE owns and operates a municipal sanitation sewage treatment plant and collection system within its territorial bouncaries, '~ WHEREAS, the OWNER is desirous of securing a sewage collection system for the project to be developed at the property shown on the map <nd cons±ruction plan, attached hereto, made a part hereof and marked Exhibit "A", and WHEREAS the ,OWNER is willing at its cost and expense to lay and install or cduse to be laid an3 installed the sewage collec- tion system desckibed on the map and preliminary plan and to transfer and conSey same to the VILLAGE upon completion all of said system with~,the exception of the force main laid in the right of way of the Long Island Railroad and if necessary and to give and procure easements for the maintenance of said sewage collec- tion system, ands' WHEREAS the VILLAGE is willing to collect the sewage from i the project, and', the parties have agreed upon the terms and con- i ditions of collection of sewage and other matters, and WHEREAS the OWNER is the owner in fee of certain premises which premises are shocon generally on a map and preliminary plan annexed hereto, made a part hereof and marked Exhibit "A", t10W, THEREFOR, in consideration of the premises and cove- Hants herein, it is mutually agreed as follows: FIRST. CWNER will install at its own cost and expense, sewage collection pf a system for the collection of sewage as more fully shown Exhibit attached hereto, prepared by Corddry, Carpenter, Dietz and Zack and Peconic Asociates Inc consisting of Drawing Plan A and Drawing Plan B dated December 10, 1986. 5 id installation shall be in conformity with the agreement herei and the rules and regu~.ations of the VILLAGE. SECOND. Locations of all sewage collection facilities nd appurtenances are'shown on a copy of the map entitled Village of Greenport, Waste Water Treatment Facilities, f THIRD, All necessary engineering work, trenching, layhng, joining, backfilling shall be done by Oh'NER and shall sometimes hereinafter be cared "WORR". FOURTH. The Standards for the installation of the piping, machinery, which shall be in accordance with the standard specifi- cations required bx VILLAGE, and the pump station shall be in accordance with thlie specifications as set forth in plans prepared by Peconic Associa'ites, Inc for duplex grinder type pumping station dated December 10, 1986 and approved by the Department of Health ~ ~ Services of Suffolk County. FIFTH. The VILLAGE will supply without charge to OWNER suf- ficient water to rt~ake essential tests and to leave the system on final approval completely sanitary, said supply to be not less than 160 pounds per square inch. SIXTH. The work shall be .inspected by the VILLAGE which hereby delegates its Superintendent of Utilities or his designee full power of inspection hereunder. OWNER will grant complete freedom of access'to all parts of the premises and the WORK for i-~spection. The VILLAGE will have an authorized inspector at the site at all proper times so as not to delay the work. No work not passed by the inspector will be accepted by the VILLAGE. No back- filling shall be done until the pipe and the work in the trench has been approvedland tested by the inspector. SEVENTH. OWN~R will, and by this agreement does, upon appro- val of the completed work, which the VILLAGE will indicate to the Oh'NER in writing dedicate the sewage collection facility with the exception of the force main laid in the right of way of the Long Island Railroad td the VILLAGE, and ~t that time will grant and convey to the VILLAGE an easement and right of way in perpetuity for the purpose of laying, relaying,~repairing. operating and maintaining sewag~II collection facility and appurtenances, including domestid services in the full length and width of what is now or hereafter existinq public or private streets or rights of way in the premises as shown on thejattached map. The rights of way and easements shall also extend five feet on either side of the mains to be laid pursuant to this agreement, whether or not such distance shall be within the roadway. The mains and appur- tenances and the tights of way and easements shall be deeded to the VILLAGE, its successors or assigns. and shall forever remain the property of the VILLAGE, its successors or~assigns. Until such time, the OWNER shall maintain the sewer treatment facility in accordance all reasonable requirements of the Superintendent of Utilities of the VILLAGE. In the event that the OWNER fails to do so, the Superintendent of Utilities is hereby authorised to terminate the collection of sewage from the facility) upon thirty days notice to OWNER. `~ The OWNER shall maintain a leaching facility for its units in accordance with the requirements of the Village of Greenport, Town of Southold, County of Suffolk, State of New York all municipal agencies in the event that the sewer system to be constructed i herein fails for any reason or for any period of time or the rights of way are terminated. EIGHTH. The easements herein granted are not exclusive, and other easements may be granted by OWNER to other persons or cor- porations maintaining public services throughout the property, provided that no other mains are set within two feet of the sewage treatment facilities and no poles are set into the ground within t~vo feet either side of a line on the surface directly above the mains. If a gas, water or other main or service necessarily t r crosses the sewage, collection facility OWNER will advise the VILLAGE in writing of the exact location of the intersection forthwith upon installation and shall supply maps to the VILLAGE showing the exact ,locations. Said intersections shall not be per- mitted without prior written consent of the VILLAGE.. NINTH, If OWNER contracts with a third party for the hORK- as the parties contemplate will be the case, the VILLAGE will exa- mine the proposed contract, plans, and specifications, and promptly furnish OWN?:R and the third party contractor with a writ- ten statement of vyhat_ part, if any, of the WORK proposed to such contractfshould be revised to insure approval by the VILLAGE. The VILLAGE ~+ill not require any abnormal conditions, unless the situatio}},1 at the site shall require them. TEN H. Upon c~>mpletion, inspection and approval the VILLAGE will col~ect the sew,ige from the development and the owners of the lands therein at the rates and pursuant to the rules and regula- tions ofithe VILL~GE in force from time to time. In addition,'th= OWNER will establish a maintenance fund of FIVE THOUSAND ($S00)) DOLLARS to be paid to the Village of Greenport upon execution of this agreement. The purpose of the FIVE THOUSAND ($5,00]) DOLLARS is for the maintenance and/or replacement of the Froposed booster station. In addition lrhereto OWNER will pay the electric bill required to operate the sewage collection facility herein described. In addition thereto the OWNER shall pay~for one (1) hour t per week maintenance by the employees of the VILLAGE at the current rate then charged by the Village of Greenport to all pri- vate customers for said maintenance. The present charge is twenty- four dollars and sixty ($29.60) cents per hour. Said charges will increase or decrease in direct percentage to the increase or decrease in the VILLAGE'S labor costs during the life of this contract. ELEVENTH. The VILLAGE requires a cash contribution of twenty- six percent of the residential hook-up fee in effect at the time of the application for the hook-up. It is hereby represented at the time of this contract the said required cash contribution for single family residence dcaelling units is two thousand seven hundred dollars ($700.00). Said payment shall be made at the time of the execut~on of this agreement. The said funds are to be placed in the VILLA.GE'S Sewer Department Reserve Fund to help maintain and expan~ the sewage treatment facilities of the VILLAGE as may be necessary from time to time so as to assure OWNER of I future adequate sewage disposal It is contemplated by this contract that the OWNER anticipates sewage facility to service twenty-two motel u+~its, two houses, eight cottages and a swimming pool. Upon execution of this agreement, the OWNER shall deposit with the VILLAGE the sum of twenty-seven thousand one hundred sixty-two ($27,162.00) dollars, representing twenty-six percent of the hook-up fee pr2sently charged for single family residences in bank or certified hheck. j ' TWELFTH. TheiWORK contemplated by this agreement shall be completed within 74 months of final approval of plans by the VILLAGE. THIRTEENTH. The OWNER agrees that upon completion of the WORK in accordance with any contract made pursuant hereto, title to the sewage collecticn facility so installed and laid with the excep- tion of the force main Iaid in the right of way of the Long Island Railroad shall to deemed to the be in the VILLAGE, and the OWNER shall in confirmation of such passage of title, execute an instru- ment transferrirq and dedicating to the VILLAGE the sewage collec- tio~ facility tte title, free and clear of all encumbrances or I lie s to the setie,r collection facility so Laid and installed and if equired by th,e VILLAGE shall procure from all persons having an ~nterest in the land in which said sewage collection facilities so ~.ie a proper easement in favor of the VILLAGE for the perpetual 'r maihtenance, reFa'ir or replacement of said sewage collection faci- lit including the right to extend the facility and to connect them with other fiacilities as to be Iaid by or under the super- vision of the V7I,~LAGE. The instruments so executed shall be in recordable form. FOURTEENTH. The VILLAGE agrees that when the installation of the sewage collacltion facility has been completed, pursuant to the terms of this agr~~eement, and proper easements have been given, all as hereinbefore provided, the VILLAGE w111 accept the dedication and conveyance of, the sewage collection facility and maintain them t thereafter and collect sewage for the consumers subject to this agreement, conditipns, rates, rules and regulations of the VILLAGE. FIFTEENTH. This agreement contains the complete agreement between the parties for the acquisition ley the VILLAGE of the sewage collection system, and the OWNER ~igrees that it will not make any claims against the VILLAGE on a~:count of the installation of the sewage collection system and acceptance of the terms of this agreement, notwithstanding the provisions of any general or special law to the, contrary which may or may not be enacted. SIXTEENTH. This agreemelnt shall inure to the benefit and shall bind the respective hel~rs, legal representatives, successors or assigns of the parties he~,reto. SEVENTEENTH. This agreefinent shall nit be assignable by the ~~ OWNER without the consent iq writing of the VILLAGE which consent shall not be unreasonably withheld.
