an address at 161 Oriental Avenue, P.O. Box 604, Fishers Island, New York 06390,
party of the first part, and
THE HENRY L. FERGUSON MUSEUM, a not-for-profit New York corporation, having
an address at 1109 Equestrian Avenue, P.O. Box 554, Fishers Island, New York 06390
party of the second part,
WITNESSETH,that the party of the first part, in consideration of Ten dollars and other good and
valuable consideration paid by the party of the second part, does hereby grant and release unto the
party of the second part, the heirs or successors and assigns of the party of the second part forever,
ALL those certain plots, pieces or parcels of land, situate, lying and being at Fishers Island in the
Town of Southold, County of Suffolk and State of New York, being more particularly described as
follows:
SEE ATTACHED SCHEDULE A
BEING and intended to be part of the same premises described in a deed made by Fishers Island
Estate, Inc. and recorded on December 9, 1966 in Liber 6083, at Page 280.
TOGETHER with all right, title and interest, if any, of the party of the first part in and to any
streets and roads abutting the above described premises to the center lines thereof;
TOGETHER with the appurtenances and all the estate and rights of the party of the first part in
and to said premises;
SUBJECT TO the reservation by the party of the first part for itself,and its successors and assigns,
and for Fishers Island Utility Company, Inc.,The Fishers Island Electric Corporation, The Fishers
Island Telephone Corporation and Fishers Island Water Works Corporation, and their successors
and assigns, of(1)a 50 foot wide easement and right of way bordered southerly by the Main Road
and easterly and northerly by Top of the World Road encompassing an existing water main and
existing utility poles,and(2)a 10 foot wide easement and right of way running across the westerly
side of the subject premises from the Main Road to Brooks Point Road the center line of which
shall be the location of an existing water main, each for the sole purpose of above ground and
subsurface installation, operation, maintenance, repair and replacement of equipment and other
property used in connection with the provision of utility services whether now existing or hereafter
installed;
SUBJECT TO easements and rights-of-way which are hereby reserved by the party of the first
part for itself, and its successors and assigns, and for Fishers Island Utility Company, Inc., The
Fishers Island Electric Corporation, The Fishers Island Telephone Corporation and Fishers Island
Water Works Corporation, and their successors and assigns, for the above ground and subsurface
installation, operation, maintenance, repair and replacement of equipment and other property used
in connection with the provision of utility services whether now existing or hereafter installed,
over those portions of the subject premises as the entity installing, operating, maintaining,
repairing or replacing the equipment and other property for the provision of a respective utility
service shall in its sole and absolute discretion deem necessary or advisable in order to provide
such utility service to its customers in a reliable manner and on an uninterrupted and sufficient
basis; provided, however, that (a) any installation or replacement of equipment providing any
utility service shall be within the 10' wide or 50' wide easements referred to above, as the case
may be, and (b) whenever the surface of the ground shall be temporarily disturbed by such entity,
it shall be the duty of such entity, forthwith, at its own expense, to reasonably repair and restore
the surface of the ground so disturbed to substantially the same condition as shall have existed
before the time of such disturbance, and to allow for continued land conservation. The utility
services contemplated by this paragraph shall not include wells or large-scale equipment such as
solar arrays, wind turbines, or cell towers:
TO HAVE AND TO HOLD the premises herein granted unto the party of the second part, the
heirs or successors and assigns of the party of the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered
anything whereby the said premises have been encumbered in any way whatever, except as
aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the
party of the first part will receive the consideration for this conveyance and will hold the right to
receive such consideration as a trust fund to be applied first for the purpose of paying the cost of
the improvement and will apply the same first to the payment of the cost of the improvement before
using any part of the total of the same for any other purpose.
THE easements and rights of way referred to herein shall run with the land and shall bind future
owners of the subject premises and their heirs, personal representatives, successors and assigns.
The word "party" shall be construed as if it read "parties" whenever the sense of this indenture so
requires.

BEGINNING at a point in the Southeasterly line of Firestone Drive which is located 168.49 feet North of a point which is
842.55 feet West of a monument marking the United States Coast and Geodetic Survey Triangulation Station
"Chocomount 2", said point being on the dividing line of the herein described tract of land and land now or formerly of
Arthur Kuypers and Roelfien Kuypers; and
RUNNING THENCE along said land now or formerly of Arthur Kuypers and Roelfien Kuypers South 64 degrees 35 minutes
50 seconds East 301.79 feet to an iron pipe;
THENCE South 24 degrees 56 minutes 10 seconds West 189.27 feet to an iron pipe;
THENCE South 54 degrees 38 minutes 30 seconds East 284.48 feet to a point,the last two lines abutting Southeasterly
and Northeasterly on land now or formerly of Anne H. Polk Revocable Trust;
THENCE South 54 degrees 38 minutes 30 seconds East 360.66 feet to a point;
THENCE North 00 degrees 47 minutes 20 seconds West 49.75 feet to an iron pipe, the last two lines abutting
Northeasterly and Westerly on land now or formerly of Samuel S. Polk Revocable Trust;
