Thors 215 East 72nd Street New York, NY 10021 Re: Purchase of Premises at Fishers Island from Swing Trust Dear Mrs. Thors: Confirming our telephone conversation the other day, we now have in hand the approval of the Suffolk County Department of Health Services for the construction proposed under Mr. Swing's site plan. I expect to have a waiver from the Town Trustees under the Coastal Erosion Hazard Areas Law in the near future. I have also ordered a guaranteed survey from Chandler, Palmer & Icing which we will need for title insurance purposes. As soon as the latter two documents are available, I will be in a position to schedule a closing, probably during the week of March 15. In addition to the balance of the purchase price of $288,000, which must be paid in the form of a bank or certified check, you will owe the seller for an adjusted amount of prepaid taxes and FIDCO maintenance charges. I estimate that the total of both adjustments will be about $350; that amount can be paid by uncertified check. Unless Mr. Swing advises otherwise, these .checks should be made payable to John Temple Swing and L. George Rieger, as Trustees. Your other closing costs will consist of a title insurance premium, a recording fee for the deed, survey charges and my legal fee and disbursements. The title insurance premium for this transaction will be $1,513. Unlike the premium for the insurance policy you should obtain when you commence construction, the title insurance premium is a charge that is paid only once, not annually. However, you may wish to increase your coverage at a later date as you add value to the real estate,. The recording fee for the deed will be in the $75-100 range, depending on its length. The charge for the guaranteed survey will be about $600. Based upon time already spent and what I anticipate spending between now and the closing date, I estimate that my fee will be about $3,000 and that my disbursements will amount to about $100. I will give you a detailed statement of services at the closing. Continued i Mrs. Virginia F. Thors March 5, 1993 Page 2 of 3 a In addition, there will be a representative of the title insurance company at the closing. It is customary to give him a- gratuity which, for New York City closings, ranges from $75-$100. He will be performing various activities so that you will receive a commitment for title insurance on the closing date. Your title policy will insure, among other things, that the Swing Trust actually owned the property and therefore had the authority to sell it to you and that there are no liens or encumbrances on the property. (Although your title policy will be effective on the closing date, it will not actually be delivered until a few months later.) I understand from Glenn Just of J.M.O. Consulting who Mr'. Swing used to obtain the DEC Permit and who I used to expedite the other approvals, that he is sending a bill to Mr. Swing that includes his time for all approvals. Under the contract you are technically responsible for the cost of those approvals for which we applied and, in fact, you have already paid the $220 disbursement for the Health Department approval. I doubt that Mr. Swing will ask you to contribute some portion of Mr. Just's bill allocable to the Health Department approval and Trustees' waiver but you would arguably be responsible for that portion. In any event, I do not expect the amount to be significant. Finally, as we discussed last fall, the existing approvals relate to the construction activities as shown on Mr. Swing's site plan and reveal that in fact the property can be improved as long as you comply with that plan. If you want to locate the house on a different part of the property as Mr. Righter suggested you could conceivably do, the various approvals would require modification. I should point out that, in connection with a variance application on another East End property I submitted recently, the Building Inspector took the -position that the R-120 setbacks applied. Those setbacks require a 60-foot front yard and 30-foot side yard as shown on the current plan. Therefore, moving the proposed location forward may require a variance under the Zoning ordinance in addition to modification of the other approvals. As I have discussed with Mr. Righter, the Building Inspector has been inconsistent in applying the R-120 setbacks on the East End and it is possible that he would issue a permit with a 50-foot front yard. However, no assurance can be given that he will do so without a variance. Moreover, if he were to do so and someone later complained, his error would not prevent the Town from enforcing the proper setback even if you had already commenced construction. Mrs. Virginia F. Thors March 5, 1993 Page 3 of 3 a f if you have any questions or comments concerning any matters discussed in this letter or otherwise, please do not hesitate to give me a call.
