MEMORANDUM OF TENANTS IN COMMON AGREEMENT
THIS MEMORANDUM OF TENANTS IN COMMON AGREEMENT S� (the
"Memorandum") is dated as of February 10, 2022 by and between TUCK REALTY LLC,'S New
York limited liability company (`'TIC-1"), and 202 EAST 31" STREET HOLDINGS, L.L.C.*a
New York limited liability company ("T1C-2") (together with any other persons or parties who
acquire an interest and assume the rights and obligations hereunder by written instrument, each
sometimes referred to as a "Tenant in Common" or collectively as the "Tenants in Common").
A. The Tenants in Common have entered into that certain Tenants in Common
Agreement dated of even date hereof(the "TIC Agreement'), pertaining to certain real property
more particularly described on Exhibit A attached hereto (the "Property").
B. This Memorandum is made and entered into solely for the purpose of providing
notice of the TIC Agreement to all third parties.
NOW, THEREFORE, for valuable consideration, the receipt and sufficiency of which are
hereby acknowledged, the Tenants in Common hereby declare and agree:
1. The Tenants in Common hereby created a tenancy-in-common in order to coordinate
all actions taken with respect to the Property pursuant to the terms and provisions of the TIC
Agreement. The TIC Agreement is hereby incorporated by this reference as if set forth herein in
full.
2. The Tenants in Common have subordinated and hereby expressly subordinate the TIC
Agreement to the Loan Documents, including the lien established pursuant to the Security
Instrument.
3. All communications with the Tenants in Common under this Agreement, including an :!t'd�D
inquiries regarding the specific terms of the TIC Agreement, should be addressed to Kou soudakis
& Iakovou Law Group, PLLC, 40 Wall Street, 49th Floor, New York, NY 10005 Attn: Socrates
Xanthopoulos, Esq.
4. To the extent of any inconsistency between the terns of the TIC Agreement and this
Memorandum, the terms of the TIC Agreement shall prevail and control.

ALL that certain plot, piece or parcel of land, situate, lying and being in Mattituck, Town of Southold,
County of Suffolk and State of New York, known as Lot No. 20 on, "Map of Captain Kidd Estates", filed in
the Office of the Clerk of the County of Suffolk, on January 19, 1949, as Map No. 1672, being more
particularly bounded and described according to said map as follows:
BEGINNING at a point on the easterly side of Sound Beach Drive, distant 151.22 feet southerly from the
most southerly end of a curve connecting the easterly side of Sound Beach Drive with the southerly
side of Inlet Drive;
RUNNING THENCE easterly at right angles to the easterly side of Sound Beach Drive, 150.00 feet;
THENCE southerly at right angles to the last mentioned course, 50.00 feet;
THENCE westerly at right angles to the last mentioned course, 150.00 feet to the easterly side of Sound
