THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2023-385 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
APRIL 25,2023:
RESOLVED ,that the Town Board of the Town of Southold hereby authorizes and directs
Supervisor Scott A. Russell to execute an Agreement with Parker Jewish Institute for Health
Care&Rehabilitation for the payment of charges for Adult Day Care services incurred at
Katinka House Adult Day Care, on behalf of members enrolled in the Parker Jewish Institute for
Health Care&Rehabilitation Respite Scholarship Program, in an amount not to exceed
$1,800.00. Charges in excess of the scholarship funds shall be the sole responsibility of the
individual receiving such services, subject to the approval of the Town Attorney.

Respite Care Agreement
Between Katinka House Adult Day Care Program and Parker Jewish Institute for Health Care &
Rehabilitation.
This agreement is entered into between Katinka House Adult Day Care Program,located at 750 Pacific
Street P.O.Box 85, Mattituck NY 11952 (631) 298-4470 and Parker Jewish Institute for Health Care &
Rehabilitation, located at 271-1176th Avenue, New Hyde Park, NY 11040, (718) 289-2100.
In consideration of the promises and conditions contained in this agreement,the parties hereto agree as
follows:
1. Concept: Katinka House Adult Day Care Program will provide Adult Day Program Services at the
rate of($) per(time) for.individuals enrolled in the Parker Jewish Institute for
Health Care &Rehabilitation Respite Scholarship Program.
2. Billing: Katinka House Adult Day Care Program will bill Parker Jewish Institute for Health Care &
Rehabilitation for up to for up to$1800.00 of respite care. Once$1800.00 is maximized;the
client will be responsible for any additional payment.
3. Independent Contractors:The parties enter into this Agreement as independent contractors,
and nothing in this Agreement will be construed to create a partnership,joint venture, agency,
or employment relationship between the parties.
4. Exclusivity:This agreement in no way mandates that Katinka House Adult Day Care Program,or
Parker Jewish Institute for Health Care & Rehabilitation, utilize the other's services exclusively.
This Agreement may be modified and/or amended from time to time by written agreement of the
parties. Such modification and/or amendments will be attached to and become part of this agreement.

This agreement shall remain in effect, until terminated by either party,with 30 days notice.
