WHEREAS, the Declarant is the owner of certain real property situate at 54280 Main Road, Southold, Town of Southold, County of Suffolk and State of New York 11952, SCTM# 1000-61.00-4-22; more particularly bounded and described as set forth in Schedule "A" annexed hereto (the "Property"), and WHEREAS, the Declarant has applied to the Town Board of the Town of Southold("Town Board") for the transfer of 1.6 Sanitary Flow Credits to the Property, which will allow the development of an affordable apartment in the redevelopment of the Property,•and WHEREAS, in consideration of the granting of the application, and as a condition of granting approval of the transfer of 1.6 sanitary credits to the Property, the Southold Town Board has required that the Declarant file this Declaration of Covenants and Restrictions, and that the within Declaration providing for such restrictions be recorded in the Suffolk County Clerk's Office, and WHEREAS, the Declarant has considered the foregoing and determined that the same will be for the best interest of the Declarant and subsequent owners,of the Property: NOW, THEREFORE, THIS DECLARATION WITNESSETH: That the Declarant, for the purposes of carrying out the intentions above expressed, does hereby make known, admit,publish, covenant and agree that the said Property described in Schedule "A" annexed hereto shall hereafter be subject to the following covenants and restrictions, to wit: 1. Affordable Apartments. .The Declarant agrees to construct one(1) affordable apartment at the property, which shall remain affordable in perpetuity and shall be leased only to eligible individuals registered with the Town of Southold Housing Registry. The lease of the dwelling unit that is constructed with the transferred credit shall be administered through the Town of Southold pursuant to the provisions of Chapter 34, Housing Fund, and§§ 29k 0-24 through 280-33, Affordable Housing (AHD) District, and the sale and/or lease price shall be set by resolution of the Town Board. The tenant of the apartment (the Tenant) shall be registered with the Town Housing Registry and shall hold a Certificate of Eligibility issued by the Special Projects Coordinator ("SPC") of the Town in accordance with the Town Code. 2. Lease Procedure. The owner of the Property(the Owner) shall submit a copy of the proposed lease to the Town Clerk together with a written notice of its intent to enter into the lease at least 14 days prior to the effective date of said lease in accordance with §280-30 of the Town Code. The lease must be in writing. Owner shall not enter into any lease without obtaining the prior written consent of the SPC. Owner will not rent the Unit without a written lease. Any lease entered into without the approval of the SPC shall be void. No lease shall be for a period of more than two (2)years. 3. Tenant Eligibility. In no event will the Town approve a lease unless the Tenant(s) are families/individuals listed on the Southold Town Housing Registry in possession of a Certificate of Eligibility issued by the SPC. The maximum rental amount and maximum incomes of the Tenant shall be as determined by the Town as set forth in §280-30 al ld §280-31 of the Town Code. 2 4. Report. Pursuant to §280-31 of the Town Code, Owner shall submit an annual report to the SPC no later than May 31 st of each calendar year in writing certifying the amount of rent received by Owner for the prior year and that the lease complies with the provisions of the Town Code. Owner shall include in any lease the requirement that Tenant submit an annual report to the SPC certifying the tenant's household income for the prior year no later than May 3 1" of each year. 5. Perpetual covenants. These covenants and restrictions shall run with the land and shall be binding upon the Declarant, its successors and assigns, and upon all persons or entities claiming under it, and may not be waived, changed, modified, terminated, revoked or amended by subsequent owners of the Rezoned Property,unless and until approved by a majority plus.one vote of the Town Board of the Town of Southold or its successor, following a public hearing. 6. Severability. If any section, subsection,paragraph, clause,phrase or provision of these covenants and restrictions shall be adjudged by a court of competent jurisdiction to be illegal,unlawful, invalid or held to be unconstitutional,the same shall not affect the validity of these covenants as a whole or any other part or provision hereof other than the part so adjudged to be illegal, unlawful, invalid, or unconstitutional. 7. Enforceability. The aforementioned Covenants are intended for the benefit of and shall be enforceable by the Town of Southold, State of New York, by injunctive relief or by any other remedy in equity or at law. If a Court of competent jurisdiction determines that a violation of these covenants and restrictions has occurred, the Declarant, or its successors and assigns, shall pay, either directly or by reimbursement to the Town all reasonable attorney's fees, court costs, and other expenses incurred by the Town in connection with any proceedings to enforce the provisions of the covenants and 3 restrictions set forth herein. The failure of said agencies or the Town of Southold to enforce the same shall not be deemed to affect the validity of this covenant nor to impose any liability whatsoever upon the Town of Southold or any officer or employee thereof. 8. The within Declaration is made subject to the provisions of all laws required by law or by their provisions to be incorporated herein and made a part hereof, as though fully set forth herein. The proposed action involves the request for the transfer of 1.61 sanitary flow credits for the purpose of authorizing an as-built professional office, fitness studio and three accessory apartments in the Hamlet Business Zoning District. Chapter 117. Sanitary Flow Credits, Transfer of§ 117-3. Definitions. Permits such a transfer for an eligible project. An ELIGIBLE PROJECT is defined as: "Projects located in a receiving district that are permitted uses in the zoning district where the subject property is located. " A receiving district is defined as: "RECEIVING DISTRICT-An area of the Town that is desirable to be developed more intensively than areas outside the distric't. " The proposed action meets the definitions. The parcel is located within the Hamlet Business (HB) Zoning District, and the uses are permitted. It is also located within the Southold Hamlet Center, an area with supporting amenities,public transportation, and infrastructure to support more intense builds of commercial and residential uses. 1 Page 1. Built Environment and Existing Conditions The site is improved with a structure that was built in 1787 (SPLIA). In 1986 the building was renovated. Land uses surrounding the parcel include a mixture of residential and commercial. The parcel is located in the Southold Hamlet Center, and the mix use residential and commercial uses is appropriate in this location. The location of the parcel provides adequate access to amenities. The parcel is located within the Southold Union Free School District. Available public schools to residents of units would include Southold Elementary School and Southold High School. There are no soil or topographical limitations on site. The parcel is not located within a FEMA-mapped flood zone. 2. Transportation and Infrastructure Parcel Access The parcel is south of State Route 25 (an arterial road). Parking is on-street and in the rear of the building, accessed by a driveway on the east side. Site & Project Description The above property is a mixed-use building with the Following existing uses: 1. Century 21 Real Estate Office 2. Bodysmart personal fitness studio (Gym) 3. 3 residential apartments on the south side of the building. Reason for Sanitary Credits: The commercial tenants on the first floor cause the existing sanitary flow to exceed the grandfathered flow. The original house was constructed 1787 and according to the Town SPLIA records "the original building was described as a 2 1/2 story single family dwelling, 3-bay, gable roof, white shingles with dentils on cornice, located in the center of the Southold hamlet". The building was later owned by the owners of the Frohnhoefer Electric Company. In 1986 the final renovation to the building was made by Frohnhoefer Electric for their large lamp lighting fixture showroom. Frohnhoefer Electric Company closed and new tenants took over the space. In the 1970's, on the South side of the building, three apartments were constructed. We believe that the existing single family dwelling (from 1787) was converted to apartments. The apartments remain and are occupied. The tenants work and live in the Town of Southold. There are no records in the Town Building Department for this conversion of the space to apartments. Existing Commercial Tenants: In 1993 Century 21-Real Estate office began occupying the east side of the first floor of the building. They continue to occupy this space. The west side of the building has had different tenants, currently the west side of the building is occupied by the fitness studio (Bodysmart). When the Town Board adopted the "Rental Law" the owner applied for a rental permit for the existing apartments. These rental permits are pending. Because the building department does not have building records of the apartments, the building department requires that the owner submit construction drawings of the existing apartments. To get the building permits, Suffolk County Health Department is required. The owners have an application to the Health Department for an upgraded sanitary system for the building, however, the Health Department has required the owner to obtain "sanitary credits" as a condition of the Health Department approval. The apartments are grandfathered regarding the gallons per day sanitary flow requirements; however, the existing commercial tenants trigger the need for transfer of sanitary credits.
