THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO.2023-166 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
JANUARY 31,2023:
RESOLVED that the Town Board of the Town of Southold hereby engages the professional
services of Lori Hulse,Esquire, to provide legal-counsel to the Southold Town Board of
Trustees and authorizes the Supervisor to sign a 2023 Retainer Agreement for January 1,
2023 through December 31, 2023. Compensation shall be at a municipal rate of$1,500.00 per
month. Additional expenses subject to reimbursement shall include,but are not limited to the use
of approved outside experts. Invoices submitted on a monthly basis under the terms of this
retainer agreement shall be a legal charge to budget line A.8090.4.500.200.

ENGAGEMENT LETTER 2023
Supervisor Russell:
This writing will memorialize the understanding between the TOWN OF
SOUTHOLD and LORI M.HULSE,ESQ.,hereinafter referred to as"the law firm"
confirming that you have retained this ,firm as Attorney to represent the SOUTHOLD
BOARD OF TOWN TRUSTEES at public hearings,work-sessions and for counsel on
legal issues regarding open applications before the BOARD OF TOWN TRUSTEES.
You have agreed to pay the firm a monthly fee of$1500.00,payable monthly as
scheduled by the Town. The term of this agreement is January 1, 2023,through
December 31, 2023 will be renewed upon mutual consent of the parties.
It is understood that our retention does not include any services rendered in any
courts,or any services for other boards or departments of the Town,or representation in
any litigation unless otherwise covered by a separate written agreement.
It is understood that the legal service to be provided includes the following:
• Provide counsel and legal advice to the Board of Town Trustees and its members.
• Review any/all open files before the Board of Town Trustees to be heard at the
duly noticed public hearings and provide legal guidance before and during the
public hearing.Resolve legal issues related to any pending application.
• Consult with the Board of Town Trustees and Town Attorney if the Board
proposes amendments to the Town Code regarding Chapters 96, 111,219 or 275.
This is not intended to include drafting of proposed legislation,or attendance at
any meeting regarding amendment to the Town Code.
• Consult with and function as liaison between the Board of Town Trustees and
representatives of pending applications before the Board including attorneys,
expeditors and pro-se applicants as needed.Review and revise as needed,all

covenants and restrictions imposed by the Board of Town Trustees and prepared
by an applicant,for accuracy and completeness.
• Consult with and function as a liaison between the Board of Town Trustees and
the Southold Town Bay Constables.This includes providing legal counsel to the
Bay Constables as needed regarding investigations of violation(s)in connection
with matters pending before the Board of Town Trustees.
• Consult with the Town Attorney on a monthly basis or as necessary to provide
information about the status of pending applications and issues that may impact
other town departments or the Town Board of the Town of Southold.
Attendance at special meetings,namely meetings other than one monthly Board
of Town Trustee work-session and one monthly regular meeting will be billed at an
hourly rate of$250/hour. Travel reimbursement will be at current rate established by
the Internal Revenue Service.Travel time will not be charged for work-session and
public hearings of the Board of Town Trustees if the meeting location is within the
Town of Southold or the Town of Riverhead.All appearances and services to be
provided shall be personally performed by.Lori M.Hulse, Esq.
You have been advised that in order for me to properly protect your interests,it
may be necessary to retain outside experts such as wetlands and environmental
consultants,coastal and marine engineers and shoreline management experts. You
will be responsible for costs incurred for any such services,which in some cases,may
have to be paid in advance,depending upon.the requirement of the particular expert.
No such expert will be employed without prior written agreement between the expert
and the Board of Town Trustees and/or the Town of Southold.
Kindly indicate your understanding and acceptance of the above by signing this
document below where indicated.You acknowledge receiving a duly executed
duplicate original of this letter.I look forward to being of service to you.
