Dear Mr. Just:
The Southold Town Board of Trustees reviewed your letter dated October 16, 2022 and
the Boundary & Topographic survey prepared by Barrett, Bonacci & Van Weele, PC,
dated September 26, 2022, which letter stated that the proposed clearing and regrading
of a portion of this property for the purpose of installing golf greens and fairway will be
taking place greater than 100' landward of the tidal wetlands line and therefore out of
the Wetland jurisdiction under Chapter 275 of the Town Wetland Code and Chapter 111
of the Town Code.
Therefore, in accordance with the current Wetlands Code (Chapter 275) and the
Coastal Erosion Hazard Area (Chapter 111) no permit is required.
Please be advised, however, that no clearing, no removal of vegetation, no cut or
fill of land or removal of sod, no construction', sedimentation, or disturbance of
any kind may take place within 100' landward from the top of the bluff, or seaward
of the tidal and/or freshwater wetlands jurisdictional boundary or seaward of the
coastal erosion hazard area as indicated above, without further application to,
and written authorization from, the Southold Town Board of Trustees pursuant to
Chapter 275 and/or Chapter 111 of the Town Code.
It is your responsibility to ensure that all necessary precautions are taken to prevent any
sedimentation or other alteration or disturbance to the ground surface or vegetation
within Tidal Wetlands jurisdiction and Coastal Erosion Hazard Area, which may result

from your project. Such precautions may include maintaining adequate work area
between the tidal wetland jurisdictional boundary and the coastal erosion hazard area
and your project or erecting a temporary fence, barrier, or hay bale berm.
This determination is not a determination from any other agency.

Dear Mr. Goldsmith-
At the present time we are seeking to obtain a Letter of Non-
Jurisdiction under Chapter 275 (Wetlands and Shorelines) of the
Town Code for this project. The project consists of the clearing
and regarding of a portion of this property for the purpose of
installing golf greens and fairways. The area in which the clearing
and.regarding is taking place greater than 100' landward of the
tidal wetlands line. For your review I have enclosed a copy of the
Boundary and Topographic survey of the site prepared by Barrett,
Bonacci & Van Weele, PC last dated September 26, 2022. The
survey depicts the tidal wetlands line which I located on October
13, 2021 and I have sketched on in red ink the 100' setback line
form the tidal wetlands line.

LIMITED LIABILITY COMPANY AGREEMENT

AURELIAN FARMS,LLC
This Limited Liability Company Agreement (the "Agreement") of Aurelian Funds, LLC
(the"Company") is entered into by AGR Master, LP as the sole initial member(the"Member").
The Member hereby forms a limited liability company pursuant to and in accordance
with the Delaware Limited Liability Company Act; as amended from time to time (the "Act"),
and hereby sets forth the rights, duties and obligations with respect to the Company as follows:
1. Name. The name of the limited liability company formed hereby is Aurelian
Farms, LLC.
2. Purpose. The Company is formed for the object and purpose of, and the nature of
the business to be conducted and promoted by the Company is, engaging in any lawful act or
activity for which limited liability companies may be formed under the Act and engaging in any
and all activities necessary or incidental to the foregoing.
3. Registered Office. The address of the registered office of the Company in the
State of Delaware is 108 West 13th Street, Wilmington, DE 19801.
4. Registered Agent. The name and address of the registered agent for service of
process on the Company in the State of Delaware is c/o Business Filings Incorporated, 108 West
13th Street, Wilmington, DE 19801.
5. Member. The name and business address of the sole initial member of the
Company is AGR Master, LP at 1350 Avenue of the Americas, Suite 2300, New York, NY
10019.
6. Powers. The business and affairs of the Company shall be managed by the
Member. The Member shall have the power to do any and all acts necessary or convenient to or
in furtherance of the purposes described herein, including all powers, statutory or otherwise,
granted by the Act to managers.
7. Capital Contribution. The capital contribution of the Member to the Company is
set forth on Exhibit A hereto, as may be amended from time to time.
8. Allocation of Profits and Losses. The profits and losses of the Company shall be
allocated 100%to the Member.
9. Distributions. Distributions shall be made at such times and in such amounts as
the Member shall determine.
10. Additional Contributions. The Member is not required to make any additional
capital contributions to the Company.

11. Dissolution. Except as hereinafter provided, the Company shall have perpetual
existence. The Company shall dissolve, and its affairs shall be wound up, upon the first to occur
of the following: (a) the written election of the Member to dissolve the Company, (b) the
expulsion or bankruptcy of the Member, the resignation of the Member in accordance with
Section 13 hereof or the occurrence of any other event which terminates the continued
membership of the Member, unless within ninety (90) days after the occurrence of such an event,
a personal representative of the Member agrees in writing to continue the Company and to
admission of such personal representative or nominee or designee to the Company as a member,
effective as of the occurrence of the event that terminated the membership of the Member, or (c)
the entry of a decree of judicial dissolution under Section 18-802 of the Act.
12. Assignments. The Member may assign in whole or in part its interest in the
Company.
13. Resignation. The Member may resign from the Company at any time.
14. Liability of Member. The Member shall not have any liability for the obligations
or liabilities of the Company except to the extent provided in the Act. The Member shall not be
obligated personally for any debt, obligation or liability of the Company solely by reason of
being a member of the Company.
15. Governing. This Agreement shall be governed by, and construed and
enforced under,the Act and the other laws of the State of Delaware.
16. Effective Time. This Agreement shall be effective upon the filing of articles of
organization with the Delaware Secretary of State.
IN WITNESS WHEREOF, the undersigned, intending to be legally bound hereby, has
duly executed this Limited Liability Company Agreement as of November 1, 2017.

PROPERTY LEASE AGREEMENT
THIS PROPERTY LEASE (the "Lease") effective as of April 1, 2018 (the "Effective Date"), is
hereby entered into by and between Indian Neck I, LLC, a New York limited liability company (the
"Landlord"), and Aurelian Farms, LLC, a Delaware limited liability company ("Tenant") (each a"Party,"
and collectively,the"Parties")for the purpose of setting forth the terms of the Lease:
WITNESSETH
In exchange for good and valuable consideration, the receipt and sufficiency of which is hereby
recognized by the Parties hereto, the Parties, for themselves, their heirs, distributees, executors,
administrators, legal representatives,successors and assigns,hereby covenant and agree as follows:
AGREEMENT
ARTICLE I
DEFINITIONS
The following terms shall have the meanings hereinafter set forth throughout this Lease:
1.1 "Premises" shall mean the properties, together with all buildings, structures, and
improvements thereon (collectively, the "Premises") more fully described on a separate page marked
Schedule A—Description of Premises and annexed hereto and made a part hereof and also known as:

1.2 "Fixtures"shall mean all fixtures and personal property now attached or appurtenant to the
Premises, unless specifically excluded below. Personal Property shall include, but is not limited to:
plumbing, heating, lighting, and cooking fixtures; chandeliers; bathroom and kitchen cabinets and counters;
mantels; storm doors, door mirrors, and door hardware; switch plates; venetian blinds, window treatments,
shades, screens, awnings, storm windows, and window boxes; mail boxes; TV aerials; weather vanes;
flagpoles; pumps; shrubbery; fencing; tool sheds; dishwashers, washing machines, clothes dryers, garbage
disposal units, ranges, ovens, built-in microwave ovens, refrigerators, and freezers; air conditioning
equipment and installations;wall-to-wall carpeting; and any other built-ins not excluded herein.
1.3 "Lease Commencement Date" shall mean April 1, 2018 unless otherwise agreed to by
Landlord and Tenant as herein provided.
1.4 "Initial Lease Termination Date"shall mean March 31,2019 unless the Lease is otherwise
terminated prior to such date in accordance with Sections 2.5, 4.3.5, 5.1.1, 5.1.2, 5.2.2, or 6.21 whereby the
Initial Lease Termination Date shall thereafter refer to the date of such earlier termination.
1.5 "Renewed Lease Termination Date"shall mean the date one(1)year after the Initial Lease
Termination Date,or in the event of successive renewals of this Lease,one(1)year following a prior Renewed
Lease Termination Date, unless the Lease is otherwise terminated prior to such date in accordance with
Sections 2.5,4.3.5, 5.1.1, 5.1.2, 5.2.2, or 6.2, whereby the Renewed Lease Termination Date shall thereafter
refer to the date of such earlier termination.

1.6 "Lease Termination Date" shall mean either the Initial Lease Termination Date or a
Renewed Lease Termination Date, in accordance with the applicability of either term as is then in effect at
such time.
1.7 "Initial Lease Term" shall mean the period between the Lease Commencement Date and
the Initial Lease Termination Date.
1.8 "Renewed Lease Term" shall mean the one (1) year period between the Initial Lease
Termination Date and the Renewed Lease Termination Date, or in the event of successive renewals of this
Lease, the period of one(1)year commencing on a prior Renewed Lease Termination Date and continuing
until a subsequent Renewed Lease Termination Date,as applicable.
1.9 "Lease Term" shall mean either the Initial Lease Term or a Renewed Lease Term, in
accordance with the applicability of either term as is then in effect at such time.
1.10 "Base Rent" shall mean zero dollars ($0) for the entire Lease Term, payable in monthly
installments of zero dollars($0)per month.
1.11 "Security Deposit"shall have the meaning as provided in Section 3.7 hereof.

1.14 "Permitted Uses" shall mean Agricultural-Conservation ("AC"), as defined in the Zoning
Ordinance of the Town of Southold.
ARTICLE II
DEMISE; PREMISES; TERM; POSSESSION; RENT
2.1 Demise; Use: In consideration of Tenant's agreement to pay the rent and the covenants and
conditions herein contained, Landlord hereby demises and leases to Tenant, and Tenant hereby hires and
leases from Landlord, upon the terms and conditions set forth herein, the Premises described in Section 1.1
hereof,for the period comprising the Lease Term. The Premises shall be used and occupied by Tenant solely
for the Permitted Uses,and for no other purpose without the prior written consent of Landlord,which consent
shall not be unreasonably conditioned, delayed,or withheld.

2.2 "As Is" Condition: Tenant acknowledges that it has examined the Premises and that the
acceptance of this Lease is conclusive evidence that the Premises are in satisfactory order. Tenant shall have
the right to use the existing Fixtures and improvements located on the Premises. Tenant acknowledges that
no representations or warranties as to the condition of the Premises, the Fixtures, or improvements located
on the Premises have been made. Landlord will deliver the Premises in their"As Is"condition.
2.3 Lease Term: "The Lease Term,"as referred to herein,shall mean either:
2.3.1 The Initial Lease Term,beginning on the Lease Commencement Date and continuing
until the Initial Lease Termination Date; or
2.3.2 In the event that the Lease is renewed in accordance with Section 2.4,the Renewed
Lease Term, beginning on either (a) the Initial Lease Termination Date and continuing until the Renewed
Lease Termination Date,or(b)in the event of successive renewals of this Lease,on the prior Renewed Lease
Termination Date and continuing until a subsequent Renewed Lease Termination Date, as applicable.
2.4 Automatic Renewal: Unless the Tenant delivers written notice to the Landlord of its intent
not to renew the Lease at least sixty (60) days' prior to a Lease Termination Date, notwithstanding the
occurrence of a termination pursuant to Sections 2.5, 4.3.5, 5.1.1, 5.1.2, 5.2.2, or 6.2, this Lease shall
automatically renew for one(1)year following such Lease Termination Date.
2.5 Mutual Termination: Notwithstanding Sections 4.3.5,5.1.1,5.1.2, 5.2.2,or 6.2,this Lease
may be terminated sixty (60) days' prior to the intended date of termination upon mutual agreement of the
Parties evidenced by a written instrument.
2.6 Failure to Give Possession; Early Possession:
2.6.1 If Landlord is unable to tender possession of the Premises upon the Lease
Commencement Date identified in Section 1.3 above,by reason of the holding over or retention of possession
of any tenant or occupant, or for any other reason, Landlord shall not be subject to any liability arising from
the failure to tender possession on said date,and no such failure to tender possession shall in any other respect
affect the validity of this Lease or the obligations of Tenant hereunder.
2.6.2 Tenant may be permitted to enter into possession of the Premises prior to the Lease
Commencement Date identified in Section 1.3 above. Tenant hereby covenants and agrees that any such
early occupancy by Tenant shall be in accordance with all of the terms,covenants,conditions,and provisions
of this Lease;provided,however,that the phrase"Lease Commencement Date"as used herein shall describe
the actual date of such early possession, although the meaning of"Lease Termination Date" shall remain
unaffected.
2.7 Rent: Tenant covenants and agrees to pay Landlord as rent under this Lease the following
amounts, each of which amounts shall be considered rent and all of which, unless the context requires
otherwise, are collectively referred to herein as "rent." All rent shall be paid in lawful money of the United
States of America,without deduction or offset,prior notice or demand,at the Rent Payment Address set forth
herein or such other address as Landlord or its agent may hereafter designate in writing. Rent checks shall
be made payable to Landlord or to such other person, firm or corporation as Landlord or its agent may
hereafter designate in writing. Tenant's covenant to pay rent shall be independent of every other covenant
set forth in this Lease. Tenant shall pay the first month's installment of Base Rent on the date of Lease
execution. Thereafter,throughout the Lease Term,Tenant shall pay the Base Rent, monthly, in advance, on
the first day of each and every subsequent calendar month.
