Pursuant to your correspondence of April 11, 2011 and Request for Proposals (RFP) dated March, 2011, it is understood that the general scope-of-work will include performance of the following on a quarterly basis: 1) sampling and analysis of gas from 15 wells situated around the municipal solid waste landfill in Cutchogue,NY; and 2) preparation of report summarizing monitoring results. Qualifications R& C Formation, Ltd. is a corporation uniquely qualified to efficiently and effectively monitor the environs of solid waste facilities,prepare required monitoring reports and interface/negotiate with State and Federal Regulators. Our record serving Long Island communities performing landfill gas monitoring projects with a similar scope-of-work to that requested is extensive and includes the following: Town of North Hempstead, Solid Waste Management Authori1y(2001-Present): Comprehensive Groundwater &Landfill Gas Monitoring Program, Port Washington L-4 and L-5 Landfills, Port Washington, NY. R & C Formation, Ltd. General Scope of Related Services - Quarterly Monitoring per Project Operations Plan (POP) - includes measuring and recording pressure, methane and oxygen at 33 POP wells; and Monthly Monitoring per Landfill Stipulation Agreement (LSA) - includes measuring and recording pressure and methane at 16 LSA wells. All results are tabulated in summary reports and submitted on a quarterly (POP) and monthly (LSA)basis. Town of Huntington, Department of Environmental Waste Management(2000-2010): Landfill Gas Monitoring&Related Engineering Services, East Northport Landfill. General Scope of Related Services - Monthly monitoring for landfill gas at 41 monitoring wells (pressure, methane) and 30 methane control wells (temperature, flow rate,vacuum, methane, oxygen); noting of physical and operating condition/effectiveness of methane control and monitoring system components; preparation of monthly Summary Reports with requisite maps for submittal to regulatory agency. Proposed Scope-of-Work The specific Scope-of-work to be performed on a quarterly basis includes the following: 1) Field sampling of landfill gas measured at 15 wells for oxygen indicated in total % of gas, carbon monoxide indicated in parts per million(ppm), combustible gases indicated as % of lower explosive limit(LEL) and hydrogen sulfide indicated in ppm. During each quarterly monitoring event, climatic conditions including temperature, wind speed, sky condition and precipitation will be noted. 2) Preparation of letter report summarizing landfill gas monitoring activities including tabulated results for each well. Report copies will be submitted to the Town of Southold Solid Waste Management District and the DEC Region 1 Office within 45 days of the monitoring event and no later than the 201h day of the third month of the subject calendar quarter. Our services in connection with the performance of this program will be invoiced on a quarterly basis in accordance with the Contractor Cost Proposal Form and our Terms & Conditions provided on the following pages. GENERAL TERMS & CONDITIONS R& C Formation, Ltd. agrees to perform a proposed scope-of-work for compensation as authorized. The Client, upon authorization, is subject to the terms and conditions described herein. 1. If the Client requests a considerable change in the scope-of-work originally contracted, R& C Formation, Ltd. reserves the right to amend our costs accordingly. 2. R& C Formation, Ltd.'s proposal is considered valid for a period of ninety (90) days from the date it was signed by an R& C Formation, Ltd. officer. After ninety (90) days, we reserve the right of review with respect to any modifications in the scope-of- work proposed and associated fees. 3. Payment of invoices is due in U.S. dollars within thirty (30) days of the billing date. Balances past due for a period in excess of thirty (30) days are subject to 1.5% interest per month, 4. If intrusive activities such as those associated with borings, well installations, and excavations are required, R& C Formation, Ltd. will contact local authorities and site representatives with respect to the location of subsurface structures such as tanks,pipes, sewer lines and utility cables. R& C Formation, Ltd. will not be held responsible for any damage due to improper or insufficient information provided. 5. Either the Client or R& C Formation, Ltd. may terminate the contract, in whole or in part, if either party fails to fulfill its contractual obligations. Should the contract be terminated prior to its completion, R& C Formation, Ltd. will invoice the Client for all services performed up to the date of termination. 6. Discovery of contaminant release into the environment,may require reporting of said release to the proper authority within a specific time-frame. When possible, R& C Formation, Ltd. will contact and inform the Client of such discovery and reporting requirement.
