Russell to execute an amendment to the memorandum of lease with Summit Ridge Energy for the Cutchogue Landfill Property located at 6155 Cox Lane, Cutchogue,New York extending the option period and adjusting the lease rate therein, subject to the approval by the Town Attorney. Thank you. /mm Enclosures August 23,2022 ENERGY Town of Southold 53095 Route 25 PO Box 1179 Southold,NY 11971 Attn: Re: Town of Southold Ground Lease—Development Term Extension Reference is made to that certain Ground Lease, dated as of January 19, 2021,between Town of Southold ("Landlord") and SRE Solar Origination 2, LLC, a Delaware limited liability company ("Tenant") for the lease of certain real property located 6155 Cox Lane, Cutchogue,NY for the development, construction, operation and maintenance of a solar-powered electric generation facility and associated uses necessary or ancillary thereto ("Lease"). Capitalized terms used but not otherwise defined herein shall have the meanings set forth for them in the Lease(s). Notwithstanding any previous extension notices, Tenant and Landlord, by execution of this letter agreement, acknowledge and agree that pursuant to Section 4(a)(i)(B) of the Lease,the two (2) additional six(6)month(s)Development Term extension option(s),retroactively starting on July 23,2022,have been exercised by Tenant and the current Development Term ends on the earlier of a) July 23, 2023, or b) the first day of the Operating Term. The undersigned, each in his capacity as a representative of Landlord or Tenant,as applicable,each hereby certify that he is duly authorized to execute and deliver this letter agreement on behalf of Landlord or Tenant, as applicable. This letter may be executed in any number of counterparts, which may be delivered electronically or by other means. Each party may rely upon signatures delivered electronically as if such signatures were originals. Each counterpart shall be deemed to be an original, and all such counterparts when taken together, shall be deemed to constitute one and the same instrument.
