SPECIAL MEETING

WORK SESSION
10:00 A.M. - Present: Supervisor Francis J. Murphy, Councilman Joseph L.
Townsend, Jr., Justice Raymond W. Edwards, Councilman Paul Stoutenburgh',
Town Clerk Judith T. Terry, Town Attorney Robert W. Tasker.
The Board-met and-discussed the-proposed .a~reement between the State
of New. ~York, the Town of Southold and .Cross-Sound Ferry Service., Inc. to
improve the Orient Point Ferry Terminal, Bulkheads, Dolphins and Pilings.
Supervisor Murphy explained that the Town will .act as the contracting
agency. Tomorrow Ward Associates will' submit a scope of services whereby
they will be the inspection engineer for the proposed improvement.--Super~
visor Murphy stated that the grant from the State to Cross Sound Ferry iS'
in the amount of $400,000.00, and it has just been learned that the cost to,
do the dolphins alone will amount to approximately $450,000.00, contrary to
the $200,000.00 to $250, 000. 00 firSt estimated. Town Attorney Tasker questioned
where Cross Sound wilt get the additional funds to complete the project, i.e.,
termina, bulkheads and dolphins, as proposed. Supervisor Murphy stated they
will use their'own funds. There was general concern from Councilmen ToWnsend,
Stoutenburgh, Justice Edwards~and Town Attorney Ta~ker about the Town's
responsibility in this proposed third party agreement. Councilman Townsend
stated he would specifically want Cross Sound to present the Town with an
irrevocable Letter of Credit, or a bond, or cash for the. cost of the balance
of the project, so the Town will be protected in the event of a default. It
was further noted that Appendix 3 of the proposed agreement provides a 10%
hold-back by the State until the project is completed in accordance with the
agreement, at which time the Town may apply for the final payment, and then
o~/ under specific~conditi0ns. Town Attorney Tasker said the Town should,
in addition to the Letter of Credit, or bond, require a deposit of 10% of the
contract price, in cash, 'be held by the Town to assure the Town will not
be held responsible for final payment. Another suggestion was the elimination
from the agreement of all items except the dolphins, which will cost more than
the grant from the~state under the agreement.--Supervisor Murphy said he .,.
.will contact the State DOT and request the amendments to the contract as
specified, and-agreed to, by all of the Board members, and place a resolution
on the May 8th agenda authorizing him to sign the agreement on behalf of the
Town.
The Board then revieWed the few remaining resolutions on this Special
Meeting agenda.

SUPERVISOR MURPHY: I'll officially open the meeting we'll move to dispense
with other business and move to the first resolution.

Moved by Councilman Townsend, seconded by Justice Edwards, it was
RESOLVED that the Town Board of the Town of Southold hereby accepts the
bid of S. K. John Co., Inc., Southold, New York, in'the amount of $14,850.00,
for the construction of a new concrete block building, with slabs, at the Southold
Town Do9 Pound, Peconic, New York, all in accordance with the bid specifications,
and be it further ~.
RESOLVED that Supervisor Francis J. Murphy be and he hereby is authorized and
directed to execute an agreement between the Town of Southold and S. K. John
Co., Inc. for the aforesaid construction project.
SUPERVISOR MURPHY: Any other questions.~ ( No response.)
Vote of the Town Board: Ayes: Councilman Stoutenburgh, Justice Edwards,
Councilman Townsend, Supervisor Murphy.
This resolution was declared duly ADOPTED.
SUPERVISOR MURPHY: Resolution No. 2 we're going to hold. (Agreement between
the State of New York, through the Department of Transportation, the Town of
Southold and Cross Sound Ferry Service, Inc.) Number 3 is to close the creeks.

Moved by Justice Edwards, seconded by Councilman Townsend, it 'was
RESOLVED that the Town Board of the Town. of Sou.thold, upon the recommendation
of the Board~of. Southold Town Trustees, hereby closes the following creeks in
the Town of Southoldt from May 3t 1984 throuqh June 2, 1984, for the purpose.

JUSTICE ~EDWARDS: I showed this to Steve Malinowski on the Island and I
think it would be advantageous to get him over to a meeting someday because
he is saying that with adult clams like this, with the seeds that the spawn, --
now he's an expert on this--that you're lucky if 'you get one clam per adult.
COUNCILMAN TOWNSEND: The younger, clams are better?
JUSTICE EDWARDS: Younger clams are better.
COUNCILMAN STOUTENBURGH: You can bring him over, but let him talk to
the Baymen, not us.
SUPERVISOR MURPHY: We're in complete agreement, Ray,. and the only reason
that $3,000.00 is still in the budget is because of the pressure from some baymen.
JUSTICE EDWARDS; They had a meeting down Island yesterday that Steve went
to, because all of the seed clam producers met down in-Long Island yesterday and
Steve came over for that.
COUNCILMAN STOUTENBURGH: I was there.
JUSTICE EDWARDS: Oh, you were there. Did you meet him?

meet him, but I saw him across _the
room.
SUPERVISOR MURPHY: I might add, though, this is with the committee that
we have on shellfish, and with the professional Paul Flagg, that maybe we could
have a program where it's shown that we are getting no res~lt~ under this, we're
just throwing $3,000.00 away.
COUNCILMAN TOWNSEND: I don't know how you're going to prove that.
COUNCILMAN STOUTENBURGH: There's too much natural stock in the waters.
We'd have to do it in a controlled situation in a laboratory.

COUNCILMAN TOWNSEND: Well, if Steve knows it, there must be some
documentation.
JUSTICE EDWARDS: He has documentation.
COUNCILMAN STOUTENBURGH: That would be worth getting. See if could
get us that and we'll distribute that amongst the---
SUPERVISOR MURPHY: Because, Ray, we should have--I agree with you, we
should have Steve over too on the starting up of the scallop program, because
he had volunteered to do the whole--we were buying the equipment and the seed
stock for the scallcp program and he was going to do it over in Fis!~ers Island
for us.
Okay, resolution No. 4, increase the salary of Hele DeVoe.
Moved by Councilman Stoutenburgh, seconded by Councilman Townsend, it was
RESOLVED that the Town Board of the Town of Southold hereby inCreases the
salary of part-time Clerk-Typist in the Buildin9 Department, Helen K. DeVoe,
to $5.00 per hour, effective this dater May 1, 1984.
Vote of the Town Board: Ayes: Councilman Schondebare, Councilman
Stoutenburgh, Justice Edwards, Councilman Townsendr Supervisor Murphy.
This resolution was declared duly ADOPTED.
SUPERVISOR MURPHY: Number 5 is to hire another part-time person.
Moved by Councilman Townsend, seconded by Justice Edwards, it was
RESOLVED that the Town Board of the Town of Southold hereby appoints
Linda J. Cooper as a part-time Clerk-Typist in the Town Clerk'S Officer
effective May 2, 1984, at a salary of $5.00 per hour.
COUNCILMAN STOUTENBURGH: 'Is she any relation to the Coopers?
Cooper is she?
TOWN CLERK TERRY: She lives in Orient.

COUNCILMAN TOWNSEND: How did you get her application?
TOWN CLERK TERRY: She came in and applied, and Betty knows her very
well, and ! know her slightly. I interviewed her and she types well, she's
a nice calm, easy dispositi0ned person and has delt with the public a lot in
the past and that's the kind of person I need.
COUNCILMAN STOUTENBURGH: What did she do in'the past?
TOWN CLERK TERRY: She's worked as a typist, a file clerk, recording
inventories, and right now she's working at The Candyman and has a lot of
contact with the public 'in that position.
SUPERVISOR MURPHY: It's part-time and it's up to Judy to see if she likes
her, and if it 'doesn't work out---
