Trust (the "Grantor")

WITNESSTH, that the Grantor, in consideration of ten ($10.00) dollars and other
good and valuable consideration paid by the Grantee, hereby grants unto the
Grantee, an easement with respect to premises known and designated as 2950
Vanston Road, Cutchogue NY 11935, SCTM# 1000-111.00-05.00-007.003,
(hereinafter the "premises" and as more particularly described on Schedule A
hereto) in the Town of Southold, County of Suffolk, said easement consisting of a
strip of land 10.61 feet wide along the North side of the premises and then consisting
of a strip of land being 10.61 feet in width extending along a certain Right of Way
that is on the Northeasterly side of the premises with said easement widening to
15.00 feet at the Southwesterly boundary of said premises which easement is more
particularly described in Schedule B hereto.
This easement shall continue in perpetuity for the purpose of installing,
maintaining and repairing electric power lines underneath the surface of the
easement and installing, maintaining and repairing electric transformers on the
surface of the easement together with the right to enter upon the easement and to
excavate the land within the said easement to repair and maintain the electric power
lines and electric transformers.
Grantee shall bear all costs and expenses in connection with the installation,
maintenance and repair of said electric power lines and covenants to restore the
premises of the Grantor to its original condition, or as close to the original condition
as possible, upon the completion of the installation or maintenance and repair of
said electric power lines and electric transformers.
This agreement shall be binding upon, and enure to the benefit of the
respective parties hereto, their respective heirs, successors and assigns.
No liability shall be incurred by the reason of the necessity of excavating the
land for the purposes herein mentioned, provided any excavations are filled in and
the land is restored to its original condition, or as close to its original condition as is
reasonably possible.

day and year first above written.

SCHEDULE B —EASEMENT DESCRIPTION
A certain part or portion, which is the Easement, and is upon a certain plot, piece or
parcel of land, situate, lying and being in the Town of Southold, Suffolk County, New
York, known and designated as Lot No. 313 on a certain map entitled "Amended Map A.,
Nassau Point, and filed in the Office of the Clerk of the County of Suffolk on 8116/1922,
as Map No. 156, said Easement being more particularly bounded and described as
follows:
BEGINNING at a point on the southerly side of Old Cove Road, said point being distant
274.00 feet more or less from the extreme southwesterly end of the arc of a curve which
connects the westerly side of Vanston Road and the southerly side of Old Cove Road,
said point also being the division line between Lot 313 and Lot 312;
RUNNING THENCE South 67 degrees 08 minutes 30 seconds East, 270.93 feet to the
westerly side of Vanston Road;
THENCE along the westerly side of Vanston Road, South 21 degrees 27 minutes 50
seconds East, 10.61 feet;
THENCE North 67 degrees 08 minutes 30 seconds West, 273.81 feet;
THENCE South 39 degrees 46 minutes 09 seconds West, 97.41 feet to certain premises
owned by the Grantee;
THENCE along Grantee's premises,North 31 degrees 10 minutes 00 seconds West,
15.00 feet;
THENCE North 42 degrees 20 minutes 53 seconds East, 110.73 feet to the point or place
of BEGINNING
