LICENSE AGREEMENT
AGREEMENT made this qday of , 1996 by and between
Pellegrini Poconic LL , 005 Main 0a , u ohogue, New York
11935 ( "Licensor" ) and Peoonio Land Trust Inc, , 296 Hampton Road,
(PO Sox 2088) , Southampton, New York 11968 ( "Licensee" ) .
WHEREAS, Licensee is the owner of Lot 2 ( "Lot 211) as shown on
"Minor Subdivision Plat Richmond Creek Farms at Peconic, Town of
Southold, Suffolk County, New York" dated February 26, 1999
prepared by Young i Young, Land Surveyors (the "Map" ) and
described on Schedule A attached hereto and made a part hereof)
WHEREAS, Licensor is the owner of the premises described on
Schedule 8 attached hereto and made a part hereof known as Lot 1
on the Map ("Lot 111 ) ;
WHEREAS, Licensee desires the right of ingress and egress to and
from Lot 2 over the earth road on Lot 1 indicated as "EARTH ROAD"
on the Map (the "Earth Road" ) ) and
WHEREAS, Licensee desires to @root a sign on Lot 11
NOW THEREFORH, in consideration of, the foregoing and other gpood
and valuable consideration, the parties hereto agree as followai
1. Licensor hereby grants to Licenses, its agents,
employees, successors and/or assigns the irrevocable right toi
n. use of the Earth Road for ingress and aprose to
and from Lot 2 for the purpose of showing Lot 2 or any lots into
which Lot 2 may be subdivided to prospective purchasers and
b, erect and maintain on Lot 1 at Main Road a sign
advertising the Lot 2 or any further subdivision thereof for
gale. Any such sign shall conform to the appplicable requirements
of the Southold Town Code. Licensee shall be responsible for the
maintenance in all respects of such sign.
2. This Agrewment shall terminate on the earlier of the
date on which Licensee no longer owns Lot 2 or any lot into which
Lot 2 may be subdivided and the third anniversary of the date of
this Agreement.
3. Licensee shall hold Licensor harmless and indemnify
Licensor from and against any and all costs, claims or damages
arising from Licensee's exercise of its right of ingress and
egress over the Earth Road. Licensor shall have no obligation to
maintain the Earth Road.
4, Licensor agrees to execute any an all documents
necessary to further document or amend this Agreement to allow
the activities in Paragraph 1 t0 continue or occur.

9. This Agreement shall inure to the benefit of and be
binding upon the heirs, executors, successors and assigns of the
License•.
IN WITNESS WHEREOF, the undersigned have executed this
Agreement as of the day and year first above written.
