HomeMy WebLinkAboutBridge Business ConnectBridge Business Connect Agreement This Agreement governs your use of the Bridgehampton National Bank's Bridge Busir{ess Connect (the "Service"), which allows you to transfer funds, review account activity, and exchange electronic messages with The Bridgehampton National Bank. By using the Sexvice, you agree to these Terms & Conditions. Please mad this Agreement carefully and retain it for your records. As used in tiffs Agreement, "Bridge Business Connect Account" means the checking account you designated when you applied for the Service from which we make transfers on your behalf. "Accounts" means the Bridge Business Connect deposit account(s) to which you trove access through the Service. "You" and "your" refer to the person(s) or entity subscribing to or authorized to use the Service; "we, us," and "our" refer to The Bridgehampmn National Bank ("BNB"). 1. The Service. You may use any personal computer ("PC") to interface with The Bridge Business Connect to direct us to make transfers from your Account(s) to third parties ("Transferees") whom you have selected to receive monetmy transfers through the Service. You may- use your PC to obtain balance and other Lqformafion about your Accounts, to transfer funds between your Accounts and to gxve stop payment instructions to us. There are limits imposed by law on the number of trausfers you can make from money market accounts. By law, you can make no more than six (6) preauthorized withdrawals or automatic transfers lincluding telephone, savings, overdraft protection, or data transmission) from your regular savings or money market savings account during each statement period. If you would like to use a different Account with us as your Bridge Business Connect Account. add an additional Account to the Service or remove an Account from the Service, you must provide us at least ten (10) business days advance notice.' Malting Transfers between BNBAccounts, You may use the Service to make transfers between your eligible .Accounts. An eligible Account is one tinked~to~ the ser~sce that does not have withdrawal restrictions, such as a CD. or that ~:eqnires direct.Bank update by us (for example~ passb0ol~ accomit ~le-' posits and withdrawals) You cannot make transfers from your Cash Reserve. home eqinw, mortgage, or any other credit facility unless provided for in the Credit Advance Addendum approved by your Loan Officer. 3. Third ParO~ Ttransfers. You must provide sufficient information about each Transferee ("Transferee Information") - as we may request from time to time. including requests for more information about a Transferee - to properly direct a transfer to that Transferee and permit the Transferec~tb identify the correct account ("Transferee Account") to credit with your transfer. This informaffon may include, among other things, the name and address of the Transferee, your Transferee Account number, the receiving bank's ABA Number and the rain/mum, maximum and default amount of the transfer. This information may be faxed or mailed to BNB on your company letterhead. You must allow ten (10) business days after your additions, deletions and changes are commtmicated to us before they become effective. From time to time, we may set or change the number of Transferees you may designate to receive transfers through the Service. We may change the name or address of Transferees from t/me to time because Transferees may give us updated information about processing transfers for you. 4. Yo~ur £ogon ID and Password You will receive an initial Logon ID and a Password to obtain access to the Service.'~You will be prompted to change your password upon your initial sign in and :thereaftex, should chang6 ybur Password on a periodic basis; a thirty-(30) day period is recommended. Because your Logon ID and Password can be used to access money in any of your Accounts and to access information about any of your Accounts, you should treat your'Logon ID and Passyvord with th_e. s~ame -t- degree of care and secrecy that you use to protect other sensitive personal financial data. You agree not to give your Logon ID and Password, or make them available, to any other person. If you designate an Authorized User by requesting BNB to assign such person a Logon 1D and Password, that person xs considered your agent. As such, you are liable for ail activities of that person, including transfers and any withdrawals from your Account. The agency relationsliip can be tenrdnated only through written confirmation from us of your termmation of the agency relationship. 5Authorizin~ Transfers. To order a transfer us'rog the Service, you must: (a) select your Transferee from the list of Transferees; and Co) enter the mount of your transfer. Individual transfers may be made in any amount, not more than $500.000.00 and not exceeding the available balance in your Account from which transfers are made, excluding funds available by overdraft unless so authorized by a Credit Advance Addendum. To authorize a transfer of funds between your Accounts using the Service, you must first provide the information requested on The Enrollment & Authorization Form concerning the transfers you wish to make, including: (a) the eligible Account from which the wausfer is to be made, (b) the eligible Account number to which the funds are to be transferred. (c) the mimmum, mammum and default mount of the transfer, (d) the transferee's reference number/name, (e) the receiving bank's ABA number, (f) the receiving bank's name. and (g) the eligible Account name to which the funds are to be transferred. 6.1Delivery or Effectualion o_fYour Transfers Although you can (except as provided hi Section 15 below) enter the transfer information through the Service at any time, transfers can be "initiated" only on business days before 3:00 p.m.. Eastern Time ~see Section 15 below). The date entered for the transfer to be initiated is the date on wh/ch funds are to be deducted from your Account. This date ts referred to in this Agreement as the "Transfer Date." After the amount of any transfer is deducted (or debited) from your Bridge Business Connect Account, your transfers may be remitted by an electronic funds transfer. Because of the time it takes to transmit your transfer to your Transferees. they will not receive a transfer on the Transfer Date. Therefore. in order to provide sufficient time for transfers to be received by your Transferees, the Transfer Date for each transfer must be at least three r3) business days prior to the date your transfer is due regardless of the transfer method, excluding any applicable grace periods (the "Due Date"~. We will not be responsible for any loss, penaities, or late fees you may recur as a consequence of late transfer ffyour actual Transfer Date is not at least three (3) business days prior to the actual Due Date for your transfer. You should allow additional tune for the first transfer you send to a Transferee through the Service to allow the Transferee to adjust to the new form of payment. Accordingly, your first transfer to a Transferee through the Service should be Scheduled with a Transfer Date at least five (5) business day's prior to the Due Date. 7. Reviewing Transfers. Your processed transfers will be available for your review tlirough the Service and on your monthly deposit account statement(s). 8. Balance Inquiries. You may use the Service to check the balances and recent activity, of your deposit Accounts and other selected Accounts. Iu order to initiate an inquiry, you must first use your Logon ID and Password to connect to the Service. Any baiances will include a date as of which the balance is current. Balances shown may include deposits still subject to verification by us. The balances shown may also differ from your records because deposits in progress, outstavding checks, or other withdrawais_ payments, or charges may nor yet be included. 9. Transfers Posting Schedule. Balances and posted transfers are reflected in the Service at different times and on different schedules, as shown in the following chart. (Note: business days are Monday through Friday, except federal bank holidays) All transfers, which occur after 3:00 p_m. Eastern Time, will be posted to the appropriate account on the next business day. Statementa All of your transfers, including transfers made through the Service will appear on your monthly Account statement(s). The transfer mount and Transfer Date will be reflected for each transfer made through the Service. ~ - 11. Electronic Mail. The Service provides you with the ability' to send and receive secure electronic mail between you and BNB. Please remember that we may not unmediately receive electronic mail you send. tfyou need to contact us immediately, please see Section 17. No action will be taken~n any electronic mail you send to us until we actually receive your message. 12. Fees. Fees for using the Service will be a $5.00 monthly charge if average monthly balance of the primary checking account is below $12,500. This fee is in addition to any current applicable charges to your account. 13. Equipment. We are not responsible for any loss, damage or injmy resulting from (i) an interruption iix your electrical power or telephone service; (ii) the disconnecting of your telephone service by your local telephone company or from deficiencies in your line quality; or (iii) any defect or malfunction of your PC, modem, intemet or telephone service -3- 14. Software, We are not responsible for any banking, bill payment or other products or services other than those specified in this Agreemem. We also are not responsible for any damage to your PC, software, modems, telephone, or other property resulting from your use of the Service, including without Iimitation~ any damage resulting from a computer virus. 15. Business Davs/I-Iours o_[ Operation. Business days are Monday through Friday from 8:30 a.m. - 5:00 p.m. except for Federal holidays. Although transfers will only be processed on a business day, the Service is available 24 hours, 7 days a week except during maintenance periods or periods during which the Service otherwise is not operable. Please note that you may contact BNB by telephone between the hours of 8:30 a.m. and 5:00 p.m., Eastern Time, Monday through Friday by calling the Bridge Online Banking Center at 631/537-9600. 16. Notice o_[Your Rights and Liabilities. Tell us AT ONCE if you believe that your Logon ID and/or Password has been lost, stolen or used without your pernussion. Unauthorized activity may be possible without your knowledge or approval. If you believe your Logon ID and/or Password has been lost. stolen, or used without your permission to transfer funds or schedule a transfer from any of your Accounts: Call BNB at 631/537-9600 between the hours of 8:30 a.m. and 5:00 p.m., Eastern Time, Monday through Friday or fax BNB on your business letterhead at: 631/537-2390 17. Errors and Ouestions. Box 3005 Bridgehampton, New York 11932 If you believe your statement is incorrect, you must contact BNB no later than sixty. (60) days after you receive the FIRST statement in which the problem or error appeared. Be sure m: 1) Tell us your name and account number. 2) Describe the error or the transfer you are unsure about, and explain as clearly as you can why you believe it is an error or wh~v you need more mformatiun. 3) Tell us the dollar amount of the suspected error 18.Disclosure o£Accountlnformation to Third Parties. BNB will not disclose information about your Account or the transfers you make except: ~ 1) As necessary m complete transfers. 2) To vehfy the existence and condition of your Account with us upon reques~ of a third party, such as a Credit Bureau or merchant. 3) To comply with governmental agency or court orders. ~ 4) In accordance with your written permission. 5) In connection with any authorization messages transmitted in point-of-sale transfers. 6) As necessary m compile records and data regarding accounts and account transfers at all our affiliates. 7) To our affiliates in the normal course of business. 19. Authorization to Obtain Information. You agree that we may obtain and review your credit report from an authorized credit bureau. You also agree that we may obtain information regarding your Transferee Accounts in order to facilitate proper handling and credilSng of your transfers. 20. Termination. You may terminate your use of the Service at any time by writing to BNB at the address printed on your statement. You must notify us at least ten (10) calendar days prior to the date on which you wish to have your Service terminated. Your request must be in writing. We may ternunate your use of the Service. in whole or in part. at any time, for any reason, or for inactivity without prior written notice. Your access to the Service will be terminated automatically if your Bridge Business Connect Account is closed, or access to your Bridge Business Connect Account is restricted for any reason. Termination will not affect your liability or obligations under this Agreement for transfers we have processed on your behalf. 21. Limitation o_[Liabilit~. Except as otherwise provided in this Agreement or by law, we are not responsi- ble for any loss, injury, or damage, whether direct, indirect, special, or consequential, caused by the Service or the use thereof 22. Entire Agreement. This Agreement_ along with the Enrollment & Authorization Form(s), constitutes the complete and exclusive agreement between you and us related to the Service and supplements any other agreement or disclosure related to your Accounts. In the event ora conflict between what a BNB employee tells you and this Agreement, this Agreement shall take precedence. In the event of a conflict between this Agreement and any other agreement or disclosure related to any of your Accounts as to matters related to the Service, this Agreement shall take precedence. Without hmiting the generality of the preceding two sentences, in the event of a conflict between the Agreement, Eurollment& Authotization Form(s) and any agreement between you and us relating to the Service, the Agreement & Enrollment & Authotization Form(s) shall take precedence. 23. Waivers. No delay or omission by us in exercising any' rights or remedies hereunder shall impair such tight or remedy or be construed as a waiver of any such tight or remedy-. Any single or partial exercise of a right or remedy shall not preclude further exercise therefore or the exercise of any other right or remedy. No ~valver shall be valid unless in writing signed by us. 24. Assi~nmena You may not assign your rights and/or your responsibilities under the Agreement, Enrollment & Authorization Form(s) to any other party. We may assign our tights and responsibilities under the Agreemen~ Enrollment & Authoffzzation Form(s) or delegate any or all of such rights and responsibihties to any third parties. 25. Governing Law. The Agreement. Enrollment & Authorization Form(s) shall be governed by and constructed in accordance with the laws of the State of New York. 26. Amendments. We may amend or change the Agreement including the fees specified in Section 12at any time upon at least 30 (thirty) days written notice to you prior to the effective dat~ bf any change or amendment. If you do not agree to the grange or amendment, you must notify us prior to the effective date of the change or amendment and cancel your access to the Service. Your use of the Service following the effective date of any future changes or amendments constitutes your acceptance of and agreement to such changes or amendments. ~ 27. Noti£tcation. If you have reason to believe that your Logun ID and/or Password for the Bridge Business Connect has been lost or stolen or that an unauthorized person has used or may attempt to use the Service without permissmn, you must notify, us immediately. If you do not notify us immediately and we can prove that you could have avoided unauthorized access, you will be liable for the full amount of unauthorized transfers. -5- LIMITATION OF LIABILITY BECAUSE OF TIt~ POSSIBILITY OF HUMAN AND MECHANICAL ERRORS AS WELL AS OTHER FACTORS, THE WEBSITE (INCLUDING ALL INFORMATION AND MATERIALS CONTAINED ON THE WEBSITE) IS PROVIDED "AS IS" "AS AVAILABLE. THE BRIDGHAM~TON NATIONAL BANK AND THIRD PARTY PROVIDERS ARE NOT PROVIDING ANY V~rARRANTIES AND REPRESENTATIONS REGARDING THEIR VfEBSITE, INCLUDING ANY IMPLIED WARRANTIES OR MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTY RIGHTS, FREEDOM FROM VIRUSES OR OTHER HARMFUL CODF, OR FITNESS FOR ANY PARTICULAR PURPOSE. FURTHER THE BRIDGEHAMTTON NATIONAL BANK WILL NOT BE LIABLE FOR ANY DELAY, DIFFICULTY IN USE, INACCURACY OR INFORMATION, COMPUTER VIRUSES. MALICIOUS CODE OR OTHER DEFECT IN THIS WEBSITE, OR FOR THE INCOM-PATIBILITY BETWEEN THIS WEBSITE AND FILES AND THE USER'S BROWSER OR OTHER SITE ACCESSING PROGRAM.
