WITNESSETH,that the party of the first part,in consideration of Ten Dollars and other valuable consideration paid by the
party of the second part,does hereby grant and release unto the party of the second part,the heirs or successors and assigns of
the party of the second part forever,
ALL that certain plot,piece or parcel of land,with the buildings and improvements thereon erected,situate,lying and being in the
Town of Southold,County of Suffolk and State of New York,more particularly bounded and
described in Schedule "A"attached hereto and made a part hereof.
BEING AND INTENDED TO BE the same premises described in a certain deed from Karen
Hudson-Blair to Arnold Blair and Karen Hudson-Blair,as Co-Trustees of The Blair-Hudson
Peconic Ventures Living Trust,dated April 10,2021 and recorded June 30,2021 in Liber
13110 Page 825 in the office of the Clerk of the County of Suffolk.
SUBJECT TO the following covenants by the party of the second part to the party of the first
part:
a)No construction will take place on the subject premises for a period of eighteen(18)months
from the date of this indenture;and
b)Party of the second party will contribute fifty percent(50%)or up to$10,000.00,whichever
is less,of the cost of any dredging of the canal to the west of the premises.
TOGETHER with all right,title and interest,if any,of the party of the first part of,in and to any streets and roads abutting the
above-described premises to the center lines thereof;TOGETHER with the appurtenances and all the estate and rights of the
parry of the first part in and to said premises;TO HAVE AND TO HOLD the premises herein granted unto the party of the
second part,the heirs or successors and assigns of the party of the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered anything whereby the said
premises have been incumbered in any way whatever,except as aforesaid.
AND the party of the first part,in compliance with Section 13 of the Lien Law,covenants that the party of the first part will
receive the consideration for this conveyance and will hold the right to receive such consideration as a trust fund to be applied
first for the purpose of paying the cost of the improvement and will apply the same first to the payment of the cost of the
improvement before using any part of the total of the same for any other purpose.
The word"party"shall be construed as if it read"parties"whenever the sense of this indenture so requires.

ALL that certain plot, piece or parcel of land lying and being in the Town of Southold, County
of Suffolk and State of New York, known and designated as lot number 332 as shown on a
certain map entitled, "Amended Map A of Nassau Point, owned by Nassau Point Club
Properties, Inc., situate in the Town of Southold, Long Island, NY", surveyed June 28, 1922
by Otto W. Van Tuyl, C.E. & Surveyor, Greenport, NY, and filed in the Office of the Clerk of
Suffolk County on August 16, 1922 under File Number 1.56 and being bounded and described
as follows:
BEGINNING at the corner formed by the intersection of the northwesterly side of Vanston
Road with the northerly side of West Bay Road;
RUNNING THENCE along the northerly side of West Bay Road, South 64 degrees 22
