THIS INDENTURE made�.thia day of November, 2021, by and between 4660
Vanston Road LLC, with a principal address at 8 Knolls Lane, Flower Hill, NY 11030
hereinafter referred to as "Grantor"), and Arnold Blair and Karen Hudson Blair as Co-Trustees
of the Blair Hudson Living "Trust with a principal address at 4560 Vanston Road, Cutchogue, NY
I 1935 (hereinafter referred to as "Grantee").
WHEREAS, Grantor owns certain partially improved lands situate at 4660 Vanston
Road, Cutchogue, NY 11935, Suffolk County Tax Map No. 1000-111.00-10.00-015.000, as
successor in interest to Arnold Blair and Karen Hudson Blair as Co-"Trustees of the Blair Hudson
Peconic Ventures Living "frust ("Peconic Ventures"), which lands are more fully described in the
deed annexed hereto as Exhibit "A" and made a part hereof("Grantor's Property"); and
WHEREAS, Grantee owns certain improved lands situate at 4560 Vanston Road,
Cutchogue, NY 11935, Suffolk County Tax Map No. 1000-111.00-10.00-016.000 more fully
described in the deed annexed hereto as Exhibit "B" and made a part hereof(Grantee's
Property"); and
WHEREAS, Peconic Ventures had previously granted Grantee an easement over the
Easement Area pursuant to a certain Easement Agreement between Peconic Ventures and
Grantee dated April 10, 2021 and recorded September 24, 2021 in Liber 13121 Page 413
("Original Easement"); and
WHEREAS, it is the express intention of Grantor and Grantee that the terms of this
Amended and Restated Easement will replace and supersede the terms of the Original Easement;
and
WHEREAS, there currently exists on Grantor's property certain improvements that
benefit Grantee's property including stone walls, a stone patio, stair wells, ornamental plantings
and trees, landscaping, and a portion of'Grantee's driveway ("The Improvements").
WHEREAS, Grantee is desirous of an Exclusive Easement over a 14,197 square foot
portion of Grantor's property depicted as Easement Area on the Survey of Grantor's and
Grantee's properties prepared by Kenneth M. Woychuk Land Surveying, PLLC, on November
30, 2020, a copy of which is attached hereto as Exhibit "C" to allow the Improvements
benefitting Grantee's property to remain in perpetuity. The metes and bounds description of the
Easement Area are more fully described in Exhibit "D" annexed hereto ("Easement Area"); and
WHEREAS, Grantor, for good and valuable consideration, is desirous of conveying an
Exclusive Easement in Gross to Grantee over the Easement Area so that Grantee can have
exclusive, undisturbed access to and use of the existing improvements on Grantee's property that
lie within the Easement Area.
WITNESSETH:
1. Grantor does hereby grant, transfer, bargain, sell and convey unto Grantee, in
perpetuity, an Exclusive Easement in gross, on, over and under the Easement Area on Grantor's
property depicted on Exhibit "C" annexed hereto and more fully described in Exhibit '`D"
annexed hereto.
2. The nature, character and extent of the Easement hereby granted is as follows:
A. Grantee shall have the exclusive right to use, traverse, access, improve and
maintain said Easement Area comprised of 14,197 square-feet along the northern end of
Grantor's property and Grantor, its heirs, successors and assigns hereby waive any right to use,
traverse, access or improve of aintain the Easement Area without the express permission of
Grantee.
B. Additional improvements within the easement area will be limited to the
construction of deer fencing; in the event that a permit is required for the
existing deer fencing or any additional deer fencing within the easement
area, Grantee shall be solely responsible for the cost and fees associated
with obtaining the permit.
C. Neither Grantor nor Grantee shall install any structure or landscaping
exceeding 8 feet in height on their respective properties to preserve an
open and unobstructed viewshed for both parties.
D. In the event that Grantee fails to adequately maintain the easement area to
preserve Grantor's open and unobstructed viewshed, Grantor shall have
the right, upon 20 days notice by certified mail to Grantee, to enter the
Easement Area for the sole purpose of maintenance of the unattended area.
E. The location of the Easement Area described in Exhibit "D" shall not be
changed without the consent of both parties and their respective representatives.
F. Any and all costs associated with the use of said Easement shall be borne
solely by the Grantee, and furthermore, the Grantee, in conjunction with use of the Easement by
the Grantee, agrees to provide the Grantor with proof of liability insurance provided for by the
Grantee or reimbursement to Grantor for the cost of obtaining adequate liability coverage,
naming the Grantor, its heirs, successors and assigns as the case may be, as an additional insured
thereon as the Grantor's interests may appear. Grantor, its successors and/or assigns, shall notify
the Grantee by certified mail, return receipt requested, of a change in ownership in order to
facilitate changes in the endorsement.
G. Grantee also agrees to indemnify, save and hold Grantor harmless against
any and all claims for property damage and/or personal injury arising out of the use and
enjoyment of said Easement by the Grantees, their heirs, successors and assigns, invitees and
trespassers to the extent not covered by insurance.
3. This Agreement shall inure to the benefit of, and bind, the parties, their heirs,
successors, legal representatives and/or assigns, and shall run with the land in perpetuity.
