MC Nutrition Program Second Amendment
Amendpient of Agreement
This is the Second Amendment of an Agreement, last dated April 23, 1998 (Agreement) between
the County of Suffolk(County),a municipal corporation of the State of New York, having its principal
office at the County Center, Riverhead,New York 11901, acting through its dull constituted Office for the
Aging(Aging),having its principal office at the H. Lee Dennison Building—T Floor, 100 Veterans
Memorial Highway, Hauppauge,New York(Mailing address: Box 6100,Hauppauge,New York 11788-
0099), and Town of Southold (Contractor),a New York municipal corporation, having its principal place
of business at 53095 Main Road,P.O. Box 1179, Southold,New York 11971.
The parties hereto desire to extend the term of the Agreement from December 31, 1999 through
December 31, 2000 (the period January 1,2000 through December 31, 2000 being hereinafter called the
2000 Extension Period), as set forth herein. Sufficient funding exists in the 2000 Suffolk County Operating
Budget.
Term of Agreement: Shall be January 1, 1998 through December 31,2000,unless
terminated, as provided in Exhibits A and Al to the Agreement.
Daily Congregate Meals: 63 Daily Home-Delivered Meals: 103
Not to Exceed 15,798 Annually Not to Exceed 27,000 Annually
Total Cost of Agreement: Shall not exceed$ 304,294(of which$101,431 is for the 2000
Extension Period).
Terms and Conditions: Shall be as set forth in Exhibit A-2000 attached.

EXHIBIT A-2000
Whereas,the County and Contractor have entered into an Agreement(Law No. AG004M/0003-00YR),last
dated April 23, 1998, for a term from January 1, 1998 through December 31, 1998 for senior citizen
nutrition program(s); and
Whereas,the County and Contractor have entered into a First Amendment of Agreement(Law No.
AGO04M/0003-OOYRA)to extend the term from December 31, 1998 through December 31, 1999 (at an
additional cost of$101,431) increasing the Total Cost of the Agreement to $202,863; and
Whereas,the parties hereto desire to modify the Agreement and First Amendment of Agreement to extend
the term from December 31, 1999 through December 31, 2000 and increase the Total Cost of the Agreement
by $101,431 as set forth below;
Now, Therefore, in consideration of the covenants,promises and consent herein contained,the parties
hereto agree as follows:
1. Term of Agreement:
The Term of Agreement paragraph on the cover page of the Agreement is amended to read January
1, 1998 through December 31,2000 as set forth on page 1 of this Second Amendment of Agreement.
2. Meals:
Effective as of the beginning of the Extension Period,the approximate daily number, and the
maximum annual number, if any, of Congregate and/or Home-Delivered Meals included in the Program
shall be as set forth on the cover page of this Second Amendment.
3. Payment of Services:
The Total Cost of Agreement$304,294 is comprised as follows:
(a) $101,432 for calendar year 1998;
(b) $101,431 for calendar year 1999;
(c) $101,431 for calendar year 2000;
4. Rate Page:
The rate at which the Contractor shall be paid for this Extension Period is set forth for calendar year
2000 in Exhibit C to the Agreement.
5. Gratuities:
The Contractor represents and warrants that it has not offered or given any gratuity to any official,
employee or agent of Suffolk County or New York State of any political party,with the purpose or intent of
securing an agreement or securing favorable treatment with respect to the awarding or amending of an
agreement or the making of any determinations with respect to the performance of an agreement, and that he
has read and is familiar with the provisions of Local Law No. 32-1980 of Suffolk County (Chapter 386 of
the Suffolk County Code).
6. Except as herein amended, all other representations,terms and conditions of said Agreement,
including any and all amendments or budget modifications executed prior to the date hereof, are hereby
ratified and confirmed to be in full force and effect.

Amendment of Agreement
This is the Third Amendment-of an Agreement, last dated April 23, 1998 (Agreement) between

for personnel and/or equipment to provide eligibility determination for home-bound clients using the Client
Assessment Provider Data System (PDS), as set forth herein. Sufficient funding exists in the 2000 Suffolk
County OperatingxBudget, as amended by Resolution No. 613-2000. C3
Term of Agreement: Shall be January 1, 1998 through December 31, 2000, unless terminated, as
provided in Exhibits A and Al to the Agreement.

Whereas, the County and Contractor have entered into an Agreement(Law No. AG004M/0003-00YR), last

AG004M/0003-00YRA) to extend the term from December 31, 1998 through December 31, 1999 (at an

Whereas, the County and Contractor have entered into a Second Amendment of Agreement(Law No.
AGO04M/0026-OOYRB) to extend the term from December 31, 1999 through December 31, 2000 (at an
additional cost of$101,431) increasing the Total Cost of the Agreement to $304,294; and
Whereas, the parties hereto desire to modify the Agreement and First and Second Amendments of
Agreement to increase the Total Cost of Agreement by$15,438 for personnel and/or equipment, to provide
eligibility determination for home-bound clients using the Client Assessment Provider Data System(PDS),
increasing the Total Cost of the Agreement to $319,732; as set forth below;
Now, Therefore, in consideration of the covenants, promises and consent herein contained, the parties

The Term of Agreement paragraph on the cover page of the Agreement remains amended to read
January 1, 1998 through December 31, 2000 as set forth on page 1 of this Third Amendment of Agreement.
2. Meals:
The approximate daily number, and the maximum annual number, if any, of Congregate and/or
Home-Delivered Meals included in the Program shall be as set forth on the cover page of this Third
Amendment of Agreement.
3. Payment of Services:
The Total Cost of Agreement $319,732 is comprised as follows:
(a) $101,432 for calendar year 1998;
(b) $101,431 for calendar year 1999;
(c) $116,869 for calendar year 2000 with $15,438 in budget form to provide eligibility
determination for home-bound clients and $101,431 for fee-for-services;
4. Budget:
The Budget annexed hereto as Exhibit C-P, allocating $15,438 to provide eligibility determination
for home-bound clients is made part of the Agreement for the 2000 Extension Period.
5. Rate Page:
The rate at which the Contractor shall be paid for this Extension Period is set forth for calendar year
2000 in Exhibit C to the Agreement.

6. Equipment Specifications:
All computer equipment used for the Client Assessment Provider Data System(PDS)must meet the
New York State Office for the Aging Minimum Requirements, as set forth on page 62 of the NAPIS/PDS
Notebook(see attached).
7. Gratuities:
The Contractor represents and warrants that it has not offered or given any gratuity to any official,

securing an agreement or securing favorable treatment with respect to the awarding or amending of an
agreement or the making of any determinations with respect to the performance of an agreement, and that he
