THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2022-72 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
JANUARY 4, 2022:
RESOLVED that the Town Board of the Town of Southold hereby engages the professional
services of Mary C. Wilson, Esquire, to provide legal counsel to the Land Preservation
Department and authorizes the Supervisor to sign a 2022 Retainer Agreement.
Compensation shall be at a municipal rate of$245.00 per hour to prepare contracts for and to
provide legal services with regard to open space acquisitions, farmland protection acquisitions,
and to assist in other matters related to the Town's land preservation program. Additional
expenses subject to reimbursement shall include, but are not limited to, travel time,photocopies,
printing fees,telephone calls, telecopies, courier or messenger services, and postage. Invoices
submitted on a monthly or quarterly basis under the terms of this retainer agreement shall be a
legal charge to the 2022 Community Preservation Fund budget line CM.8660.2.500.100 (Legal
Counsel).

Re: 2022 Retainer Agreement
Dear Mary:
Enclosed you will find Resolution No. 2022-72 that was adopted by the
Southold Town Board on January 4, 2022, engaging your professional services as
legal counsel to the Land Preservation Department with regard to open space land
and farmland protection acquisitions as well as other matters relating to the Town's
land preservation program.
1 The Town Board has agreed to and accepted the terms of your 2022 Retainer
Agreement dated November 23, 2021, and Supervisor Scott A. Russell has executed
said agreement on behalf of the Town. I am pleased to provide herein your copy of
the fully executed 2022 Retainer Agreement with the Town of Southold.

RE: 2022 Retainer Agreement
Dear Supervisor Russell;
The letter shall confirm that I would be pleased to serve as special counsel to the Town
of Southold in certain matters related to the Town's land preservation program for the
year 2022. Upon the request of Melissa Spiro, Land Preservation Coordinator, I will
prepare and negotiate agreements for the purchase of fee interests or lesser interests in
real property, for open space and farmland preservation parcels as designated by the
Community Preservation Project Plan, attend closings, and perform legal research and
any other required professional legal services related to these duties. My work will focus
on the Open Space as well as the Farmland protection component of the Town's land
preservation efforts.
My professional time shall be billed at a municipal rate of$245.00 per hour. Other
additional expenses shall include travel time, telecopies, photocopying and printing fees.
Services shall be submitted in the proper voucher form and invoice, on a monthly or
quarterly basis, as required by the Comptroller's Office.
I
Any fte understanding to the contrary of the terms set forth in this letter shall be
ackn7ledged by me in writing.
Please confirm your agreement to this retainer by signing the enclosed copy and
returning same to me. I would like to thank you for this opportunity to work with you in
this capacity and to assist Southold Town in the preservation of its natural resources and
scenic beauty.
