Corieri, as Trustee of the Ann P. Corieri Revocable Living Trust with principal addresses 96 10th Street, Garden City, NY 11530 (hereinafter referred to as"Trustees"), and Linda Ferrari and Louis Ferrari with an address at 410 Park Avenue, Mattituck, NY 11952 (hereinafter referred to as"Ferrari"). WITNESSETH: WHEREAS, Trustees own certain vacant land situate at 625 Park Avenue, Mattituck, NY 11952, Suffolk County Tax Map No. 1000-123.00-01.00-006.000, more fully described in the deed annexed hereto as Exhibit "A" and made a part hereof("Trustees' Property"); and WHEREAS, Ferrari owns certain improved land situate at 410 Park Avenue, Mattituck, NY 11952, Suffolk County Tax Map No. 1000-123.00-07.00-009.001 more fully described in the deed annexed hereto as Exhibit "B" and made a part hereof("Ferrari Property"); and WHEREAS, Trustees own certain improved land situate at 412 Park Avenue, Mattituck, NY 11952, Suffolk County Tax Map No. 1000-123.00-07.00-009.002 more fully described in the deed annexed hereto as Exhibit"C" and made a part hereof("Corieri Property"); and WHEREAS, in accordance with a Deed dated April 151, 2004 and recorded on June 151h, 2004 in Liber 12324 at Page 963 (attached hereto as Exhibit"A"), Trustees' property is currently benefitted by a Right of Way over the Ferrari and Corieri Properties for access to the Great Peconic Bay as described in a survey of Van Tuyl & Son dated August 81h, 1968 (the "Trustees' Right of Way"); and WHEREAS, Trustees and Ferrari agree to execute the within Right of Way Termination Agreement in order to evidence the termination of the Trustees' Right of Way and any and all easements or rights-of-way that may exist burdening the Ferrari and/or Corieri Properties for the benefit of the Trustees' Property. WHEREAS, the Ferrari Property and the Corieri Property are currently benefitting from reciprocal Rights of Way that burden their respective properties as more fully described in a deed dated June 25', 1985 and recorded July 8, 1985 in Liber 9824 Page 255 in the office of the Suffolk County Clerk("Ferrari/Corieri Right of Way"). NOW THEREFORE, in consideration of the mutual promises and undertakings contained in this Agreement, the parties agree as follows: 1. Trustees hereby terminate, release and relinquish the Trustee's Right of Way and any and all easements or rights-of-way that may exist that burden the Ferrari Property and the Corieri Property for the benefit of the Trustees' Property. 2. This Agreement is not intended to alter, diminish, or extinguish the Ferrari/Corieri Rights of Way as described above, which Rights of Way shall remain in perpetuity. 3. This Right of Way Termination Agreement shall be recorded on the real property records pertaining to the Trustees' Property, Ferrari Property, and the Corieri Property and each party agrees to execute any further documentation as may be required to record this Agreement with the Suffolk County Clerk. 4. This Right of Way Termination Agreement shall run with the land and shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, representatives, transferees; successors or assigns. 5.
