Horton to execute an Agreement between the Town of Southold and the Suffolk County Marine Environmental Learning Center (Cornel1 Cooperative Extension) for the Implementation of the Town of Southold 2003 Shellfish Program at Cedar Beach, Southold, subject to the approval of the Town Attorney. McMahon CONTRACT FOR SERVICES THIS AGREEMENT, entered into this 1st day of January 2003, between the Town of Southold, with offices at 53095 Main Road, Southold, NY 11971, hereinafter called the "Town" and Cornell Cooperative Extension of Suffolk County, with offices at 423 Griffing Avenue, Riverhead, NY 11901, hereinafter call the "Consultant" WITNESSETH WHEREAS, the Town of Southold desires to engage the consultant to render certain professional services hereinafter described in connection with an undertaking. NOW, therefore, the parties hereto mutually agree as follows: 1. Employment of Consultant - The Town hereby agrees to engage the Consultant and the Consultant hereby agrees to perform the services hereinafter set forth. 2. ,%0? of Work - The Consultant shall perform and carry out, on a satisfactory and proper manner the services described in Exhibit A: attached hereto and made part of the contract. 3. Per.~onnel: A. The Consultant represents that all personnel engaged in the work shall be fully quaHfi~ed by reason of training and experience to perform such services set forth herein. B. None of the work or services covered by this contract shall be subcontracted without the prior written approval of the Town. 4. Time of Performance - The services of the Consultant are to commence upon execution of this contract and shall end on December 31, 2003 or at the completion of the tasks outline in Exhibit A. 5. Compensation ~ The Town agrees to pay the Consultant the total sum not to exceed $18,000. 6. Method of payment - Payment shall be made in accordance with the billing schedule and upon receipt by the Town of a properly completed voucher form supplied by the Town. It is expressly understood and agreed that in no event will the total compensation and reimbursement be paid hereunder exceed the maximum sum of $18,000. for all of the services required. 7. Monthly Reporta and Activity Report~ - Monthly activity reports should be submitted along with monthly vouchers for reimbursement of approved expenditures. 8. Additinnal Right~ and Remedies - This contract shall be governed by, subject to, and construed according to the laws of the State of New York. EXHIBIT A 2003 Southold Town Shellfish Budget and Program Description Contractual Expense: Suffolk County Marine Environmental Learning Center - Staff and Equipment $18,000. The above represents the contractual expenses for the operation of the hatchery and grow- out facilities for the Town of Southold's 2003 Shellfish Program(s). The Suffolk County Marine Environmental Learning Center will spawn hard clams, oysters and scallops in the quantities recommended bY the Southold Town Shellfish AdvisOry Committee. The Suffolk County Marine Environmental Learning Center will deliver to the Town of SoUthold the following: . 2 milliOn hard clams 5mm to 17mm in Size 250,000 oysters 15mm to 20mm in size The above represents the minimum size and quantities of shellfish to be delivered to the Town of SoUthold. Scallops and soft clams will be spawned and grown out at the h:!!tchery and planted in areas recommended by the Southold Shellfish AdVisory Committee at no cost to the Town of SoUthOld, IN WITNESS WHEREOF, the parties hereto have executed this contract as of the date hereinabove set forth.
