Box 1179 Southold, New York 11971 Fax (631) 765-6145 Telephone (631) 765-1800 southo]dtown.northfork.net OFFICE OF THE TOWN CLERK TOWN OF SOUTHOLD THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 171 OF 2003 WAS ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON MARCH tl, 2003: RESOLVED that the Town Board of the Town of Southold hereby en~oages the professional services of the Peconic Land Trust to perform Conservation Planning, Acquisition, and Professional Services related to the Town's land preservation efforts, and authorizes the Supervisor to sign the agreement between the Peconic Land Trust and the Town of Southold, subject to review of the contract language by the Town Attorney. Compensation shall not exceed $50,000, and the contract term shall be from January 1, 2003 - December 31, 2003. Elizabeth A. Hutton, Esquire Specialist in Conservation Tax Law Wilham Ginsberg, Esquire Specialist in Conservation Easement Law Susan Quinn Tuttrs, Esquire Specialist in Real Estate Law $ 335 / hour 250 / hour 165 / hour The Peconic Land Trust reserves the right to adjust its rate schedule with 30 days notice. \\PEC_PI)C~HAILED\PLANNING\¢roposal$\propo~I~ 2003k2003 Hourly Palm of P¢conlc Land Trust. d~c Town Copy CONTRACT FOR SERVICES THIS AGREEMENT, entered into this 1st day of January 2003, between the Town of Southold, with offices at 53095 Main Road, Southold, NY 11971, hereinafter called the "Town" and the Peconic Land Trust, with offices at 296 Hampton Road, Southampton, NY 11969, hereinafter call the "Consultant" WITNESSETH WHEREAS, the Town of Southold desires to engage the consultant to render certain professional services hereinafter described in connection with an undertaking. NOW, therefore, the parties hereto mutually agree as follows: 1. ~mpIoyment of Con~nltant - The Town hereby agrees to engage the Consultant and the Consultant hereby agrees to perform the services hereinafter set forth. 2. Scope of Work - The Consultant shall perform and carry out, on a satisfactory and proper manner the services described in Exhibit A: attached hereto and made part of the contract. 3. Personnel: A. The Consultant represents that all personnel engaged in the work shall be fully qualified by reason of training and experience to perform such services set forth herein. B. None of the work or services covered by this contract shall be subcontracted without the prior written approval of the Town. 4. Time of Performance - The services of the Consultant are to commence upon execution of this contract and shall end on December 31, 2003 or at the completion of the tasks outline in Exhibit A. 5. Compensation - The Town agrees to pay the Consultant the total sum not to exceed $35,000. 6. Method of payment - Payment shall be made in accordance with the billing schedule and upon receipt by the Town of a properly completed voucher form supplied by the Town. It is expressly understood and agreed that in no event will the total compensation and reimbursement be paid hereunder exceed the maximum sum of $35,000. for all of the services required. 7. Monthly Reports and Activity Reports - Monthly activity reports should be submitted along with monthly vouchers for reimbursement of approved expenditures. 8.
