EASEMENT AGREEMENT
THIS INDENTURE made this(0 rday of L 2021, by and between the Blair
Hudson Peconic Ventures Living Trust wth'a principal'address at 4660 Vanston Road,
Cutchogue, NY 11935 (hereinafter referred to as "Grantor"), and the Blair Hudson Living Trust►
with a principal address at 4560 Vanston Road. Cutchogue, NY 11.935 (hereinafter referred to as

WHEREAS, Grantor owns certain partially improved lands situate at 4660 Vanston
�O D Road, Cutchogue,NY 11935, Suffolk County Tax Map No. 1000-111.00-10.00-015.000, more
fully described in the deed annexed hereto as Exhibit"A" and made a part hereof("Grantor's
Property"); and
WHEREAS, Grantee owns certain improved lands situate at 4560 Vanston Road,

l! described in the deed annexed hereto as Exhibit "B" and made a part hereof(Grantee's
Property"); and
WHEREAS, there currently exists on Grantor's property certain improvements that
benefit Grantee's property including stone walls, a stone patio, stair wells, ornamental plantings
and trees, landscaping, and a portion of Grantee's driveway ("The Improvements").
WHEREAS, Grantee is desirous of an Exclusive Easement over a 15,969 square foot
portion of Grantor's property depicted as Easement Area on the Survey of Grantor's and
Grantee's properties prepared by Kenneth M. Woychuk Land Surveying, PLLC, on November
30, 2020, a copy of which is attached hereto as Exhibit"C" to allow the Improvements
benefitting Grantee's property to remain in perpetuity. The metes and bounds description of the
Easement Area are more fully described in Exhibit"D" annexed hereto ("Easement Area"); and
WHEREAS, Grantor, for good and valuable consideration, is desirous of conveying an
Exclusive Easement in Gross to Grantee over the Easement Area so that Grantee can have
exclusive, undisturbed access to and use of the improvements on Grantee's property that lie
within the Easement Area.
WITNESSETH:
1. Grantor does hereby grant, transfer, bargain, sell and convey unto Grantee, in
perpetuity, an Exclusive Easement in gross, on, over and under the Easement Area on Grantor's
property depicted on Exhibit "C" annexed hereto and more fully described in Exhibit "D"
annexed hereto.
2. The nature, character and extent of the Easement hereby granted is as follows:
A. Grantee shall have the exclusive right to use, traverse, access, improve and
maintain said Easement Area comprised of 15,969 square-feet along the northern end of
Grantor's property and Grantor, its heirs, successors and assigns hereby waive any right to use,
traverse, access, improve or maintain the Easement Area without the express permission of
Grantee.
B. The location of the Easement Area described in Schedule "D" shall not be
changed without the consent of both parties and their respective representatives.
C. Any and all costs associated with the use of said Easement shall be borne
solely by the Grantee, and furthermore, the Grantee, in conjunction with use of the Easement by
the Grantee, agrees to provide the Grantor with proof of liability insurance provided for by the
Grantee, naming the Grantor, its heirs, successors and assigns as the case may be, as an
additional insured thereon as the Grantor's interests may appear. Grantor, its successors and/or
assigns, shall notify the Grantee by certified mail, return receipt requested, of a change in
ownership in order to facilitate changes in the endorsement.
D. Grantee also agrees to indemnify, save and hold Grantor harmless against
any and all claims for property damage and/or personal injury arising out of the use and
enjoyment of said Easement by the Grantees, their heirs, successors and assigns, invitees and
trespassers to the extent not covered by insurance.
3. This Agreement shall inure to the benefit of, and bind, the parties, their heirs,
successors, legal representatives and/or assigns, and shall run with the land in perpetuity.
IN WITNESS WHEREOF, the parties hereto have executed this Easement
Agreement on the day and year first above written.
