TERMINATION OF EASEMENT AGREEMENT
THIS TERMINATION OF EASEMENT AGREEMENT (the "Agreement") made and
entered into as of the 11 +!` day of �eLr-c-rl 2021, by and between NEW SUFFOLK
PROPERTIES L.L.C. ("New Suffolk"), havi g an office or place of business at 3350 West
Creek Avenue, Cutchogue, NY 11935 and 2905 WCREEK LLC, ("2905 WCreek"), having an
office or place of business at 60 S. Gillette Avenue, Bayport, NY 11705
WITNESSETH:
WHEREAS, by that certain deed dated July 2, 1986, recorded on July 23, 19$6 in the
Office of the Suffolk County Clerk in Liber 10083, Page 504 (the "Original_ Deed"), Francisco
Sciotto and Helen Sciotto (the "Sciottos"), predecessors in interest to New Suffolk conveyed a
certain property known as 2905 West Creek Avenue, Cutchogue, NY (the "Pro ert y");
WHEREAS, the Original Deed retained certain rights and an easement for the-benefit of
the adjoining property also then owned by the Sciottos (the "Easement");.
WHEREAS, the Easement was also recited in that certain deed dated January 29, 1990,
recorded on May 30, 1990 in the Office Suffolk County Clerk in Liber 11076, Page 95 V
WHEREAS, 2905 WCreek and New Suffolk agree that the purpose of the Easement no
longer exists and hereby agrees to terminate the Easement.
NOW, THEREFORE, in consideration of the mutual covenants herein contained and
the sum of One (S 1.00) Dollar and other good and valuable considerations, paid by each party
hereto to the other, the receipt and sufficiency of which are hereby mutually acknowledged, the
parties hereto hereby agree as follows:
1. Preamble. The foregoing provisions are incorporated herein by reference as
though set forth verbatim herein.
2. Cancellation and Termination of Easement. Effective as of the date hereof, the
Easement is hereby cancelled, terminated and extinguished and shall be of no further force and
effect.
3. Governing_Law. This Agreement shall be governed by the laws of the State of
New York.
4. Entire Agreement. This Agreement contains the entire understanding of the
parties with respect to the matters contained herein. No representations, warranties, covenants or
agreements have been made concerning or affecting the subject matter of this Agreement, except
as are expressly contained herein.
5. Modification. This Agreement may not be changed orally, but only by an
agreement in writing signed by the party against whom enforcement of any change is sought.

6. Successors and Assigns. The terms, covenants and conditions of this Agreement
shall bind and inure to the benefit of the parties hereto and their respective representatives,
successors and assigns.
7. Invalidity and Enforceability. A determination that any provision of this
Agreement is void, unenforceable or invalid shall not affect the enforceability or validity of any
other provision, and any determination that the application of any provision of this Agreement to
any person or to particular circumstances is illegal or unenforceable shall not affect
enforceability or validity of such provision as it may apply to other persons or circumstances.
The parties hereby acknowledge and agree that this Agreement is the result of negotiations
between the parties. This Agreement shall be construed without regard to any presumption or
other rule requiring construction against the party drafting or preparing this Agreement.
8, Counterparts. This Agreement may be executed in one or more counterparts,
each of which, when so executed and delivered, shall be deemed an original, but all of which
taken together shall constitute but one and the same instrument.
