premises herein granted unto the party of the second part,the heirs or successors and assigns of the party of
the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered anything
whereby the said premises have been encumbered in any way whatever,except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party of the
first part will receive the consideration for this conveyance and will hold the right to receive such consideration
as a trust fund to be applied first for the purpose of paying the cost of the improvement and will apply the same
first to the payment of the cost of the improvement before using any part of the total of the same for any other
purpose. The word "party" shall be construed as if it read"parties"when ever the sense of this indenture so
requires.
AND the parties of the second part,jointly and severally, hereby grant to the party of the first part, a right of
first refusal to purchase the above described premises upon the same terms and conditions as any bona fide
offer received from a third party, provided the party of the first part delivers to the parties of the second part,
within thirty(30)days of receiving a written contract containing terms of such bona fide offer from the parties of
the second part, a check in the amount of ten percent (10%) of the purchase price together with a signed
contract containing the terms of such bona fide offer.

ALL that certain plot, piece or parcel of land, situate, lying and being North of the Village of
Southold, in the Town of Southold County of Suffolk, and State of New York, as more
particularly described as follows:
BEGINNING at a stake on the southwesterly side of a certain 50 foot right of way, hereinafter
described, 1076.20 feet southeasterly along said southwesterly line from its intersection with the
southeasterly line of Soundview Avenue, being the southeasterly corner conveyed by Thomas
G. Byrnes and Gloria K. Byrnes to Muir&Arnold by deed dated October 4, 1950 and recorded
in the Office of the Clerk of the County of Suffolk in Liber 3142 page 464 now land of Muir
Brothers: and the northeasterly corner of premises herein described, from said point of
beginning;
RUNNING ALONG said southwesterly line of said 50 foot right of way, South 44 degrees 48
minutes 20 seconds East 359.73 feet to land of S.D. Mudd;
THENCE along said land of S.D. Mudd the following two courses and distances:
1) South 47 degrees 14 minutes 20 seconds West 174.38 feet to an iron pipe; 2) North 39
degrees 44 minutes 40 seconds West 359.84 feet to a stake and said land of Byrnes;
THENCE along said land of Byrnes, North 47 degrees 10 minutes 40 seconds East 142.61 feet
to the point or place of BEGINNING.
