SUPERVISOR RUSSELL: Please rise for the Pledge. Thank you. We actually have, before we
get to the regular business of the agenda, we actually have a couple of presentations that we
would like to make. One is actually a presentation that is going to be on behalf of the Historic
Preservation Commission and I see members Ted Webb, Mariella Ostroski, Fabiola Santana and
Joe McCarthy, the presentation is going to be from them to William Goggins who restored the,
as we all know, the Glenwood Hotel in Mattituck. I was in there recently, the restoration was
absolutely painstaking. It looks like the original, the building, I am sure, as it did when it was
first built. We also want to point out before I, Ted, I am going to have you and Mariella, Ted is
the outgoing chairperson and Mariella the incoming, so I don't know who wants to present, all
four of you can present. But as we are presenting this, I also want to point out something we
should all be aware of and that Bill is actually, this isn't the first house he has restored or the
first property he has restored, coming into the corridor of Mattituck, from Laurel into Mattituck,
he actually restored an old farmhouse up towards Laurel and also in his current headquarters, he
took a building that had been under invested in for years and actually invested in it and made it a

very attractive structure. So that is equally important to the landscape and to the character of the
community of Mattituck. So, Ted, Mariella, why don't you come up.
TED WEBB: This is an opportunity for the Historic Preservation Commission to say thank you
to a member of our Southold community who does exactly what we wish everybody else would
do and that is restore and maintain historic properties in this beautiful town we call Southold. So
you have done that,we want to take a moment to say thank you, so we have prepared this
proclamation and I would like to read it to you 'Whereas the Town Board of the Town of
Southold wishes to join with the Southold Town Historic Preservation Commission in
recognizing those in our community who have worked to preserve our historic landmarks and
whereas the old Glenwood Hotel in Mattituck is recognized as one of the earliest large
residences on the North Fork(going back to 18601 believe) and whereas the dwelling was built
and lived in by Samuel Warren Sneden and his family until the 1870's and whereas the building
was purchased by Jacob A. Brown and converted into a hotel and cafe in 1892 and whereas
Louis Dohm, a local plumber, purchased the hotel in 1919, renaming it the Glenwood Lodge and
whereas in 2000, after falling into disrepair for many years,the building was purchase by
attorney Bill Goggins, who meticulously restored the dwelling for its present use as a
professional building and whereas this is a prime example of how historic buildings can be
preserved and utilized in new ways, now therefore be it resolved that Mr. Goggins is being
honored for his diligence and respect for our history, in his successful effort to restore and
maintain this important structural example of our town's history.' On behalf of the Historic
Preservation Commission, thank you and congratulations sir.
MARIELLA OSTROSKI: Thank you sir.
BILL GOGGINS: Thank you. I appreciate it. I think the recognition should also go to this
Town Board and the prior Town Board's that supported historic restoration and if it wasn't for
them, the North Fork wouldn't be what the North Fork is, so I think recognition should go to this
Town Board.
SUPERVISOR RUSSELL: Thank you Bill.
MR. GOGGINS: Thank you, and I appreciate this. Thank you Mr. Supervisor.
SUPERVISOR RUSSELL: Okay, now we are going to have outgoing chairperson Ted Webb
come up, we are going to present a plaque to Ted. Why don't the other members come up.
Properties that are designated as historic structures in Southold Town are eligible for a plaque
with the town seal that signifies and recognizes the historic importance of the property and the
fact that it's a protected structure. Traditionally we give these plaques out to people who have
these properties that are not just part of the district but who absolutely are maintaining it to it's
original standard. The Rackett/Webb house in Orient, Village Lane built around 1845, which is
the home that Ted owns and maintains lovingly, I should say, we are going to present this to you
for all you do for that structure and on a personal note, I want to thank you for everything you
have done for the Landmarks Preservation Commission of this town, I hope people can
appreciate just how hard you all work.

TED WEBB: Thank you, Supervisor. I just want to add a couple of words if I may, I want to
thank you for being so supportive of the commission and of me personally during the two years
of my chairmanship. It comes to a halt on March 31, that's the last day of my service on the
commission. You have been there for us,you have given us guidance, you have given us support
and you have given us encouragement. We appreciate it. We thank you.
SUPERVISOR RUSSELL: We recognize your hard work, this last budget I had actually
budgeted I think a 10 % increase in your pay, we don't pay you anything, we don't pay you
anything, so the 10 %, I should have thought of that before I budgeted it. Anyway,
congratulations.
MR. WEBB: Thank you sir. I forgot one thing, Mr. Supervisor, I know all the member of the
Town Board aren't here tonight but would you share this little brochure we put together that tells
people how to get their houses listed?
SUPERVISOR RUSSELL: Absolutely.
MR. WEBB: Thank you.
SUPERVISOR RUSSELL: I am going to ask anybody that would like to address the Town
Board on any of the agenda items?
Karen Wallace
KAREN WALLACE: I am Karen Wallace, I live in Mattituck. I want to just raise some
concerns and I think it's on the agenda, regarding the accessory recreational use provision which
has been a topic of discussion in recent work sessions, am I on the right track here?
SUPERVISOR RUSSELL: Yes, you are. We actually are going to notice that tonight for a
public hearing in 30 days but yes, since it is on the agenda you can discuss it.
MS. WALLACE: Okay, great. I am just concerned that, I listen to your work sessions and I
listen very closely to Jim Dinizio's comments being he has 30 years on the ZBA. So his
expression of concern that this recreational use would create a blanket use in all of the zones and
as I read the code text that was not provided this morning but was provided in the backup to your
March 9th meeting, I would see a pathway to allowing what is happening in our neighborhood as
what I consider to be an impermissible use and I am not here to discuss the details of that but an
impermissible use on farmland would become a permitted use if it were structured correctly.
The way your statute is written, the way your code section is written. A use is accessory to a
community center or other not-for-profit use. That's a very vague statement to me. I don't know
what's going to be coming up as the town, you know, in your public notice but having spent
many years working with exempt organizations at Price-Waterhouse, not for profit use really
isn't an appropriate expression. The NFL is not for profit. The US Tennis Association is not for
profit. Chambers of commerce are not for profit. I think it is a very inappropriate use, the not

for profit use. And similarly, parcel with rec use must be owned by community center or similar
not for profit corporation. You're setting up a structure here such that this activity which is going
on in our vicinity could become permissible to the extent that a person creates a organization
which has exempt organization characteristics and creates some type of so-called lease, 10 year
lease, which is very vague in my understanding of what that means. So, I am very concerned
about this and I think others should be too because I don't think it's consistent with the
comprehensive plan that was worked on so hard by all of you folks and is a wonderful
representation of what the town's future should be but the comprehensive plan identifies the
recreational priorities as being stuff like an indoor swimming pool or hiking courts or bowling
alley and the stuff that you are identifying here is tennis courts, pickleball, playgrounds and the
like. I mean, it's way too broad and I gather that it's all in connection with some project on
Fishers Island that wants a picklball court, that sounds terrific. That sounds wonderful and it's
entirely appropriate but this statute as it is written is an invitation to allowing what is happening
next door to happen throughout various spots in this town and I think that is very inappropriate
and I don't understand the need for this and I am deeply concerned about it.
SUPERVISOR RUSSELL: Would anybody else like to address the Town Board on any of the
agenda items?
Meryl Kramer
MERYL KRAMER: Hi, this is Meryl Kramer, I just want some clarification. I am not sure
whether the item I thought was on the agenda tonight is, so I don't want to speak out of turn. I
thought that you were going to be addressing some town code changes with regard to the
Historic Preservation Commission and board members and how they can be, I guess, addressing
other boards in the town with regard to the ethics, ethics code of town, so I am not sure if that is
on your agenda tonight or not and I certainly don't want to waste your time talking about it i£..?
SUPERVISOR RUSSELL: It's on, it's going to be scheduled, we are setting for a public hearing,
it's resolution 2021-237, I think.
COUNCILWOMAN DOHERTY: It is a public hearing.
JUSTICE EVANS: It is a public hearing tonight.
SUPERVISOR RUSSELL: Okay, yes, Meryl, that's an excellent question, but if you look at the
changes, it actually changes the code from the exclusion from the code of ethics, in other words,
it specifically going to permit members of the Historic Preservation Commission that hold
professional licenses appearing on the behalf and or representing others before other town
boards, commissions, committees, departments provided that the subject matter of the
appearance or representation is not within the jurisdiction of the Historic Preservation
Commission. So it's basically allowing people that hold professional licenses to represent
people, clients and others before the other boards but it does still preclude a member from
representing a client before their own board which isn't permitted by state law.
MS. KRAMER: Right, so I understand that was changed and that is a positive step forward but I
think, I don't, it still precludes an acting licensed professional in the Town of Southold such as

myself who is interested in sitting on the board and has been approached by board members
asking to be involved in the commission that does work obviously that's valued by the town, I
cannot sit on the board because part of my practice is working on projects that are within the
Historic Preservation Commissions purview and I am wondering,just one thing and then I am
going to stop...
SUPERVISOR RUSSELL: I was just going to suggest that when we have the public hearing,
give us a few minutes to get the agenda out of the way, we will go to public hearing and then we
want to hear your comments so it's part of that record.
MS. KRAMER: Oh, okay, I am so sorry.
SUPERVISOR RUSSELL: I am sorry, I should have thought of that. I thought we were
noticing the hearing tonight, I didn't realize we were having the hearing tonight.

RESOLVED by the Town Board of the Town of Southold that the Highway Department Spring
Cleanup will start on Monday, April 19, 2021 in Orient Point. Our Highway crews will remove
only BRUSH and LEAVES and work in an Westerly direction until they reach Laurel. All
Leaves Must Be In Biodegradable Paper Bags,NO EXCEPTIONS. We can only pass through an
area once; be it fiirther
RESOLVED that the Town Board hereby authorizes the acceptance of residential brush free of
charge for four weeks, at the Southold Town Compost Facility in Cutchogue (leaves are always
accepted free). This four-week grace period is for those homeowners who wish to take their
brush directly to the Town's compost site themselves. The grace period will start Thursday,
April 1, 2021, and end Friday, April 30. 2021; be it further

RESOLVED that commercial landscaping and tree removal companies will no longer be
permitted to deposit any loads of branches or yard debris for removal in the Town's right-of-
way. It will be the homeowner's responsibility to make certain that their contractor(s) haul their
yard debris to the Cutchogue Compost Facility as anyone observed dumping in the Town right-
of-way will be fined for illegal dumping; and, be it further
RESOLVED that the Fishers Island Spring Clean-Up will also commence on Monday, April 19
2021.
RESOLVED that the normal tip fees for brush disposal at the Cutchogue Compost Facility shall
be waived for residential vehicles for the period April 1, 2021 through April 30, 2021; and that
tip fees for brush shall be reduced for commercial vehicles to $30/ton for the period from April
1, 2021through April 30, 2021; and be it further
RESOLVED that for the purposes of this resolution,residential vehicles shall be defined as any
vehicle with a resident disposal permit issued by the Town Clerk of the Town of Southold
carrying less than one ton of debris (including trailers), or for vehicles without a permit, any
vehicle with a less than one ton carrying capacity (including trailers); and that commercial
vehicles shall be defined as any vehicle with a commercial disposal permit issued by the Town
Clerk of the Town of Southold, or for vehicles without a permit, any vehicle with a carrying
capacity of one ton or greater; and be it further
RESOLVED that the tip fee waiver/reduction described herein shall not apply to stumps of any
type; and that it applies to the charge for the weight of the debris ONLY, and not to single entry
fees for vehicles without permits, which will still be charged as appropriate.

Oppose Section 575-B Real Property Tax Law
WHEREAS, the New York Real Property Tax Law- Section 487 -provides a 15-year real
property tax exemption for properties on which wind or solar energy projects are built, and
WHEREAS, the real property tax exemption is not mandatory under current law since Section
487 allows local governments to opt out of the exemption and tax wind or solar energy
projects based on their full assessed value, and
WHEREAS, if a town does not opt out of the current Section 487, it can require the wind or
solar project to enter into a Payment In Lieu of Taxes (PILOT) agreement, and
WHEREAS, under the current Section 487 provision,towns have the ability to negotiate a
PILOT with a developer or require that the project pay full taxation based on the assessed
value, and
WHEREAS, through the budget process,the State seeks to add Section 575-b to the Real
Property Tax Law, which will drastically change the way real property is assessed for wind
and solar energy systems (equal to or greater than 1 megawatt) by establishing a state wide
standardized approach for real property tax assessment for wind and solar energy projects,
and
WHEREAS,through the budget process, the State also seeks to mandate that the assessed value
for solar or wind energy projects will be determined by an income capitalization or discounted
cash flow approach that considers an appraisal model created by the New York State
Department of Taxation and Finance, and in consultation with the New York State Energy
Research and Development Authority, and
WHEREAS, through the budget process, the State-determined assessment will also include a
solar or wind energy discount rate that is set annually by the New York State Department of
Taxation and Finance, and
RESOLVED, the Town of Southold holds strongly to the right to home rule established in
Article 9 of the NY State Constitution, especially with regard to land use and real property
taxation, and be it further
RESOLVED,Governor Cuomo has introduced Section 575-b in this year's budget bill in order to
abolish the Town of Southold's ability to assess real property used for renewable energy
projects and effectively eliminate any local control currently provided by Section 487,and be it
further
RESOLVED, the Town of Southold is adamantly opposed to the addition of Section 575-b, to
the Real Property Tax Law in the 2022 budget, and be it further
RESOLVED, the Town of Southold calls upon Suffolk County and New York State
Southold Town Board Regular Meeting

officials to oppose Section 575-b of the Real Property Tax Law before it is enacted in the
budget process.

appoints Patrick Anderson, Fiona Faherty, Ryan Flatley and Kyle Krause to the position of

II. Chapter 280 of the Code of the Town of Southold is hereby amended to include the
underlined words and remove the struck through words as follows:
§ 280-4 Definitions.
LOT, CORNER
A lot situated at the junction of and abutting fronting on two or more ipAefseetifig streets
where the into-iaf angle of interseetion .does not o ee 13 5'. A lot abutting a curved street
shall be deemed a "corner lot" if the tangents to the curve at the points of intersection of the
side lot lines with the street lines intersect at an interior angle of less than 135°.

YARD, SIDE
An unoccupied ground area fully open to the sky between any pefPf line other than
street or rear-lot line and C1i11a, parallel thereto between the fT-e t and rear- , on
the same lot with a building or structure, extending from the rear line of the front yard to the
front line of the rear yard and situated between the side line of the main building or
structure and the adjacent side line of the lot. In the case of corner lots, as defined in this
chapter, lot lines opposite a secondary front lot line shall be deemed a side yard and shall
have a minimum width equal to the minimum sidearmed requirements of the zoning district
in which located.
§ 280-105 Height of fences,walls and berms.
Fences, walls or berms may be erected and maintained, subject to the following height
limitations:
A. When located in the front yard of residential zones, the same shall not exceed four feet in
height. When located in the front yard of nonresidential zones, the same shall not exceed
six feet in height.
B. When located in or along side and rear yards, the same shall not exceed 6 1/2 feet in height.
C. When located in or along a secondary front yard the same shall not exceed 6 1/2 feet in
height and shall be set back from the secondary front yard line no less than 10 feet.
DE. In residential and nonresidential zones, except properties/parcels engaged in bona fide
agricultural production, the installation of a deer exclusion fence may be permitted by
obtaining a building permit issued by the Building Inspector, subject to the following
criteria:
(1) When located in or along side and rear yards, the height of the deer exclusion
fence shall not exceed eight feet.
(2) When located in or along a secondary front yard the height of the deer fence shall
not exceed eight feet in height and shall be set back from the secondary front

line no less than 10 feet.
(2(3) Specifications for construction of deer exclusion fences:
(a) Fencing fabric: high-tensile, woven wire fence fabric with graduated
opening.
(b) Spacing between posts: 20 feet.
(4) Deer fencing is prohibited in or along the front yard or primar front ront yard of any
property.
§ 280-106 Corner lots.
A. On a eemer-lat, 4ont yar-ds afe required on both sty-eet frontages, and one yard other-thall

A-B. On all corner lots, berms, walls, fences and hedges or any other potential obstruction to
vision shall not exceed a height of 2 1/2 feet above the average street level within an
isosceles triangle having thirty-foot sides along each street to preserve sight lines for traffic.
§ 280-124 Nonconforming lots.
A. This section is intended to provide minimum standards for granting of a building permit for
the principal buildings of lots which are recognized by the Town under § 280-9, are
nonconforming and have not merged pursuant to § 280-10.
B. Such lot shall be required to meet the following:

H. Chapter 280 of the Code of the Town of Southold is hereby amended to include the
underlined words as follows:
§ 280-13 Use regulations.
In A-C, R-80, R-120, R-200 and R-400 Districts, no building or premises shall be used and no
building or part of a building shall be erected or altered which is arranged, intended or designed
to be used, in whole or in part, for any uses except the following:
C. Accessory uses, limited to the following uses and subject to the conditions listed in § 280-
15 herein:
(15) Recreational uses.
A. Permitted recreational uses include, but are not limited to, uses such as tennis
courts; pickleball courts; volleyball courts; paddleball courts; basketball courts;
shuffleboard courts; playgrounds; jogging; hiking; outdoor ice skating rinks; outdoor
skateboard/roller skate facilities; football, baseball, soccer playing fields, and the like.
provided the following criteria are met:

(1) the use is accessory to a community center or other not-for-profit use;
(2) the recreational use is located on, or within 200 feet of,the parcel with the
principle use;
(3) the use shall be for the use of theeg neral public;

owned by a community center or similar not-for-profit corporation, or subject
to a lease by the community center or not-for-profit corporation for a period of
not less than 10years;
(5) the recreational use shall be subject to special exception approval by the
Zoning Board of Appeals;
(6) the following activities are prohibited:
a. private events, leagues, private clubs, organization activities or other
uses which exclude participation by the general public
b. the charging of a fee for use of the facility
c. Retail sales, including the sale of food
d. Outdoor lighting
(7) the following shall be permitted as part of the recreational use:
a. benches
b. viewing stands;
c. Kiosks
III. SEVERABILITY

employee listed in § 11 of the Domestic Relations Law for the solemnization of a

F. Receipt of Town services or benefits or use of Town facilities that are generally
available on the same terms and conditions to residents or a class of residents in the

§ 26-2 Definitions.
Unless otherwise stated or unless the context otherwise requires, when used in this chapter the
terms herein shall have the meanings indicated:

CONTRACT - As defined in Article 18 of General Municipal Law, any claim account or
demand against or agreement with the Town, express or implied.
CONSULTANT -Any individual, association, partnership or corporation or any employee or
agent thereof who has been retained to assist any board or agency in the discharge of its duties.
"Consultant" shall also include any business partner, employer or members of the consultant's
firm or compan .
POLITICAL ACTIVITIES -Any activities related toap rtisan politics, including but not
limited to; recruiting, solicitation for fundraising, purchasing fundraiser tickets circulating and
signing designating petitions, and distributing campaign literature and products invoking
political reprisals, and any action that uses political influence to affect the duties and
responsibilities of any officer or employee of the Town.
POLITICAL PARTY COMMITTEE - An T} corporation or committee which operates to aid or
promote the success or defeat of a political party and/or the election or defeat of any candidate
within the Town of Southold.
RELATIVE -A spouse, former spouse, domestic partner, child, stepchild, son or daughter-mn
law, brother, sister,parent, brother or sister-in-law, parent-in-law, niece or nephew, or parent of
the Town officer or employee or a person claimed as a dependent on the Town officer's or
employee's latest individual state income tax return.
SUPERVISOR OF A TOWN OFFICER OR EMPLOYEE -Any other Town officer or
employee who has direction or control, either directly or indirectly, over the activities of that
Town officer or employ
Article II
Rules of Conduct
§ 26-5 General prohibition.
A. A Town officer or employee shall not use his or her official position or office, or take or fail
to take any action, in a manner which he or she knows or has reason to know may result in
compensation for any of the following persons:
fDA. The Town officer or employee.
Q& His or her outside employer or business or that of a member of his or her
household.
ME. A member of his or her household.
f4)D. A customer or client.
fQE. A relative.
B. Consultants.
(1) Except as provided in Subsection B(2), (3) and (4) below, to avoid potential
conflicts of interest, a Town consultant shall not appear on behalf of any other
client before the Town or any gency thereof during the period of service to the
Town by the consultant. The Town shall specify the restriction in any written
contracts entered into between the Town and consultants. However, failure of the
contract to state the restriction shall not affect the enforcement of this section of
the Town's Ethics Code.
(2) The restrictions contained in this chapter shall not apply to consultants which:
(a) Operate a business located within the Town and have been retained by the
Town to perform a contract valued at $25,000 or less; or

(b) Have a written contract with the Town in which the Town Board has
expressly authorized an exemption for the consultant from the provisions of
the Town's Ethics Code; or
(c) Have received a special waiver from the Town's Ethics Board pursuant to
Subsection 13(4) of this section.
(3) Nothing in this subsection shall be construed to prohibit a consultant from:
(a) Appearing on his own behalf, or on behalf of the Town, before a Town
agency.
(b) Seeking or obtaining a ministerial act from an administrative officer; or
(c) Receiving a Town service or benefit, or using a Town facility, on the same
terms on which such service, benefit or facility is available to the public.
(4) Special waiver. A consultant may make appearances before Town agencies
otherwise prohibited by this section, upon written approval of the Ethics Board and
the consent of the involved Town agencies. The Ethics Board shall consider such
approval on a case-by-case basis taking into account for such findings the
following criteria:
(a) The general expertise of the consultant.
(b) The expertise of the consultant vis a vis the particular matter.
(c) The extent of the consultant's involvement both for the Town and for the
private client(s).
(d) The extent of the fees, past or future, to be paid to the consultant by the
Town.
(e) The impact such appearances may have on the public trust.
(f) The statement of necessity from the involved Town agency.
(g) Such findings shall be detailed in writing by the Ethics Board and filed with
the office of the Town Clerk.
§ 26-12 Political SolEieitation Activities Prohibited.
A Town offieer-er- empleyee shall not laiewingly request, or-knewingly authefize anyone else
request, any subofdinate of the offleer-or- empleyee to paftieipate in any eleetion
A. No person shall engage in any political activities on any Town premises at any time. Such
prohibited activities include but are not limited to the following_
(1) Sales or purchases of tickets to political events.
(2) Discussion of tickets to political events.
(3) Solicitation to join a political party or activity--
(4)

BE IT ENACTED by the Town Board of the Town of Southold as follows:
I. Purpose.
The purpose of this local law is to increase the levels of participation on the Historic Preservation
Commission.
II. Chapter 26 of the Code of the Town of Southold is hereby amended to include the underlined
words and remove the struck through words as follows:
§ 26-16 Exclusion from Code of Ethics.
The provisions of Article II shall not prohibit or require recusal as a result of the following:
A. An action specifically authorized by statute,rule or regulation of the Town of Southold,the State of
New York or of the United States.
B. A ministerial act.
C. Gifts:
(1) Received by the Town officer or employee from his or her parent,
spouse or child.
(2) Having an aggregate value of$500 or less during any twelve-month period.
(3) Accepted on behalf of the Town and transferred to the Town.
D. Gifts or benefits having a value of$100 or less that are received by a Town officer or employee
listed in § 11 of the Domestic Relations Law for the solemnization of a marriage by that officer or
employee at a place other than his or her normal place of business or at a time other than his or her
normal hours of business.
E. Awards from charitable organizations.
F. Receipt of Town services or benefits or use of Town facilities that are generally available on the
same terms and conditions to residents or a class of residents in the Town.
G. Representation of constituents by elected officials without compensation in matters of public
advocacy.
H. Members of the Historic Preservation Commission, that hold professional licenses, appearing on
behalf of and/or representing others before Town boards, commissions, committees or departments
provided that the subject matter of the appearance or representation is not also within the jurisdiction

I have notification that this was advertised in the Suffolk Times and was posted on the town
website and the Town Clerk's bulletin board and that is it.
SUPERVISOR RUSSELL: Would anyone like to address the Town Board on this local law?
MERYL KRAMER: I just want to make sure I am speaking at the right time now, which I think
I am. Now that we are in the public hearing, I should state my concerns again.
SUPERVISOR RUSSELL: Yes, it,both will be part of the public record but for the purpose of
the public hearing, you should reiterate what you had said earlier.
MS. KRAMER: Okay, so I will try to be brief. My, I think that the recommendations for the
revisions in the code are very helpful and definitely a great step forward, my concern is that it
doesn't necessarily go far enough, I understand that you cannot vote on an application before a
board that one sits on but I am wondering if there is another way to do something to allow a
practicing member of architecture or a professional that would present to the board to also sit on
that board, with regard to Historic Preservation Commission, architects are very helpful, I think,
to a board like that and not being able to have anybody who is a working, active professional
who is actually working and living in the community is a problem and I am wondering if you
could have something like a recusal rather than not being able to have any, I am not sure how I
am trying to say this, I sat on a board in Greenport for 11 years on the Historic Preservation
Commission with another architect and we were able to receive and give criticism in a
professional way without being biased because one another were on the commission. We were
able to maintain ethics because we have an ethics code that we have to obey as a licensed
architect in the State of New York. And so, and other, I think by having this, having the code
written the way it is proposed and not allowing someone to participate and be an asset to the
commission is problematic.
COUNCILWOMAN DOHERTY: So Meryl, I am not sure, let me just clarify, the way we have
the code written, the intent is someone like you would be able to be on the board but you
wouldn't be able to be a consultant in front of the board for somebody with a historic house. But
you would be able to be a consultant for any other project in the town, going before any other
board.
MS. KRAMER: Right. So I did speak with the Town Attorney just to clarify that and that I
think is wonderful however, I also have projects are historic properties, mostly in Orient village

for example. I was told that if I sat on the board I would either have to resign or remove those
clients from my possible repertoire. And you know, I enjoy working on those projects, I find
them very gratifying. I like to be able to participate in the process of preserving old structures
and having them used for, you know, for people in todays world and without that aspect of my
business, I think it would be,you know, I would be unfortunate not to be able to be involved in
projects like that, so therefore that means I can't be on the commission. Inaudible.
SUPERVISOR RUSSELL: I understand your concerns and it is very difficult to get people,
frankly with the qualifications you have, to serve on the Historic Preservation Commission,the
problem is the town took the ethics code as far as it could but we are specifically prohibited from
the town law of the State of New York, from allowing board members to represent clients before
their own boards, recusal not withstanding. They are specifically prohibited by town law under
the State of New York and under our ethics code, can't contravene New York State law.
MS. KRAMER: And also can't obviously hire a consultant to present because that would be,
you know, if you have a financial interest in a project you can't be on....
SUPERVISOR RUSSELL: You are specifically prohibited from representing.
MS. KRAMER: So I just wanted to kind of officially say because I did have a dialogue with the
current commissioners about this because we have gone through this now twice and I do think
that you know, this goes a huge direction forward because before this revision I wouldn't have
been able to present to Zoning Board or Trustees or Planning, so now at least that option is
certainly there and perhaps will open up the commission to other professionals who maybe don't
have historic projects but I do have intimate knowledge of historic projects and the challenges
that they present. This is very particular to me, personally, but I am sure there are other
practicing architects that this could effect. I can't imagine how it wouldn't. So you are basically
seeking out, if you want an architect on your commission who has the professional expertise and
experience, you have to have someone who is either retired or doesn't have any historic projects
in the Town of Southold I guess.
SUPERVISOR RUSSELL: Any project that would be subject to the review of the Historic
Preservation Commission. Landmark properties both in the district and individual. But again,
we can't waive that, that is New York State town law. Board members are prohibited from
representing people before the very board they sit on. It is by state law. We can't change that.
COUNCILWOMAN NAPPA: Can I get a clarification because I think I am a little, not sure if
we are talking about the same thing. Like this particular person, Ms. Kramer, she has projects
that are, you know, past projects not current projects that are in front of the HPC, she could still
sit on the HPC as the architect consultant, is that correct?
SUPERVISOR RUSSELL: If you have any applications pending before the HPC, then no, she
couldn't serve on that commission until those projects are resolved.

COUNCILWOMAN NAPPA: I guess, maybe she can clarify, so it sounds like maybe past
projects are influencing this, but that's not correct?
MS. KRAMER: Oh, no. I don't think so.
COUNCILWOMAN NAPPA: Okay, so you are just talking about current projects that you have
that would require HPC overview?
COUNCILWOMAN DOHERTY: She is talking about current and future.
MS. KRAMER: Yes,this is a chunk of my business that I don't want to turn away from, I think
it gives me both professional satisfaction and a well-rounded business. I also think the other
thing, Scott, that you mentioned was projects that are landmarks, or within the landmark district,
I have got a couple of projects that are actually designated on the town's list but that aren't
subject to Historic Preservation Commission review. Do you have any idea whether those would
also qualify?
SUPERVISOR RUSSELL: If they are listed in the town code, then they are presumed to be part
of the Historic Preservation Commissions authority. Otherwise they wouldn't...
MS. KRAMER: I thought so too, I thought so too but apparently that's not the case, Mike Verity
verified this for me.
SUPERVISOR RUSSELL: They are projects that are not subject to review by the Historic
Preservation Commission?
MS. KRAMER: Yes, even though they have a little landmark sheet with a photograph and
everything.
SUPERVISOR RUSSELL: Are you talking about the SPLIA file?
MS. KRAMER: Maybe it's the SPLIA file but it said Town of Southold inventory.
SUPERVISOR RUSSELL: Yes, that's what is called the SPLIA file, the Long Island, Society
for the Preservation of Long Island Antiquities, did a survey back in the 1980's, there is about
1200-1500 properties on there, many of them, if not most are actually not under the jurisdiction
of the HPC.
MS. KRAMER: Okay. Then those...
SUPERVISOR RUSSELL: They are fair game.
MS. KRAMER: That helps. Okay, so we'll see how things go but for the present, I personally
won't be able to participate and you know, I just told the commission that of course, I regretted
that but that I wouldn't be able to participate but I would at least speak to the Board and express

my sentiments but I completely understand how you are bound by the State of New York laws,
you can't change that. Thank you for hearing me.
SUPERVISOR RUSSELL: Thank you. Would anyone else like to comment on this public
hearing?
TOM STEPHENSON: Hello, alright, just a question, did I miss just the general...or is there
still....
COUNCILWOMAN DOHERTY: We are in the middle of a public on Board of Ethics....
MR. STEPHENSON: Yeah.
SUPERVISOR RUSSELL: We are still in the public hearing for the amendment for the Board
of Ethics to allow for someone with a professional license to serve on the Historic Preservation
Commission.
MR. STEPHENSON: Yeah, I have comments on that and I have comments that aren't related to
that.
SUPERVISOR RUSSELL: We will take the comments now on the proposed legislation then
once we close the hearing and we get into the open mic portion, then we will take your other
comments.
MR. STEPHENSON: Got it. Thank you. I just want to not mess up your meeting here. Here
are my comments, I am in favor of tightening ethics codes, in these ethically challenged times,
not loosening them. As was mentioned at last months board meeting, I think changing the code
for potentially one person in this town is dangerous territory. Historic Preservation only required
one licensed architect, the rest of the people just have to have a deep interest in historic
preservation, so possibly you can train people that have that interest and you could avoid that
conflict in that way because they are not going to be representing clients in front of the HPC or
in any other board in the town. Is it legal in New York to make this exception, another one, I just
want to read you 26-3 which is the goal of the ethics code, "town officials and employees must
exercise their official duties solely in the public interest and must avoid conflicts of interest or
the appearance of conflicts of interest to the greatest extent possible" that's the goal. Obviously
as it was mentioned, simply recusal would not accomplish the goal of avoiding the conflict, we
already have that but also commission meetings are public and input can be taken from the
public without being on the commission. Maybe that's another way to get opinions about a
project from people not on the commission. I don't know. There's got to be another solution
besides changing the ethics code. Hiring outside consultants that don't do work in this town, I
know it would cost some money maybe you could do a trade, you look at our projects with your
trained people and we'll look at yours and then we avoid that conflict. That's what I got. Thank

SUPERVISOR RUSSELL: Thank you. Would anyone else like to address the Town Board on
this public hearing?
MARIELLA OSTROSKI: My name is Mariella Ostroski, I am on the Historic Preservation
Commission. And in the process of putting a person through the growth of getting their permit,
we have to follow a certain protocol. Historics is our vision and our mission, so in order to
follow that vision and mission, we need to have professionals who have a passion for the subject
of historic preservation. When they have that passion, they can find alternatives to things that
will help a client. Inaudible. But the point is, we really are there to serve, we really are there to
find the best and most economical way for them to be successful and also fit in with what is the
historic district. So how do we respectfully do that if you don't have continuity of service? You
can't get any business or any organization the continuity that you offer, that becomes the
standard procedure, is the fairest way for a person to get their result. So we have tried to set that,
every month we come a little closer to what could that standard could be. We have standard
questions now that we make part of the application process, not that they have to answer each
and every one but they have to know (inaudible) that is going to lead us to the conclusion that
they need, that is within the realm of what is appropriate for their particular house. And the first
question is, how old is your house? When was it built and there are many people that come that
don't even have that answer. So then what do we do? If they don't have that answer and their
architect doesn't have that answer, we have a site visit. And who do we take on that site visit?
The architect. Why? Because they are the people with the know how. Now if you wanted to
change what was the makeup or the model of your commission, you could do that, and you could
hire people but at some point you have to have your commission be the commission and they
have to function fairly and appropriately with a common standard and so that's what the
architects bring. There's a likelihood that the guy from another state is going to take this as a
passion for developing or maintaining, I don't know. But if we can find someone who has the
passion, like the person who is presently on and she's been on there forever and she would like to
have some associate who has the same kind of passion, so that they are sharing the job. So that
is what we are looking for. It isn't a matter of controlling people, it is helping facilitate their
success. We call it (inaudible) in the historic district. I hope I am giving people a sense of how
we do respect the people in the historic district, how we want them to be successful. And the
most exciting thing is when someone comes back and says, you know the end result is I am
happier with my plan than I ever was. How you helped me and my architect come to (inaudible).
That's exciting and it does happen sometimes. That's all I have.
SUPERVISOR RUSSELL: Just a clarification for everybody,the reason this law, we did change
the law, it's actually, there was some difficulty on the part of the Town Board to decide whether
we were going to amend the ethics code to allow for this but the circumstances are so unique
here, we felt like we didn't have any other choice because we needed to make sure that there was
at least a professional architect on that commission as a voting member. We can do the let's hire
a consultant approach, the problem is that consultant would be in the same boat. They wouldn't
be able to represent their clients before any of the other boards because again, they would be paid
by the town. You can't be a client of the town and a client of a private representative. So, that
probably wouldn't work either. So we felt like we had to make the change to accommodate for
that professional insight and experience and at the same time, New York State law, I think I sent

all of you the statute that spells out that specifically you would be prohibited by New York State.
We can't undo that. The Villages or others that are acting in that manner, I can't speak to their
governance, all I can say is New York State wouldn't allow it in any circumstance. There's no
exceptions to that. Any other comments on this particular local law?
MERYL KRAMER: Thank you. I just wanted to clarify one thing, I want to make sure that it is
perfectly clear that I don't believe or mean to suggest that this proposed law had any direct
correlation to me or my participation in the commission. I believe that this was a Town Board
and commission issue because they couldn't get any local architects or any architects who were
practicing in the Town of Southold or had projects in the Town of Southold to participate in the
commission. I don't, and the person who and I don't recall his name, who had some really
interesting ideas and some valid comments suggested that this was a code change for one person
and I just wanted to make clear that I hadn't even been in touch with the commission about this
until I saw, until we, this suggestion of a town code change was made. So it's not as is I have
this lifelong burning desire to be on the Historic Preservation Commission and pushed for town
code change, that's not the situation. So, I would like to be but I am satisfied with the New York
State law and I never would suggest that the code be changed for my personal benefit or,
anyway, I just wanted to clarify that.
SUPERVISOR RUSSELL: Absolutely, Meryl knows how to get a hold of me and she had never
contacted me to discuss this, this is more of a general need for a group that does need not just the
passion for historic preservation but frankly for the insight, and architects and engineers bring
that insight. Any other comments?
TOM STEPHENSON: I just wanted to clarify, the only reason I said it was for one person is the
HPC only requires one architect , I was not referring to Meryl.
SUPERVISOR RUSSELL: Okay.
MR. STEPHENSON: I wasn't suggesting anything untoward, anything like that.

MR. STEPHENSON: I am sorry if that's what that came across as but I was just saying the
makeup of the HPC doesn't need to be all architects. It needs to be one trained architect in the
field, one person in a historic district and the rest of the other 5, 6, 7 people on the commission
would have to have a deep interest in historic preservation, if I am reading the code right.

Unless otherwise stated or unless the context otherwise requires, when used in this chapter the
terms herein shall have the meanings indicated:
CONTRACT -As defined in Article 18 of General Municipal Law, any claim, account or
demand against or agreement with the Town, express or implied.
CONSULTANT -Any individual, association, partnership or corporation or any employee or
agent thereof who has been retained to assist any board or agency in the discharge of its duties.
"Consultant" shall also include any business partner, employer or members of the consultant's
firm or company.
POLITICAL ACTIVITIES -Any activities related to partisan politics, including but not
limited to; recruiting, solicitation for fundraising. purchasing fundraiser tickets, circulating and

signing designating petitions and distributing campaign literature and products, invoking
political reprisals and any action that uses political influence to affect the duties and
responsibilities of any officer or employee of the Town.

promote the success or defeat of a political party and/or the election or defeat of any candidate,
within the Town of Southold.
RELATIVE - A spouse, former spouse, domestic partner, child, stepchild, son or daughter-in-
law, brother, sister, parent, brother or sister-in-law, parent-in-law, niece or nephew, or parent of
the Town officer or employee or a person claimed as a dependent on the Town officer's or
employee's latest individual state income tax return.
SUPERVISOR OF A TOWN OFFICER OR EMPLOYEE - Any other Town officer or
employee who has direction or control, either directly or indirectly, over the activities of that
Town officer or employee.
Article II
Rules of Conduct
§ 26-5 General prohibition.
A. A Town officer or employee shall not use his or her official position or office, or take or fail
to take any action, in a manner which he or she knows or has reason to know may result in
compensation for any of the following persons:
fDA. The Town officer or employee.
QB. His or her outside employer or
business or that of a member of his or her
household.
3 E. A member of his or her household.
L4)D. A customer or client.
(5)E. A relative.
B. Consultants.
(1) Except as provided in Subsection B(2), (3) and (4) below, to avoid potential conflicts
of interest, a Town consultant shall not appear on behalf of any other client before the Town
or any agency thereof during the period of service to the Town by the consultant. The
Town shall specify the restriction in any written contracts entered into between the
Town and consultants. However, failure of the contract to state the restriction shall not
affect the enforcement of this section of the Town's Ethics Code.
(2) The restrictions contained in this chapter shall not apply to consultants which:
(a) Operate a business located within the Town and have been retained by the Town to
perform a contract valued at $25,000 or less;

or
(b) Have a written contract with the Town in which the Town Board has expressly
authorized an exemption for the consultant from the provisions of the Town's Ethics
Code; or
(c) Have received a special waiver from the Town's Ethics Board pursuant to
Subsection B(4) of this section.
(3) Nothing in this subsection shall be construed to prohibit a consultant from:
(a) Appearing on his own behalf, or on behalf of the Town before a Town agency_
(b)Seeking or obtaining a ministerial act from an administrative officer; or
(c) Receiving a Town service or benefit, or using a Town facility, on the same terms on
which such service, benefit or facility is available to theup blic.
(4) Special waiver. A consultant may make appearances before Town agencies otherwise
prohibited by this section, upon written approval of the Ethics Board and the consent of the
involved Town agencies. The Ethics Board shall consider such approval on a case-by-case
basis taking into account for such findings the following criteria:
(a) The general expertise of the consultant.
(b) The expertise of the consultant vis a vis the particular matter.
(c) The extent of the consultant's involvement both for the Town and for the
private client(s).
(d) The extent of the fees, past or future,to be paid to the consultant by the Town.
(e) The impact such appearances may have on the public trust.
(f) The statement of necessity from the involved Town agency_
(g) Such findings shall be detailed in writing by the Ethics Board and filed with the
office of the Town Clerk.
§ 26-12 Political Solicitation Activities Prohibited.
A Town officer or employee shall not 1mowingly r-equest, or knowingly autherize a"ene else to

A. No person shall engage in any political activities on any Town premises at any time. Such

(5) Solicitation of funds or goods or services for political purposes.

B. No person having supervisory control or who is superior in title to any official or employee
of the Town shall engage in any of the following action with subordinates at any time on or
off Town remises:
(1) Discussion of or solicitation of ticket purchases or sales.
(2) Solicitation to join a political pqrty or political activity.
(3) Use of political considerations in discussing duties, positions, compensation,
changes in titles or work assignments.
(4) Use of political considerations as the reason for promotions, assignment changes,
demotions or termination.
§ 26-13 Restriction on elected official or member of board.
No elected official or member of the Town Board, Planning Board, Zoning Board of Appeals,
Board of Ethics, Board of Assessment Review or the Town Attorney shall be a committeeman or
committeewoman, alternate committeeperson, or the officer of a political party committee.
III. SEVERABILITY
If any clause, sentence, paragraph, section, or part of this Local Law shall be adjudged by any
court of competent jurisdiction to be invalid, the judgment shall not affect the validity of this law
as a whole or any part thereof other than the part so decided to be unconstitutional or invalid.
IV. EFFECTIVE DATE
This Local Law shall take effect after filing with the Secretary of State as provided by law.
I have an affidavit of posting in the Suffolk Times and on the Town Clerk's bulletin board and
town website. And that's it.

TOM STEPHENSON: I guess everyone is out listening to the peepers, they are out now for the
last two days. I have one thing from the (inaudible) school districts in the town, five if you don't
include Fishers Island but Oysteiponds wasn't mentioned and I just wanted to say don't forget

that we are here. Let's see, I wanted to thank the Town Board and Scott for scheduling the Ag
Advisory code committee meeting, really appreciate you guys doing that. I understand you have
the police accreditation and Justice Review Task Force that, I understand there's a lot of
important things going on at once. We are not at the front of the line, totally get it. I am not
reading a statement from the Ag Advisory Committee, I am just speaking as me but the Ag
Advisory Committee feels strongly about these changes to Chapter 70, these proposed changes.
We feel by recommending them, we are fulfilling our advisory role to the Town Board, we are
happy to explain our reasoning behind proposed changes. In code committee or at any other
time, and we are available to speak with where we are coming from. Also as you may recall
from, well, not everyone was on the Board but 2018 code committee meetings where Ag
Advisory Committee was getting codified or code that created Chapter 71 which is the Ag
Advisory Committee, at that point, we were negotiating, for what it's worth, purchases of
development rights easement language before the Town Board votes to close on the purchase.
That was a bridge too far at the time, so we all agreed that Ag Advisory would work with Land
Preservation on a sample, on getting a sample conservation easement. This is what we have
done, this is what we are continuing to do, it's a lot of work going through and we are not trained
lawyers but we feel like, we feel strongly, you know we are volunteering our time, generally
showing up every two weeks you know, besides for the pandemic when we had a few months off
but we are every two weeks and you know,two hour meetings and five hour zoom meetings
going over language. It's maddening, but this is what we are trying to do to help the town and
you know, these hours are in the best interests of agriculture in Southold Town so basically why
we are in existence, so thank you on that. I hate to circle back to historic preservation but I am
sorry, I have to. So, if anyone is trying to find out how old their house is, they can take their tax
map number and go to Amy Folk, who is the Town Historian and she can help you find out how
old your house is or you can go to the county center who can also assist with finding out about
your house. And you know, I am in favor of historic preservation but you know, I don't know
where the silent majority lands on this, I certainly feel like we have, I don't live in an historic
house and I am not in the historic district but I don't think most Southolder's want an added level,
another board to go through. That's just my opinion. I have heard from the HPC that they would
love to see all of Southold in the historic district, every house. I have also heard that we should
use 2 %monies to purchase facade easements on houses all across the town. And I have no
problem if someone wants to landmark their house, that's their right, you know there's no heavy
hand there. They can do that for themselves so, I am in favor of the voluntary side of things but
not the heavy hand. There's too many heavy hands as there is. We have zoning, we have
building departments, planning boards, zba's. Now I have had a problem getting the map of
these districts from the town because they are not on file with the clerk of the town. I was told
that they are at the state site and yeah, they are up there at the state, you can go and see if you are
in the district but I have also heard that there are issues with the Orient map that have not been
resolved, that there is dispute where the lines of the district are. So I think there is a problem
there. I would encourage the town to try to fix that problem. You know, it's serious stuff if you
are in that district, it's a pretty serious thing. You had better have deep pockets, you know, I
guess thankfully everyone who is moving in here is paying millions for houses and they have
deep pockets and they can go through it. But if I am just an average person who is just happy to
have a roof over my head and I want to make a little more room you know, I am not going to be
able to do it if I am in the historic district. I wouldn't be able to do it, I don't think but I am just a

farmer, right. So that's all I have got, it's been a day, a beautiful day. So, another one tomorrow
and then some rain. So that's all I have got. Thank you.

JILL: Hi, it's Jill, not Glen. I just wanted to say I agree with Tom Stephenson a lot on the
historic Preservation Commission. Property that I own is in the historic district and I would not
have the money to jump through the hoops and go through another layer of laws and
aggravations. I heard a lot of horror stories about what they put you through and they also seem
to be very selective. Thank you.
