THIS BARGAIN AND SALE DEED(this"Deed"),made the 1)day of December,2020,

Suite 503, New York, NY 10018, party of the first part(herein, "Grantor"), and Zenith Property
Group LLC, whose address is c/o Patricia C. Moore, 51020 Main Road, Southold, NY 11971,
party of the second part(herein, "Grantee"):
WITNESSETH,that Grantor in consideration of Ten and 00/100 Dollars($10.00)paid by
Grantee,does hereby grant and release unto Grantee,the heirs or successors and assigns of Grantee
forever,
ALL that certain plot,piece of parcel of land,with the buildings and improvements thereon
erected, situate, lying and being as described in the attached Exhibit A(the"Premises").
SUBJECT TO all taxes, assessments, liens, easements, encumbrances and restrictions of
record and all matters which an accurate survey or physical inspection of the Premises would
disclose(herein,"Permitted Exceptions").
TOGETHER with all right, title and interest, if any, of Grantor in and to any streets and
roads abutting the Premises to the center lines thereof; TOGETHER with the appurtenances and
all the estate and rights of Grantor in and to said Premises; TO HAVE AND TO HOLD the
Premises herein granted unto Grantee the heirs or successors and assigns of Grantee forever subject
to the Permitted Exceptions.
AND GRANTOR covenants that has not done or suffered anything whereby the Premises
has been encumbered in any way whatever,except as aforesaid;AND Grantor,in compliance with
Section 13 of the Lien Law, covenants that Grantor will receive the consideration for this
conveyance and will hold the right to receive such consideration as a trust fund to be applied first
for the purpose of paying the costs of the improvement and will apply the same first to the payment
of the cost of the improvement before using any part of the total of the same for any other purpose.
