We hope that you find that our proposal provides the Town with: i) the highest total monetary value; combined with ii) the greatest chance of being selected in the PSEG Solar Communities FiT V Program ("PSEG FiT" or just "Fi`r); and iii) the highest level of confidence in being able to develop the project and secure a lease agreement given the unique requirements of solar on landfills and receiving regulatory approval from the DEC's Region 1 for siting solar on your landfill. Our pricing proposal is for developing the parcel located at 6155 Cox Lane, Cutchogue, NY (Parcel: 1000-096.00-01.00-017.005) including the buildings for on-site solar, energy storage if feasible and the capped landfill to its maximum size given the capacity limits of the PSEG lines. One item of special note which was not specifically requested in the RFP is the bidders ability to be flexible in its submission to the PSEG FiT program to maximize the chances of being selected. We highlight this because all indications suggest that the FiT program will be significantly oversubscribed and therefore triggering the selection criteria process. We believe this is a critical component of this RFP because some bidders may provide higher lease prices that are predicated on higher PSEG FiT Price awards (PSEG FiT Price can range from 13 to 16.5 cents per kWh) or on a larger system size, that may never end up being selected. In this proposal we are committing to the price floor of 13 cents per kWh which then guarantees that this project will at a minimum make it to the fust tier project evaluation which will be selected based on project size. We believe a bid at 13 cents is the only path to an award and we have spoken with PSEG with regards to strategies on submitting different project sizes to ensure the project is selected(discussed later in this proposal).. CPG's land lease and total local compensation proposal could amount to as much as $150,000 per year paid out in equal monthly increments. Over the twenty year initial term, CPG's offer will equal approximately $3.0 Million to the Town of Southold. This proposal amount does not include any local taxes per page 6 of the RFP inclusive of county, school district,or special districts.As a part of the RFP, CPG will also provide enough rooftop solar for the onsite building to help offset onsite some, if not,all of its energy usage. Below is a summary of the offer: • Solar Land Lease - CPG will pay the Town of Southold an annual fee of$120,000.00 per year paid out in equal monthly increments (amounting to $2.4 Million over the initial twenty year lease term). This assumes an approximately 3 MWac solar facility as noted in the attached layouts and per the RFP's guidelines for the estimated system size. We also have over 15 solar facilities in the State of New York that are in development. Our executive leadership on projects will allow and guarantee a first class project development partnership between the town and CPG as the project flows from RFPto PSEG submission to construction to operation. The selected Contractor must abide bxall requirements set forth in this specification CPG has reviewed all the requirements set forth in the RFP specifications and will abide by all and will require that any subcontractors, affiliates,and partners abide by such specifications as well not limited to: scope of work, local, state, and national codes and regulations, and safety, and working through PSEG's Smart Grid Small Generator Interconnection Procedures on our way to obtaining utility interconnection agreements. CPG's primary focus is always on project safety and making sure all of our partners possess this same attitude in spirit and approach from day 1 of development through project operation. CPG would make sure that every activity from surveying to heavy construction would follow high safety standards to minimize any risks of injury or problems on site. The land lease contract and payments would commence at the project's commercial operation date. Prior to the commercial operation date (COD), CPG would make option payments during the period of time prior to the COD. CPG represents that it will or has: proposed a flat dollar per year lease fee for the duration of the contract(paid out in monthly increments), will make payments in a schedule agreed upon by the Client and the Contractor(for purposes of bid,assume lease payments to be monthly),enter into an agreement with Client that at a minimum states the mutual intention of Client and Contractor to enter into a Land Lease Contract and states that Contractor will be responsible to provide a performance bond equal to three years' lease payment to Client upon award by PSEG under Feed-in Tariff program, and agrees to have a minimum term of 20 years, starting upon commissioning of the solar system.All other provisions and guidelines in the RFP CPG has agreed to. 6 ©Community Power Group 2020 Community Community Power Group,LLC POWER GROUP 5636 Connecticut Ave,#42729 Washington DC 20015 CPG agrees to all other contractor requirements at this time regarding: submissions, quality assurance, delivery, storage, and handling, waste removal, substitutions, operations and maintenance, warranties, products; photovoltaic modules, inverters, balance of systems, racking, design and permitting, meeting / conferences with local jurisdictions at the reasonable request of the town, and solar project commissioning. c. The qualifications of the bidder in developing landfill-sited solar projects As noted in the attached response, CPG, its executive team and its partners' experience have worked on more than 15 landfill based solar projects and have extensive experience in developing,constructing and operating landfill-sited solar projects. We are also prepared to work with the Town of Southold on many of the lease requirements that are unique to siting solar on a landfill given the heavy use of the parcel itself and nuances of the post closure use permit. d. The plan set forth by the contractor to minimize risk of damage to the Town's landfill cap or any other facilities of the Town As noted in the attached response, CPG has extensive experience with its more than 15 projects and —40MWs of solar landfills. We have not caused any damage to any of the landfill membranes and caps in which it has successfully developed, built, and financed projects. Our experience ranges from the NY DEC,MD MDE,MA DEP,CT DEEP,and more state environmental regulatory agencies. e. The plan set forth by Contractor to minimize regulatory and legal risks associated with the system installation at the landfill As noted in the attached, CPG has extensive experience in getting landfill projects approved by the various regulatory bodies and is highly aware of the unique requirements of a solar lease for solar on landfills. CPG has over 15 projects in New York currently under development. We have extensive experience working with the DEC, DPS, LIPA, and PSC. CPG's executive has also played a major role with interconnection queue management, NY VDER program formation, NY MWB via NYSERDA programs within NY-Sun, and the NY Green Bank. None are applicable for this specific project however they represent the vast amount of knowledge and focus CPG has on NY. f. Comprehensiveness of the bid submission package CPG is responding to the bid that was provided by the Deputy Town Clerk(Sabrina Born)on March 16th, 2020. This email included the Solar RFP Specs and the Non-Collusive Bid Form. With the exception of the extension notification, from Resolution 2020-375 we have had no other communications with regards to additional information required for this RFP. We hope that our response provides the Town of Southold with confidence as to our expertise in solar landfill projects and that our pricing is highly competitive. To the extent the Town of Southold has additional questions, we welcome any additional questions or requests for further information. g. Commitment and readiness to adhere to an accelerated schedule to complete and submit all applications to PSEG CPG has an intimate understanding of the PSEG FiT program. Upon award CPG will immediately submit the project(s) into the program to meet the September 30,2020 deadline.CPG is willing to do this at risk 7 0 Community Power Group 2020 Co m m u n i t Community Power Group,LLC POWER GROUP Y 5636 Connecticut Ave,#42729 Washington DC 20015 before a lease is signed in order to allow the town to take its time with the local approval process and knowing that the project was accepted into the PSEG FiT award. CPG is also aware of the PSEG program selection protocol in which project submissions are ranked first by bid price and then by project size. As a part of its response to the RFP, CPG will commit to taking strategic actions that will increase the likelihood of the project being selected as a part of the FiT program. Such commitments include,but are not limited to: i)Price Floor-CPG will bid the$13 cost cap floor ensuring that it will be part of the first selection tier; ii) Multiple Bids -As noted above, in an over subscribed scenario the FiT program will first selected projects based on price, it will then rank those projects with the same price (eg, the $13 floor) from smallest to largest and select the smallest ones first until the program is full. Therefore careful consideration will need to be given to system size to ensure that all or a portion of this project is accepted into the FiT program.To that end,there are two key considerations:a)first,PSEG has indicated that bidders may provide multiple bids, but if multiple bids are selected only one "per parcel" can move forward. Accordingly CPG can and will be submitting multiple bids of different sizes to ensure that the town and CPG are not in an "all or nothing" scenario in the event the program fills up at the$13 floor before getting up to a 3 MW system size; b) second, given that the limitation is one project per "parcel" there is an option the landfill could be subdivided into multiple parcels each of which having its own smaller project that tallies up to the 3 MWs(the assumed line capacity). Upon award from the Town of Southold, CPG would work with the Town to come up with the most feasible and valuable approach to applying to the program; parcels, application system sizes, etc. While all this will put an incremental cost burden on the project's development cost (which will be 100%born by CPG) we believe such a strategy will be critical given that it is broadly expected that the 20-30 MW capacity of the PSEG FiT program will be full at the$13 price point before hitting the 3 MW project size. We believe this is a competitive advantage when comparing our proposal and pricing versus other proposals the Town of Southold might receive. CPG is the type of developer who will spend a greater amount at risk early to maximize the value to the landowner. Additionally, CPG has outlined multiple other parcels owned by the town that are suitable for solar. CPG has provided pricing for those other parcels if the Town was interested submitting more into the FiT program. If accepted into the FiT program CPG will easily meet the 10 business day interconnection application requirement and sees no issue with regards to being able to demonstrate site control within the 12 month timeline. [Site description&plan on the following page) 8 ©Community Power Group 2020 Community Community Power Group,LLC _ POWER GROUP 5636 Connecticut Ave,#42729 Washington DC 20015 Southold Site Plan CPG carefully reviewed the RFP, PSEG system constraints,the topography,and historical aerial imagery of the landfill to determine what would be the best size and location of the solar facility. As a result of these analysis we determined that designing a 3 MWac facility (not a 5MW system due to the constraints of the electric line) would be better that running a 2.5 Mile dedicated feeder for two primary reasons: i) the cost of the dedicated feeder would be greater than the financial benefits associated with more scale and therefore the total dollars paid to the Town of Southold are actually higher under the 3.OMW scenario; and ii) the chances of the project being selected at 5 MW are considerably less than a smaller project given that that PSEG FiT selection criteria as discussed above. We next evaluated the best sections of land for the 3.OMWac project with the least potential of compromising the cap. We also looked at the appropriate row spacing and appropriate footers throughout the array given topography changes, load profiles and shading. In reviewing the parcels there are partially developable for solar which we have outlined below. We are confident in a high quantity of projects that will be submitting at the price floor of 13 cents by 9/30/20. In order to maximize return and probability of success for the town CPG recommends doing a full portfolio analysis by the PSEG FiT deadline. CPG plans to work with experienced partners to ensure Landfill property projects are managed properly in order to benefit our community. The parcels have ground water regulations per the DEC that are regulated by the Long Island Regional Planning and the Long-eared Bat is an endangered species on the site. We do not believe either of these will be a problem but close coordination with the different entities will be required. The Massachusetts and Maryland landfill solar projects CPG has developed and financed have extensive similarities to the town's landfill. CPG and its landfill consultants understand the nuances of developing a complex landfill project which requires multiple entities approving the project. CPG has partnered with TRC Companies and one of its leaders, Max Lamson, whom CPG worked with on all its other landfill projects. TRC is a large infrastructure, environmental and consulting firm with remote offices in New York and is used to working hand-in-hand with a landfills local engineer to ensure solar is being properly placed on the cap in a way that will not cause any damage. TRC and its staff have worked on numerous landfill projects across the country. TRC performs feasibility studies, geotechnical assessments,civil/stormwater designs,and permitting(including Post-Closure Use permit preparation). Max Lamson is TRC's Office Practice Leader for the Permitting, Planning,and Licensing group.Max has more than 10 years of experience in the design and permitting of large-scale solar projects, including successful development of over a dozen landfill solar projects. Max has been involved with over $75M worth of landfill projects and help bring them from project award to commercial operation and has experience with the DEC. Max and Community Power Group have developed many projects together over the past 10 years. The following is a list of key items the town should be aware of when it comes to landfill development for solar energy projects. General feasibility assessment of siting solar PV system on a specific landfill: There are several factors to consider for the general feasibility of siting a solar PV system on a specific landfill, including: slopes, slope stability,bearing capacity,historic settlement,future settlement potential, landfill gas production, type of cap, age of landfill, existing and potential groundwater and surface water 21 ©Community Power Group 2020 WI Community Community Power Group,LLC POWER GROUP 5636 Connecticut Ave,#42729 Washington DC 20015 impacts. There can be numerous obstacles that, if not properly dealt with,could have a material impact on the long term viability of the landfill cap including the numerous swales,runoff lanes,vents,etc. Landfill characteristics to be included in a records review: Landfill characteristics to review include: age of landfill, type of cap, type and dates of waste material deposited in the landfill, closure design, as-built drawings, monitoring date (landfill gas, groundwater, leachate, etc.) Determination of closure status: Landfill closure status is important to limit the potential risk of building and operating on a landfill that has not received closure certification. Reviewing the closure reports and any closure conditions can support the certainty of post-closure use as well as minimize the risks. Evaluation of the cap-existing conditions and characteristics Landfill cap characteristics should be evaluated to support the design of the solar PV project. Areas of differential settlement or ponding should be repaired prior to development. The thickness of cap and type of cap will determine the geotechnical parameters for the ballasted foundation design. Evaluation of slope and stability issues Typically, the PV development of landfill caps are limited to the flatter areas(<15%). Constructing solar PV on steeper slopes can result in slope stability issues. Design of a foundation system and layout includes a full geotechnical engineering analysis including sliding calculations and veneer stability analyses. Waste composition and any related concerns: The waste composition, age of waste, and thickness of waste can contribute to differential settlement of the landfill cap, which in-turn can impact the integrity or performance of a landfill solar PV system installed on the cap. Assess the settlement status: As discussed, the future settlement of the landfill needs to be assessed to determine the expected type of settlement (uniform or differential) in order to design a foundation and racking system with tolerances that can accommodate the related settlement. Stormwater erosion control considerations: Two types of erosion control are typically required for solar landfill development projects: erosion control during construction activities and long-term erosion controls. Construction-related erosion controls often include sediment barriers, silt fence, stabilization blankets, etc. Long-term erosion controls include riprap-lined swales and other permanent stormwater management features. Assess leachate and gas collection system: The solar PV array must be designed in concert with the existing leachate and gas collection systems. Specifically, the loading on top of gas collection piping should be evaluated to avoid negative impacts (i.e. pipe-crushing)within determined factors of safety. Construction around the active gas collection/venting system: 22 ©Community Power Group 2020 ' Community Community Power Group,LLC _ POWER GROUP 5636 Connecticut Ave,#42729 Washington DC 20015 Mitigation measures for working around active gas collection and venting systems include: maintaining a clearance radius around active vents,placing a visual and physical barrier for protection from construction vehicles,and of course, restricting any smoking,sparking equipment,or open flame near landfill vents. Design recommendations for improvements required for the cap: Landfill cap improvements to allow the installation of the solar PV may include: filling low-spots to restore positive drainage, clearing woody vegetation, reseeding bare spots, improving access roads, security fences,and other support features. Additional design considerations and construction methods required for working on a landfill site including recommendations for avoiding vents and associated equipment: Landfill construction means and methods for landfill solar projects may include: specifications for equipment (i.e. using low-ground-pressure vehicles), recommendations for sequencing construction to minimize impacts, standards for construction during wet-weather, and visual and physical barriers for vents and monitoring points. Determine allowable soil bearing capacity and foundation design type: Landfill cap soil bearing capacity for foundation system design is calculated based on landfill-specific parameters. Non-penetrating concrete block foundations are designed to meet allowable per-square-foot bearing capacity as well as other loading(wind,snow, etc). Stormwater management design and potential impacts from the solar equipment: The solar equipment, including ballasted foundation system, contributes to marginally-increased post-development stormwater runoff flow rates and volumes. The existing landfill stormwater management system may be able to accommodate these increases. Pre- and post- stormwater modeling can confirm the impacts and the need for potential upgrades. On-going maintenance requirements: On-going landfill cap maintenance typically includes; maintaining vegetation (mowing), maintaining drainage features, inspecting erosion and settlement of ballast blocks,and maintaining access roads. Assess the closure and post-closure regulatory permit requirements as they relate to the suitability for construction of a solar project: In addition to the design parameters discussed in other responses, a pre-permitting meeting with the regulators about the suitability for construction of a solar project can identify other potential regulatory and/or technical issues to a landfill solar PV project. Design considerations and methods for wire and cable runs to avoid cap penetration: Wire and cable runs can typically be installed above ground, in accordance with electrical code, using cable trays,rigid metal conduit,and concrete-encased duct banks. Additional challenges or design considerations: TRC has encountered many other site-specific challenges on landfill solar projects. One typical issue is the placement of ballast blocks and levelling-stone in a manner that does not impact stormwater drainage swales.
