RE: Response to RFP for Lease of Cutchogue Landfill for Development
To the Town Board,
AC Power, LLC ("AC Power") is pleased to submit this proposal ("Proposal")in
response to the Request for Proposals ("RFP") issued by the Town of Southold ("the
Town") for the development of the closed Cutchogue Landfill. AC Power is in receipt
and understanding of the documents of the RFP and required development, installation,
and maintenance procedures of the proposed Community Solar Project.
After performing initial due diligence and reviewing all RFP documents, AC Power is
determined to accomplish the goals outlined by the Town to redevelop the closed landfill
site for the development, construction, operation, and maintenance of a renewable energy
system. AC Power proposes the development of an approximate 9.3 MW-dc Community
Solar Project, with the option to further analyze the feasibility of pairing the solar project
with battery storage.
We are happy to introduce AC Power, our philosophy of partnership and project
commitment, and to discuss the proposed project details. We look forward to working

Executive Summary
AC Power proposes to enter into a lease agreement to design, permit, finance, construct,
operate, subscribe, and maintain an approximate 9.3 MW-dc photovoltaic facility on the
Town-owned Cutchogue Landfill("the Project").Our objective is to maximize the capacity
of the solar proj ect under New York incentives and regulations to generate clean renewable
energy that can be delivered to the community, while providing revenue to the Town
through a solar lease agreement and potential energy savings.With close ties to the Suffolk
County community, our team is dedicated to providing the best opportunity to both the
town, local businesses, and residents. After providing an introduction to the potential
project, San Simeon by the Sound and Habitat for Humanity of Suffolk provided letters of
support for our project, attached herein.
Recognized as Owens Corning's 2018 Sustainability Partner of the Year,AC Power is a
small certified New York woman owned business developing and investing in the
renewable power generation space with a specialty in developing underutilized land such
as landfills and brownfields. Our team brings a unique combination of development,
technical, legal, and investment experience to expertly assess and mitigate risks early in
the development process in order to ensure all projects in our portfolio successfully
transition to operating power plants. We partner with property owners who are dedicated
to the renewable economy;have vacant or unused land that they would like to put into
productive use; have interest in a more stable electric supply; and want to generate steady
r long-term revenues or reduced electricity bills with no upfront or ongoing costs.

As a company that focuses on developing challenging landfill and brownfield sites for
solar, AC Power is uniquely qualified to develop the Project as part of the Town's overall
renewable energy portfolio. If selected,AC Power would execute a land lease agreement
providing the site control necessary to develop, own, operate, and sell electricity from the
solar project. AC Power will provide the Town and residents of Southold the opportunity
to subscribe to the community solar facility with a guaranteed 10%reduction to the
electricity costs.
This proposal includes an overview of the project development services AC Power will
conduct at no-cost to the Town as well as an overview of key terms to be included in a
lease. Additionally,this proposal provides a detailed assessment of current policy and
incentive programs as they relate to the project, as well as an overview of the benefits the
project will provide to the Town and the surrounding community.
SECTION 2: EXPERIENCE & QUALIFICATIONS
COMPANY OVERVIEW
AC Power, LLC is a small, certified woman-owned business located at 465 Grand
Street Suite 5,New York,NY. Founded by Annika Colston in November 2016, AC
Power has been in continuous operation to date. AC Power employees are focused on
securing and developing sites that provide the best value to the property owner and local
community. We actively convert landfills,brownfields, or other low value land into
renewable energy facilities, generating income from sites that otherwise would be left
vacant and unproductive. As our team is concentrated in the New York Metro Area,we
are knowledgeable with the permitting and development environment on Long Island.
Our location in New York City will enable us to easily complete site visits and permitting
activities with the Town as needed.
Collectively,the AC Power core team have over 50 years of experience developing
alternative energy projects, monetizing environmental attributes, and managing landfills.
AC Power understands that for an alternative energy project to be successful, it requires
collaboration among various stakeholders and a commitment to pushing through
multifaceted issues. AC Power provides the full suite of project development services
from permitting, interconnect, and offtake to design, engineering, construction, and
operation. In cooperation with strategic partners, we work to make sure that you get the
best possible product and service.
Our company has no ongoing or previous litigation we are involved in and we are not
debarred, suspended, or otherwise prohibited from practice by any federal, state, or local
agency.
PROJECT TEAM
As the Founder and President of AC Power, LLC, Annika Colston will be leading AC
Power's development efforts on this project. She has over a decade of experience
developing energy projects on landfills and is very familiar with the technical and
regulatory challenges such projects can face. After spending years working on landfill
gas to energy systems, Annika recognized the perfect opportunity landfills presented for
solar energy development and founded AC Power to make such development a reality.
She also has a background in environmental attribute markets, and so is well versed in
arranging the best possible financial outcomes for her projects. Annika, and all staff, are
based in our New York City office.
As Vice President, Henry Anreder manages a variety of responsibilities including
business development, financial analysis,regulatory incentive monitoring, and project
origination and management. He has experience successfully securing contracted offtake,
development capital, and asset purchases for distributed generation solar projects in the
�- ISO-NE,NYISO, and PJM power markets. In a previous role, Henry developed two
community solar projects in the Central Hudson utility zone in New York that secured
New York State Community Solar incentives and are in the permitting process. He will
support the project through ensuring successful project financial capability, monitoring
regulatory compliance, and assisting with local outreach.
Henry is a native of Suffolk County,NY and graduated from Southampton High School.
Henry's father, Dr. Lewis Anreder, M.D., works in the Town of Southold as the Medical
Director at San Simeon by the Sound in Greenport. His mother, Harriet Cohen, is the
Director of Social Services at nearby Peconic Bay Medical Center in Riverhead, which
serves patients from across the North Fork.
Andrea DeBernardis is the Northeast Regional Director at AC Power and will act as the
primary contact for this project as well as managing the day-to-day development efforts
and ensuring the system is on track for a timely completion. Andrea leads project
development throughout New York and New England utilizing her significant experience
in permitting, environmental monitoring, and management of EPC contractors to
maintain schedules and budgets. Previously, she directed community outreach and
stakeholder management while providing siting and construction services as a team
member on Eversource Energy's ("Eversource") 62 MW Massachusetts Solar Portfolio.
Additionally, she performed a year of service to Habitat for Humanity of Suffolk in
Middle Island,NY through Americorps and is dedicated to continuing giving back to the
community through the benefits of the Project. Andrea has performed in depth due
diligence of the site to formulate a thorough understanding of the Project including
potential challenges and the Town's objectives.
Kyle Miller will provide support to the development of this project to successfully
achieve interconnection and community solar incentives. As Mid-Atlantic Regional
Director, Kyle leads AC Power's origination and development efforts in the Mid-Atlantic
region with a focus in New Jersey and Pennsylvania. By leveraging his project
development expertise, Kyle originates optimal brownfield properties to participate in
emerging community solar programs and future solar legislation. He works with
landowners to optimize their property value by turning their inactive property into a cash
generating asset. Kyle also leads the interconnection strategy across AC Power's
portfolio by managing interconnect applications and the supplemental utility studies.
From initial screening to impact studies, he works closely with the electric utilities to
minimize cost and maximize system capacity. He will likely be involved in managing the
interconnection process with PSE&G LI for this project.

PROJECT DEVELOPMENT EXPERIENCE
Since its founding in 2016, AC Power has guided two New Jersey landfill sites totaling
10 MW-dc to successful commercial operation, and currently has a pipeline of over 200
MW of projects throughout the Northeast and Mid-Atlantic regions in various stages of
development. An estimated five additional projects are anticipated to become operational
in 2020. Our leadership team has strong relationships within the industry, including
ongoing negotiations for a portfolio of sites with large private owners,property
management companies, Fortune 500 companies, and municipalities. Our focus on solar
photovoltaics on these sites has made us a market leader in New Jersey, having
developed four of the seven projects certified by the Board of Public Utilities under
Subsection T of the NJ SREC program. Three additional AC Power landfill and
brownfield sites were selected in the highly competitive New Jersey's Community Solar
Pilot Program bid process. With experience across all aspects of project development, AC
Power can turn a simple idea into a revenue-generating operation. Our team ensures that
all projects in our portfolio can efficiently and successfully transition to operating power
plants. AC Power has also been recognized for its exemplary work,having been named a
Sustainability Partner of the Year by Owens Corning for ongoing work on two of their
New Jersey landfills.
In New York, our team is developing over 40 MW including a privately owned landfill,
three municipally owned landfills, and a municipally owned highway garage facility. AC
Power's experience identifying and developing landfill solar projects in the Northeast
makes it a strong candidate to assist the Town to successfully implement this project. We
bring a unique combination of development, technical, legal, and investment experience
to expertly assess and mitigate risks early during the development process. Our team
ensures that all projects in our portfolio can efficiently and successfully transition to
operating power plants.
As a small company AC Power is not subject to OSHA reporting requirements, but we
are still proud of our exemplary safety record and work with partners who maintain the
same standards.
PROJECT FINANCING CAPABILITY
WTRE Investing is AC Power's financing partner for this project. WTRE is a specialty
lender formed in 2017 to provide capital and management expertise to companies
experiencing high growth. With this mindset and with experience working with Project
Finance, WTRE, and in particular co-founder Michael Hansen, has proven to be a strong
partner for AC Power on our previous projects, and we are confident that with their
involvement all financial transactions for this project will be well supported.

SECTION 3: PROPOSAL NARRATIVE
COMMUNITY SOLAR PLAN
With strong relations to Suffolk County,AC Power is dedicated to developing a
Community Solar facility at the closed landfill site. Our team has initiated introductory
discussions with local businesses such as San Simeon by the Sound and Habitat for
Humanity of Suffolk. If our project is selected, we will work in a good faith effort to
coordinate with San Simeon by the Sound to subscribe their facility to the project, and
with Habitat for Humanity to subscribe their facilities as well as Habitat for Humanity
homeowners. Through the Project, all community solar subscribers will be guaranteed a
minimum 10% savings from their current electricity costs. At an estimated total of 9.3
MW-dc facility, approximately 1,800 residential homes or local businesses could be
provided these savings.
PROJECT MANAGEMENT PLAN
Based on our extensive experience developing similar projects in numerous states, AC
Power anticipates the development of the site to follow the steps described below:
Site assessment, audit, review of the physical location
As indicated previously, AC Power has extensive experience developing solar projects on
landfills in various states. In 2018 we closed a landfill in order to develop a solar project
as the long-term use. We interact regularly with regulatory agencies and have developed
a process for working as efficiently as possible to deliver permits and approvals in a
timely manner.
To augment the extensive experience possessed by our own staff,AC Power's engineering
partner would review the site and all relevant documentation. AC Power has worked with
several reputable engineering firms and will select the best option to prepare the stamped
engineering drawings for the New York Department of Environmental Conservation
("DEC").
AC Power and our engineers will conduct a site assessment, audit, and detailed review of
the physical location. We will also collect all existing information on site conditions from
the Town and DEC. While AC Power is familiar with the site from reviewing all RFP
documents, upon receiving the project award we would work as quickly as possible to
understand the nuances of the site to better plan the intricacies of project development.
AC Power will prepare a site assessment overview for submission to the Town upon
completion of this step.
Apply for interconnection
In order to build a solar project an interconnection agreement must be executed with
r.- PSEG as outlined in the RFP. AC Power will request an interconnection review from

PSEG through their Smart Grid Small Generator Interconnection Procedures, establishing
the capacity available to interconnect at that location as well as the cost to do so.
AC Power would submit the interconnection application to PSEG with a full set of plans
provided by our engineers to evaluate the impacts interconnecting the project would have
on the safety and reliability of their distribution system. If there are no substantial
modifications needed to accommodate the project, PSEG will then provide an
Interconnection Agreement, listing any insubstantial modifications required along with
cost estimates. If substantial modifications are required, PSEG will offer to conduct a
facilities study and a cost estimation of the modifications. As the interconnection studies
and agreements often require the longest lead-time to arrange and complete, and are
required prior to project construction,this process would be initiated early, as previously
indicated. This should lead to an executable agreement that coincides with the completion
of other permitting tasks, allowing us to move to the construction stage.
Confirm project feasibility and required approvals with key agencies and stakeholders
Immediately upon project award, the Team will meet with various agencies and
stakeholders in order to confirm solar project eligibility and the permits and approvals
required. The Team will coordinate with the following:
• DEC to discuss status of closure plan and requirements for obtaining an Amended
Closure Plan that includes a solar facility as the long-term end use of the landfill.
The Team will discuss with DEC in order to confirm whether permits or approvals
are required from other agencies such as wetlands, endangered species, etc.
• Town of Southold Planning Board and Zoning Board to discuss plans including
requirements to obtain approvals.
Completion of this step will allow the Team to confirm the timeline and costs to develop
the Project.
Submit applications for permits, incentives, and approvals
Once the previous actions mentioned are completed and the confirmatory due diligence
has concluded,the Team will prepare the permit applications for submission to the
appropriate agencies. This step will require that initial plans and project specifications
including size and layout are finalized so that approvals can be attained from the DEC,
Town and County planning boards and other applicable permitting authorities.
From experience,this step takes approximately three months from submission, receipt of
comments, revisions and receipt of final approvals. It is possible the timing is longer
depending on the agencies' review and as such it is often outside the control of the Team.
The Team will work to expedite to the extent possible.

Final design and construction
Immediately upon approval of the final design and documents, the final financing will be
put in place and the EPC Partner will be released to complete any detailed design work
and procure equipment. Long lead time equipment will need to be ordered as soon as
possible after final approval. After equipment orders are placed, detailed equipment
schematics will be received from the various vendors and our engineer can begin
development of the final project designs. The final design will include selection of
equipment, layout, electrical system design, structural design, site security design, utility
services engineering, data monitoring and control systems, and draft Operation&
Maintenance (O&M)plans. Final design plans will be reviewed with the Town to obtain
their approval.
Traditionally,when a project is contracted,the contracted EPC manages the design and
engineering, construction permitting, procurement and delivery of all system

components. The EPC will use an in-house construction team to complete the
installation, interconnection and commissioning, while additionally providing Operations
& Maintenance service for the life cycle of the solar system. From concept to
completion, the EPC ensures responsiveness and single mindedness of purpose until the
project is successfully completed. This model has proven to be successful for AC
Power's previous projects, and it is our intention to follow it with this project as well. As
such we will ensure that the EPC can provide all these services in an efficient and timely
manner. AC Power has strong connections to several reliable EPC's in the region;and
will select the final EPC partner for the Project through a competitive bid process.
It is anticipated that final engineering,procurement and construction will take up to nine
months. The Team will work with the Town to ensure that on-site activities meet the
safety and operational requirements of the Town.
Start-up & testing
The Team anticipates a one-month start-up and testing period upon completion of
construction. During this time, the solar facility will undergo a shakedown period to
identify and correct any operating issues and to complete minor"punch list" items. The
Team will work with the Town to incorporate any final requests related to completion of
the solar facility.
Timeline

development process.The timeline is highly dependent on the details of the interconnection
- process as determined by PSEG and is subject to change. AC Power will work diligently
to accomplish all milestones in an effective and efficient manner.

FINANCING PLAN
Structure and Financing
AC Power will develop, finance, and operate the Project under a newly formed project
entity—AC Power 22, LLC1 (the "Project Company"). The development includes the
permitting, zoning, interconnection, development of the facility, securing approval for
incentive programs, site due diligence, as well as ensuring the work of our EPC Partner
and any additionally contracted party is conducted to meet our high standards for quality
and service.

Incentives
New York VDER Program
The State of New York has developed a program to transition the compensation of
distributed energy sources. The Value of Distributed Energy Resources (VDER), also
called the Value Stack, incentivizes development of distributed energy resources such as
community solar projects, remote net metering projects, and large behind-the-meter
projects servicing a customer load. Various incentives factor into the Value Stack,
providing higher compensation to projects that service areas of high congestion or peak
demand windows.
The Value Stack has a total of seven potential incentives a project can obtain. The
following incentives are applicable to both project sites:
• The Energy (LBMP) credit is based on day-ahead hourly wholesale energy rate
provided by NY-ISO.
• The Capacity (ICAP) is based on how well a project reduces statewide peak
energy consumption. This incentive has 3 options a project can choose from,
allowing for maximized compensation based on times of energy provided to the
grid. Alternative 1 is paid on each kWh provided to the grid throughout the year.
Alternative 2 is paid on kWh provided during a peak window. Alternative 3 is
paid on kWh provided during a single peak hour of the year.
• The Environmental Credit(E)provides a fixed rate locked in for 25 years
dependent upon the environmental benefits a project provides. Projects can opt for
a non-monetized REC instead of this credit.

• The Demand Reduction Value (DRV)provides a current locked in rate for the
first 10 years. The DRV is determined by kWh produced during determined peak
windows of energy demand. This credit is based on the facility's impact on
reducing peak demand within the distributed grid. The DRV may provide a rate
for years 11-20, and again for years 21-25 of production, but is not locked in at
time of application.
• The CDG adder is an incentive provided to community solar projects, allowing an
extra provided rate locked in for 25 years. The CDG adder for the territory is
currently filled, however it is anticipated additional funds may be approved in
coming months and therefore will be applicable to the Project.
The sum of the applicable incentives for each project will determine the overall
compensation. This compensation is then applied to each kWh provided to the grid after
offsetting any onsite load. The Value Stack is intended to provide decreasing incentives
as market demands become more favorable for distributed energy resources. Therefore,
as more projects are developed in each utility region, the compensation rates for new
projects will decrease. AC Power is committed to working diligently with our partners to
evaluate each project and maneuver the permitting and application process efficiently in
order to lock in optimal rates.
LIPA Solar Communities Program
The LIPA auction-based feed-in-tariff, also known as the Solar Communities Program, is
estimated to launch on June 1 for CDG projects within LIPA territory. The initial capacity
of the program is expected to be 25 MW with an option for an additional 15 MW. AC
Power aims to submit the Project to the auction upon selection. If selected for this auction,
the project will forego the New York VDER compensation as this program is effectively a
20-year power-purchase agreement with LIPA with higher guaranteed revenue for the
project.
OPERATION&MAINTENANCE PLAN
Upon completion of the start-up period the Project will move into ongoing operations and
maintenance. The Project will be operated by the selected EPC or contracted to a local
operator. The ongoing maintenance of a solar facility is minimal and would not require a
full-time operator. It is essential however that the O&M program meet the requirements
of the Amended Closure Plan. The contractor would be responsible for all closure plan
related O&M that is inside the rented premises of the lease. On-site personnel,the fire
department, and police departments will be trained in case an emergency response is
required.
Operations and Maintenance site visits are typically conducted four times a year. During
these visits, technicians inspect all electrical connections,review production data, assess
the site for any hazards or potential problem areas, and clean solar modules if necessary.
If there is an equipment failure, we are notified by our monitoring system and our

proximity to the facility allows us to provide on-site response within 24 hours. The Town
will be permitted access to the facility in order to continue any monitoring required.
DECOMMISSIONING PLAN
AC Power agrees through the signing of a lease agreement with the Town of Southold to
restore the property to its condition as it existed before the Project was installed,pursuant
to measures which may include the following:
• Removal of all operator-owned equipment, concrete, conduits, structures, and
fencing
• Removal of any solid and hazardous wastes caused by the Facility in accordance
with local, state, and federal waste disposal regulations.
• Removal of all graveled areas and access roads installed for use of the solar
facility unless the landowner requests in writing for it to remain
LOCAL BUSINESS UTILIZATION PLAN
AC Power is committed to partnering with local businesses to the extent possible for the
development, construction, operation, and maintenance of the Project. AC Power and our
partners are based in New York and dedicated to reaching the Governor's goals of
renewable energy. In addition to our partners, AC Power will make a good faith effort to
hire local business enterprises for required landscaping and maintenance of the site. The
construction contractor will be encouraged to use local electricians and crews to the
extent possible.

To provide the Town further insight, AC Power has drafted the following preliminary site
plans for the Project. AC Power proposes an approximate 9.3 MW-dc facility at the
landfill site. It is important to note the following features and site layouts were
determined using solar design software and not prepared by professional engineers at this
time. The final design is reliant on several factors such as interconnection feasibility,
topographic data, and regulatory restrictions and is subject to change from this design. If
the Town selects AC Power, we will contract our partner engineering firm to perform a
detailed walk through of the site and review all available topographical and other
documents relating to the site's condition prior to submitting full stamped engineering
plans for review. The approximate proposed features of the sites are as follows:
• 9.3 MW-dc facility, spanning 512,000 sq. ft. (12 acres)
• 25,000 Boviet 385W or similar Tier 1 solar photovoltaic modules
• Ballasted racks accommodating 2 panels in portrait orientation, with a 20-degree
tilt and an azimuth of 180 degrees. Our engineering partner will select the optimal
racking brand, in compliance with all codes and regulations
• Sunny Tripower 24000TL or similar inverters
• 13 feet spacing between rows to allow for ease of access for maintenance and
DEC required post-closure activities.

SUMMARY OF LEASE TERMS
While the terms presented in the Lease Agreement are acceptable, as the lease shall be
deemed to be mutually drafted, AC Power requests the opportunity to negotiate the
following terms:
1. AC Power reserves a right to terminate the lease prior to the start of construction
due to material issues discovered during due diligence that affect the economic
and technical viability of the project; and
2. The timing of the posting of the decommissioning security, which is currently not
specified
AC Power will be responsible to provide a performance bond equal to three years'
lease payment to the Town upon award by PSEG under Feed-in Tariff program. The
lease terms below are meant to summarize the lease requirements given in the RFP,
taking into consideration the terms referenced above. We believe the lease rate offered

the commencement date of any Agreement awarded hereunder.
THIRD: To pay the Town any and all damages it may incur as a result of the
Contractor's failure to perform all acts necessary to the execution of the Agreement as
provided in the Bid Solicitation.
FOURTH: During the performance of this Agreement,the Contractor hereby

agrees as follows:
a. The Contractor shall not discriminate against any employee or applicant for
employment because of age,race,creed, color, sex, sexual orientation,marital status,
national origin,or physical disability.
b. The Contractor shall comply with the provisions of Sections 290 through 301 of the
Executive Law, shall fiunish all information and reports deemed necessary by the
State Commission for Human Rights under these nondiscrimination clauses and such
sections of the Executive Law,and shall permit access to his books,records, and
accounts by the State Commission for Human Rights,the Attorney General,and the
Industrial Commissioner for purposes of investigation to ascertain compliance with
these on discrimination clauses and such sections of the Executive Law and Civil
Rights Law,
c. This Agreement may be forthwith cancelled,terminated, or suspended,in whole or in
part, by the Town upon the basis of a finding made by the State Commission for
Human Rights that the Contractor has not complied with these nondiscrimination
clauses.
d. No laborer, workman or mechanic in the employ of the Contractor or subcontractor
shall be permitted or required to work more than eight hours in any one calendar day,
or more than five days in any one week except as otherwise provided in Labor Code
Section 220.
e. The Contractor shall include the provisions of clauses(a)through(e)in every
subcontract or purchase order in such a manner that such provisions will be binding
upon each subcontractor or vendor as to operations to be performed within the State
of New York.
FIFTH:By submission of this bid,the Bidder and each person signing on behalf
of any Bidder certifies,and in case of a joint bid each party thereto certifies as to
its own organization, under penalty of perjury that to the best of his knowledge
and belief-

eliefa. The prices in this bid have been arrived at independently without collusion,
consultation, communication,or agreement for the purpose of restricting competition.
b. Unless otherwise required by law,the prices which have been quoted in this
bid have not been knowingly disclosed by the Bidder and will not knowingly
be disclosed by the Bidder prior to opening.
c. No attempt has been made nor will be made by the Bidder to induce any other person,
partnership,or corporation to submit or not to submit a bid for the purpose of
restricting competition.

2. The undersigned also declares that it has or they have carefully examined the Bid
Solicitation requirements and sample operating agreement and that it has or they have
personally inspected the actual location of work,together with the local sources of
supply,has or have satisfied itself or themselves as to all the quantities and conditions,
and waives all rights to claim any misunderstanding, omissions or errors regarding the
same which such inspection and observation would have disclosed.
3. The Bidder has completed the Contract Bid Form in accordance with these bid
requirements.
