50%interest,residing at 2615 East Mill Road,Mattituck,New York 11952 and 15 Upshur Avenue,
Annapolis,Maryland 21403,respectively,party of the first part;and
JJS EDGEWATER LLC,a NLw York Limited Liability Company with offices at 685 Track Avenue,
Cutchogue,New York 11935;party of the second part,

WITNESSETH,that the partyjof the first part,in consideration of Nine Hundred Seventy-Five Thousand
and 00/100—($975,000.00)--Dollars,and to effect the distribution of the decedent's estate, and other good
and valuable consideration paid by the party of the second part,does hereby grant and release unto the
party of the second part,the heirs or successors and assigns of the party of the second part forever,
ALL that certain plot,piece o parcel of land,situate,lying and being at Mattituck,Town of Southold,
County of Suffolk and State of New York,being more particularly bounded and described as follows:
BEGINNING'at a point on the ordinary highwater mark of Deep Hole Creek at the Northwesterly corner
of premises being conveyed,which point is distant 488.50 feet measured on a course bearing North 83
degrees 00 minutes 40 sedonds East from a monument set on the North line of Bungalow Road,which
monument s,located 136.48 feet measured on a course of South 57 degrees 43 minutes East from the
intersection of the Southeast°corner of land now or formerly of Kopf and the Northerly line of Bungalow
Road;
RUNNING THENCE from the point of beginning running Easterly along the ordinary highwater mark of
Deep Hole Creek 95.00 feet more or less to other land of J.Parker Wickham;
THENCE along said land theifollowing two courses and distances: 1.South 62 degrees 52 minutes East
104.00 feet to an iron pipe and;2.South 34 degrees 52 minutes 00 seconds East 85.00 feet and passing
through an iron pipe to the ordinary highwater mark of Great Peconic Bay
THENCE Westerly along said highwater mark 155.00 feet more or less to other land of J. Parker
Wickham;and THENCE North 28 degrees 40 minutes West 157.00 feet more or less and passing through
an iron pipe to Deep Hole Creek the point or place of BEGINNING, being more particularly described
on Schedule A-1 attached hereto.
TOGETHER with a right of way over the existing traveled road to Bungalow Lane and subject to a right of
way of other over said existing traveled road as it crosses the premises conveyed hereunder,as per an
Agreement dated the 18th day of November, 1976,and recorded in the Office of the Clerk of the County of
Suffolk on May 13, 1977 in Liber 8235 of Conveyances at Page 397,which Agreement has been amended
in accordance with an Agreement dated May 13, 1977
Being and intended be the same premises described in two deeds(1)made by Mary S.Drum as Executrix
of the Estate of Henry W. Drum and recorded May 30, 12694,a Page 768;and(2)made by Henry Drum
and Mary S. Drum,his wife,recorded January 17,2003 in Liber 12231 page 35.
TOGETHER with all right,title and interest,if any,of the party of the first part in and to any streets and roads abutting
the above described premises to the center lines thereof-,TOGETHER with the appurtenances and all the estate and
rights of the party of the first part in and to said premises;TO HAVE AND TO HOLD the premises herein granted
unto the party of the second part,the heirs or successors and assigns of the party of the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered anything whereby the
said premises have been encumbered in any way whatever,except as aforesaid.
AND the party of the first part,in compliance with Section 13 of the Lien Law,covenants that the party of the first part
will receive the consideration for this conveyance and will hold the right to receive such consideration as a trust fund
to be applied first for the purpose of paying the cost of the improvement and will apply the same first to the payment
of the cost of the improvement before using any part of the total of the same for any other purpose.The word"party'
shall be construed as if it read"parties"when ever the sense of this indenture so requires.

State of New York, being part of lot 8 on Map of Marratooka Point, filed March 19, 1927 as map number 331, and
described.property, bounded and described as follows:
BEGINNING at a point on the high water mark of Deep Hole Creek, said point being intersected by the division line
between lot 7,and lot 8 on the map referenced above, said point.also being the northeasterly corner of land now or
formerly of Mattituck Property Family Trust;
RUNNING THENCE the following three tie lines along the high water mark of Deep Hole Creek:
1. North 71 degrees 04 minutes 09 seconds East 31.64 feet;
2. North 45 degrees 11 minutes 08 seconds East 30.12 feet;
3. North 18 degrees 53 minutes 10 seconds East 20.74 feet to land now or formerly of Wickham and Sheppard;
THENCE along said land the following two courses and distances:
