THIS INDENTURE, made as of the to day of June, 2019 between CAPITAL ONE,
NATIONAL ASSOCIATION, a national banking association, as successor by merger to North
Fork Bank, as successor by merger to The North Fork Bank and Trust Company, as successor by
meager to People's National Bank of Greenport, New York, and having an address at 1307 Walt
Whitman Road, Melville,NY 11747 and("Grantor"), ROUND CORNER PARTNERS LLC, a
New York limited Iiability company, having an address at 1315 Pine Tree Road, Cutchogue,
New York 11935 ("Grantee").
WITNESSETH :
That Grantor, in consideration of Ten Dollars ($10.00) and other valuable consideration
paid by Grantee, does hereby grant and release unto Grantee, the heirs or successors and assigns
of Grantee forever, all of Grantor's interest in that certain plot, piece or parcel of land, with the
buildings and improvementsAereon erected, situate, lying and being in the Village of Greenport,
Town of Southold, Suffolk County, State of New York, as more particularly bounded and
described in Exhibit A annexed hereto and made a part hereof(the "Premises").
This conveyance does not constitute a conveyance of all or substantially all of the assets
of the Grantor.
Being and intended to be the same premises described in a deed made by May Klipp, also
known as Mae Klipp, and Anna Klipp, also known as Ann Klipp, individually and as devisees
under the Last Will and Testaments of Ella Klipp and Kathryn E. Klipp, also known as Katherine
Klipp, deceased, and recorded September 5, 1975, in Liber 7904, at page 209 (Parcel 1, formerly
tax lot 7), in a deed made by Lewis Steinhardt and Ella Steinhardt, his wife, and recorded
October 23, 1919, in Liber 983 page 444 (Parcel II, formerly tax lot 8), in a deed from Jacob
Hochheiser, and recorded January 21, 1960 in Liber 4758 page 158 (Parcel III, formerly tax lot 9)
and in a deed from Agnes L. Schaumburg, Virginia Schaumburg, now known as Virginia
Bondarchuck, and John F. McNulty, and recorded August 26, 1963 in Liber 5403 page 471
(Parcel IV, formerly tax lot 10).
Together with all right,title and interest, if any, of Grantor in and to any streets and roads
abutting the Premises to the center lines thereof,
Together with the appurtenances and all the estate and rights of Grantor in and to the
Premises; and
TO HAVE AND TO HOLD the Premises herein granted unto Grantee, the heirs or
successors and assigns of Grantee, forever.
AND Grantor, in compliance with Section 13 of the Lien Law, covenants that Grantor
will receive the consideration for this conveyance and will hold the right to receive such
consideration as a trust fund to be applied first for the purpose of paying the cost of the
improvements at the Premises and will apply the same first to the payment of the cost of the
improvements before using any part of the total of the same for any other purpose.

Southold, County of Suffolk and State of New York, bounded and described as follows:
BEGINNING at a point on the Easterly side of Main Street at the Northwesterly corner of the premises
about to be described; said point of beginning being distant 117.45 feet Southerly as measured along the
Easterly side of Main Street from its intersection with the Southerly side of Bay Avenue;
RUNNING THENCE from said point or place of beginning along land now or formerly of Valley Bank of
New York, North 63 degrees 27 minutes 30 seconds East, 164.24 feet to the Westerly side of Carpenter
Street;
THENCE South 6 degrees 55 minutes 10 seconds East, along said Westerly side of Carpenter Street,
