THIS QUITCLAIM DEED is made effective as of the 29th day of May, 2019, between
CUTCHCO CORP., a New York corporation and formerly referred to as "CUTCHO CORP."
("Grantor"), whose address is c/o Capital One, N.A. Attn: Real Estate Administration - Office, 8050
Dominion Parkway, Plano, Texas 75024, and THE TOWN OF SOUTHOLD, a New York
incorporated town or municipal corporation, having an address at Southold Town Annex, 54375
Route 25 (Main Road), P.O. Box 1179, Southold, New York 11971-0959 ("Grantee").
WITNESSETH, that Grantor, for and in consideration of Ten and 001100 Dollars ($10.00),
and other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, does hereby remise, release and quitclaim unto Grantee, its heirs or successors and
assigns, forever, all of Grantor's right, title, interest, claim and demand, if any, in and to that certain
plot, piece or parcel of land, with the buildings and improvements thereon erected, situate, lying and
being described on Exhibit A attached hereto and incorporated herein by this reference;
TOGETHER with all right, title and interest, if any, of Grantor in and to any streets and roads
abutting the above described premises to the center lines thereof;
TOGETHER with the appurtenances and all the estate and rights of Grantor in and to said
premises.
TO HAVE AND TO HOLD said premises herein granted unto Grantee, the heirs or
successors and assigns of Grantee, AS 1S, without warranty, representation or covenant of Grantor of
any kind or nature whatsoever.
AND, Grantor, in compliance with Section 13 of the Lien Law, hereby covenants that
Grantor will receive the consideration for this conveyance and will hold the rights to receive such
consideration as a trust fund to be applied first for the purpose of paying the cost of the improvement
and will apply the same first to the payment of the cost improvement before using any part of the
total of the same for any other purpose.
