Commerce Drive, Cutchogue, New York 11935, Attention: Martin Kosmynka ("Optionor").
2. NAME AND ADDRESS OF OPTIONEE:
POST MANAGEMENT, LLC, a New York limited liability company, having an address at
204 West 84`h Street, 3`d Floor,New York,New York, Attention: Marc Slayton ("Optionee").
3. DESCRIPTION OF PREMISES:
65 Commerce Drive, Cutchogue, New York, as more fully described on Schedule A attached
hereto (the "Premises").
4. IDENTIFICATION OF AGREEMENT:

Purchase Option Agreement between Optionor and Optionee dated January 24, 2019 (as
amended, the "Agreement").
5. OPTION TO PURCHASE REAL PROPERTY:
Optionor and Optionee have entered into the Agreement, pursuant to which Optionor grants to
Optionee an option to purchase the fee interest in the Premises on the terms and conditions as set
forth therein. The option granted to Optionee expires at 11:59 PM on the date which is twenty
(20) business days following the Notice Date (as such term is defined in the Agreement).
6. NO INTENDED MODIFICATION OF AGREEMENT:
This Memorandum shall constitute a memorandum of the Agreement, and shall not be construed
to amend, modify or otherwise affect the Agreement in any manner whatsoever.
7. COUNTERPARTS:
This Memorandum may be executed in two or more counterpart copies of the entire document or
of the signature pages to the document, each of which may be executed by one or more of the
parties hereto, but all of which, when taken together, shall constitute a single agreement binding
upon all of the parties hereto.
